상장회사 이해관계자 거래 규제(상법 제542조의 9)의 실무상 쟁점 = The legal and practical issues on the regulation regarding the related party transaction of the listed company based on the Article 542-9 of the Commercial Act

우리나라의 대규모 상장회사들은 다른 상장회사와 계열관계 등 특수한 이해관계를 가지고 있는 경우가 많다. 이러한 이해관계자 회사 상호 간에 다양한 경상거래 및 자본거래가 형태로 빈번하게 이루어지고 있다. 이러한 이해관계자 거래는 상장회사의 주요주주 내지는 계열회사의 이익을 위하여 상장회사 자체의 이익을 훼손하는 거래로 악용될 우려도 있지만, 이해관계자 회사 상호 간의 시너지 창출, 비용 절감 및 효율성 증대, 양질의 제품 및 서비스의 안정적인 공급, 그룹 전체적인 브랜드 및 경영비전 등의 일관성 확보 등을 위하여 필요한 측면도 크다. 그러므로 이러한 상장회사의 이해관계자 거래를 규제하는 상법 제542조의 9를 적용함에 있어서 양자의 측면을 모두 고려하는 것이 필요하다.
특히 상법 제542조의 9 제1항은 이해관계자 거래에 있어서 일반적으로 요구되는 이사회 승인 요건 및 거래 절차와 내용의 공정성 요건 등을 갖춘 경우에도 상장회사의 이해관계자에 대한 신용공여를 일반적으로 금지하고 있다. 따라서 위 규정의 취지를 존중하면서도 상장회사의 이해관계자 거래의 실질적인 필요성 및 경영의 유연성을 훼손하지 않는 조화로운 해석이 요구된다. 이러한 측면에서 영업거래에 수반하는 신용 제공이나 자금지원적 성격의 증권 매입, 출자의 이행을 약정하는 거래 등은 신용공여의 범위와 관련하여 한정적으로 해석할 필요가 있다. 신용공여 금지의 예외와 관련해서는 지주회사가 손자회사에 대해서 신용공여 등 자금지원을 하는 것이 자회사 및 손자회사를 지배하고 그 경영을 관리하는 지주회사의 기능에 비추어 경영상 필요함에도 불구하고 현재 규정 문언 상 예외로 인정되기 어려우므로 입법적인 개선이 필요하다. 예외 인정의 실체적 요건과 관련해서는 규정 문언 상 불명확한 점이 있지만, 규정의 전체적인 취지를 고려하여 거래의 필요성, 거래조건의 적정성, 회사의 경영건전성을 해칠 우려가 없는지 여부 등을 폭 넓게 판단하는 것이 바람직하다. 상법 제542조의 9 제3항 및 제4항의 대규모 상장회사의 이해관계자에 대한 대규모 거래 규제의 적용범위와 관련해서도 규정의 취지를 고려하여 경상거래 이외에 유상증자 및 감자 등의 자본거래의 경우에도 위 규제가 적용된다고 보는 것이 보다 합리적이다. 위 규제의 예외와 관련해서는 우선 약관에 의한 거래의 경우 이사회 승인의무는 면제되지만 주주총회 보고의무는 면제되지 않는다. 입법적으로는 주주총회 시점 이전의 공시 등으로 주주총회 보고에 준하여 주주에 대한 정보 제공이 이루어진 경우에는 보고의무를 대체할 수 있도록 하는 것도 고려할 수 있다. 일상적인 거래로서 이사회에서 승인한 거래총액의 범위 안에서 이행하는 거래에 대해서는 이사회 승인은 요구되지 않고, 그 거래내용을 주주총회에 보고하지 않을 수 있다. 다만 그 전제가 되는 거래총액을 승인하는 이사회 결의는 대규모 이해관계자 거래에 대한 이사회 승인에 준하는 것이므로 거래총액 이외에도 구체적인 거래조건 혹은 거래조건의 결정방식에 대해서도 이사회 승인이 필요한 것으로 규정하는 것이 입법론적으로는 타당하다.
Many large listed companies in Korea are specially related with other listed companies as affiliates and so on. These related party firms frequently involve themselves in a variety of current and capital transactions with each other. While these related party transactions can be abused to undermine the interests of the listed company itself for the benefit of the major shareholders or affiliates of the listed company, such transactions are also necessary to create synergies among the related party firms, reduce costs, and to increase efficiency, as well as for the stable supply of products and services and ensuring consistency in the brand, management vision, etc. of the group as a whole. Accordingly, when applying Article 542-9 of the Korean Commercial Code, which regulates related party transactions of listed companies, it is necessary to take into account both aspects.
In particular, Article 542-9 (1) of the Korean Commercial Code sets forth a general prohibition on credit provision to related parties of a listed company that is applicable even to those satisfying requirements of approval of the board of directors and fairness in transaction procedures and terms that are generally required for related party transactions. This highlights the need for a harmonious interpretation that does not undermine the practical necessity of related party transactions and management flexibility of listed companies while respecting the purpose of the above regulation. In this respect, it is necessary to construe the scope of credit extension involved in business transaction, purchase of securities for financial support, and commitment for contribution of capital limitedly in relation to the scope of credit provision. As for exceptions to the prohibition on credit provision, legislative improvements will be necessary as the current regulation does not make exceptions for financial support, such as credit provision, by a holding company toward its sub-subsidiary, which is necessary businesswise in view of the function of a holding company to control and administrate the management of its subsidiaries and sub-subsidiaries. Although there is some lack of clarity as to the substantive requirements for making exceptions, it is desirable to broadly consider the necessity of the transaction, the adequacy of the transaction terms, and whether the transaction is likely to undermine the management soundness of the company in consideration of the overall purpose of the regulation. Regarding the scope of application of the regulation for the large-scale rerlated party transaction of large-scale listed companies set forth in Paragraphs (3) and (4) of Article 542-9, it is more reasonable to view that the above regulation applies to capital transactions such as capital increase and capital reduction in addition to current transactions. As for the exceptions to the above regulation, report to the general meeting of shareholders will be required for transactions under general conditions while approval from the board of directors will not be required. Legislatively, we can consider acknowledging the performance of reporting obligation in case the provision of information to shareholders equivalent to the report to the general meeting of shareholders, such as a disclosure prior to the general meeting of shareholders, is performed. For routine transactions that fall within the scope of the total transaction amount approved by the board of directors, no additional board approval will be required and no report to the general meeting of shareholders will be required regarding the details of the transaction as well. However, since the board resolution to approve the total amount of transaction, which is the basis for the exception, is equivalent to the board approval for large-scale related party transactions, it would make legislative sense to require approval of the board of directors as to the specific transaction terms or the way how they should be dete...
