이사는 회사의 중요한 의사결정과정에 참여하는 기관이다. 이사는 상법상 선관주의의무와 충실의무 등을 부담한다. 자본시장법의 경우 이사의 의무와 책임은 기본적으로 상법상 이사와 동일하다. 상장회사에게 적용되는 상법상 특례규정의 규제도 당연히 존재하지만, 상장회사로서 자본시장법에서 부과되고 있는 상장법인의 각종 공시의무, 금융투자회사의 영업행위규제, 불공정행위규제, 인수합병 등과 관련하여 추가적인 의무와 책임이 존재한다.
자본시장의 건전성을 제고하기 위해서 상법과 자본시장법이 담고 있는 경영진인 이사의 의무와 책임은 매우 중요하다는 이해 위에, 이 논문에서는 이사의 법적 지위에 대한 일반적인 법원칙을 정리하고, 상법과 자본시장법상 상장회사의 이사에게 부과되는 의무에 알아본다. 투자자의 자기책임 투자원칙의 측면에서 불공정행위를 방지하기 위한 정보의 공시의무와 위반시 책임, 판례에서 나타나는 이사 내지 이사회의 내부통제시스템 구축의무와 관련하여 상법 규정의 근거를 찾아보고, 자본시장법상 준법감시로 도입되기 시작한 내부통제시스템의 운영과 관련한 이사의 의무도 살펴본다.
상장회사의 경우 불특정다수인이 거래하는 자본시장이라는 특성과 상장회사와 관련된 이해관계인(stakeholders)의 범위가 매우 넓다는 점에서 자본시장법은 상법상 기본적인 이사의 의무에 더하여 각종 공시의무를 부과하고 있다. 자본시장법은 정보의 비대칭이라는 문제를 해결하기 위하여 발행시장의 경우 증권신고서와 투자설명서 등을, 유통시장의 경우에는 사업보고서를 비롯한 각종 보고서의 정기공시의무를 부과하고 있다. 이에 더하여 자율규제에 의한 각종 공시의무도 있다. 둘째로 불공정거래행위를 방지하기 위하여 단기매매차익반환의무, 내부자거래 금지의무, 임원등의 특정증권 소유상황보고의무를, 공정한 거래기회 보호를 위하여 기업 인수합병과 관련하여 공개매수 관련정보 공시의무와 대량주식보유 보고의무(5% Rule)를 부과하고 있다. 이러한 의무들을 부과하는 것은 결국 건전한 시장질서를 확립하고 투자자 보호를 기함으로써 자본시장의 건전성을 제고하기 위함이다. 이를 위해서 감독당국은 물론이고 자율규제기관, 금융투자업자의 법상 의무도 중요하지만, 상장회사의 이사들이 직접적으로 주주 등에 대하여 신인의무를 부담한다는 사실을 명심하여야 한다.
한편 자본시장법, 금융회사지배구조법, 금융소비자보호법에서는 내부통제기준을 각각 규정하고 있는데, 각 법률의 목적에 맞게 내부통제기준의 내용을 차별적으로 마련할 필요가 있어 보이고, 위반시 제재수준도 너무 획일적이다.
The purpose of this paper is to look closely at the various duties and responsibilities of directors of listed companies. Basically, the position of legal academia is that directors bear fiduciary duty represented by duty of care and duty of fidelity, and apart from this, they basically have duty to monitor other directors' business execution. These duties apply to directors elected at the general shareholders' meeting, and therefore there is no discrimination between directors in charge and outside directors. However, although there may be some discrimination in the degree of duty to monitor depending on the importance of the task in charge and the position, there is also consensus that this should be supplemented through the operation of the internal control system.
When moving to listed companies, the Capital Markets Act provides various disclosures in addition to the basic duties of directors under the Commercial Act, given the characteristics of the capital market in which a large number of open market, not face-to-face, transactions and the range of stakeholders related to listed companies is very wide. is imposing an obligation. First, in order to solve the problem of information asymmetry in the primary and secondary markets, registration statement and prospectus in the primary market and various reporting requirements in the secondary market are obliged to be disclosed on a regular basis. Second, in order to prevent unfair trading practices, the duty to disgorge short-swing profits, the duty to prohibit trading activities by insiders using undisclosed inside information, and the duty to report ownership of specific securities by executives are imposed. Lastly, in relation to M&A, information disclosure related to tender offers and large stock holdings reporting obligations (5% rule) are imposed. The imposition of these duties is ultimately to improve the soundness of the capital market and protection of investors. To this end, legal obligations of not only supervisory authorities but also self-regulatory institutions and financial investment companies are important, but directors of listed companies directly bear credit obligations to shareholders, etc. It is most important to accurately recognize that disclosing information in an appropriate manner and time prescribed by law enhances the soundness of the market. Meanwhile, the Capital Markets Act, the Financial Company Governance Act, and the Financial Consumer Protection Act each stipulate internal control standards. It seems necessary to differentiate the contents of the internal control standards to suit the purpose of each law, and the level of sanctions in case of violation is also too uniform.
