계약해제 요건으로서 본질적 불이행, 귀책사유에 관한 연구 -국제규범과 비교법, 현행 민법과 민법 개정안 검토 및 입법 제안- = The Study on Fundamental Non-performance and Fault as Requirements for Contract Termination -Reviewing International Norms, Comparative Law, Korean Civil Code and its Amendment Drafts, Suggesting the Amendment-

Comparing the trends of international norms(e.g. CISG, PICC, PECL, DCFR) and other countries’(e.g. Germany, France, Japan) legislation as to the requirements of contract termination with that of Korean Civil Code and its amendment drafts could be a momentum with which the current status of Korean Civil Code and possible improvements can be examined. Furthermore, it also has significance when we do research into the way how accumulated theories and cases in Korea can be applied after the future Code revision which will certainly reflect the international trend.
As to the objective requirement, international norms generally establish “fundamental non-performance” as the major termination cause and more detailed requirements(factors) can be categorized as follows : ① breach of agreement(contract internal, ex ante), ② deprivation of performance interest(contract external, ex post), ③ loss of reliability. While the revised French Civil Code requires sufficiently significant non-performance, Germany and Japan, separating ‘Nachfrist’ and ‘Non-nachfrist’ termination, keep the existing typology. The Korean amendment drafts seem to be influenced by the latter two countries. The simplification of termination causes is reasonable when we consider that it is the common international trend and the typology has some flaws like complexification of conflict. In addition, “fundamental non-performance” doctrine is not unfamiliar in Korean Civil Code, giving consideration to doctrine of subordinate obligation non-performance, clauses on liability due to a defect, ‘significance’ requirement in avoidance owing to mistake and doctrine about damages in lieu of performance.
International norms provide ‘Nachfrist’ termination and other kinds of termination causes, but the essence of each cause(type) is just “fundamental non-performance”. This assessment is a premise for unified understanding about termination system and simpler legislation.
With regard to subjective requirement(fault), excluding the responsibility of obligor is the general international trend. However, intention and negligence(foreseeability) are still playing important roles. If we find that the aim of that exclusion is the relief for the aggrieved party, not exclusion itself, it is not a problematic situation, rather necessary.
Based on the above examination, I suggest the amendment on the requirements of termination as undermentioned : ① Type1) ‘Non-Nachfrist’ termination due to fundamental non-performance, ② Type2) ‘Nachfrist’ termination(without ‘minor’ requirement), ③ simplifying the articles(excluding some individual termination causes in international norms), ④ the clause of exception founded on balancing test, regarding intention, negligence, contribution and performance preparation, etc.
계약해제 요건에 관한 국제규범(CISG, PICC, PECL, DCFR), 각국(독일, 프랑스, 일본) 입법의 경향을 현행 민법 및 개정안과 비교하는 작업은 우리 법제의 현황을 점검하고 개선된 입법을 타진하는 계기가 된다. 덧붙여 국제적 흐름이 반영될 것임이 명백한 실제 개정 이후로, 축적된 우리의 학설, 판례가 어디에서 활용될 것인지 좌표를 확인하는 의미도 있다.
객관적 요건에 있어, 국제규범들은 대체로 본질적 불이행을 주된 해제 사유로 규정하는데 세부 요건(요소)은 ① 합의 위반[계약 내적, 사전(事前)적], ② 기대이익 박탈[계약 외적, 사후(事後)적], ③ 신뢰 파괴로 정리될 수 있다. 프랑스 개정법은 충분히 중대한 불이행을 요건으로 하는 반면, 독일, 일본은 최고, 무최고해제를 나누면서 기존의 유형론을 어느 정도 유지하고 있으며, 우리의 개정안은 후자의 영향을 받은 것으로 보인다. 해제 사유를 단순화하는 것은 공통된 국제적 경향일 뿐만 아니라, 분쟁의 복잡화 등 유형론의 한계를 고려할 때 타당하고, 부수적 채무 불이행 법리, 담보책임 규정, 전보배상 법리 등에 비추어 본질적 불이행 법리는 현행 민법에서도 낯설지 않다.
한편 국제규범들은 부가기간(Nachfrist) 해제 및 그 밖의 여러 해제 사유들을 정하는데, 각각의 실질은 결국 본질적 불이행으로 귀결된다. 이러한 평가는 해제 제도에 대한 통일적 이해 및 보다 간소한 입법론의 전제가 된다.
주관적 요건, 즉 귀책사유와 관련하여 귀책주의 포기로의 전환은 국제적 대세이나, 전환 이후로도 고의, 과실(예견가능성)은 여전히 중요한 역할을 수행한다. 귀책주의 포기의 본질을 포기 자체가 아니라 해제가 될 만한 사안에서 해제가 이루어져 불이행 상대방을 구제한다는 점에서 찾는다면 이는 문제라고 보기는 어렵고 오히려 지향될 필요도 있다.
이상의 검토를 바탕으로 하여 해제의 요건에 관하여 다음과 같은 입법 제안을 한다. ① 제1유형으로서 본질적 불이행 무최고해제, ② 제2유형으로서 최고해제(경미성 요건 없음), ③ 규정의 간소화(국제규범들의 개별 해제 사유들 배제), ④ 고의, 과실, 기여도, 이행준비 정도 등을 고려한 이익형량에 따른 해제 배제사유 규정
