필라1과 필라2 관련 최근 논의의 동향과 시사점 = The Recent Trends and Implications related to Pillar 1 and Pillar 2

OECD의 포괄적 이행체계는 BEPS 프로젝트의 총 15개 Action Plan 중 디지털 경제의 조세문제에 관한 보다 심층적인 논의로서 2가지 접근법을 제안하였는데, 그 중 하나는 소비지 역할을 담당하는 시장국가에 과세권을 분배하기 위한 목적의 규칙인 필라1이고 또 다른 하나는 다국적 기업의 여러 국가들에서 이루어지는 과세가 최소한의 세율인 15%에 미치지 못한 경우 그 부족한 과세금액에 대하여 다국적 기업 그룹이 추가적으로 세부담을 하도록 하는 글로벌 최저한세 규칙인 필라2이다. 과세권의 분배 문제를 다루는 필라1의 경우 최초 도입 과정에서 EU와 미국 등 각국의 이해관계가 첨예하게 얽히면서 상대적으로 필라2에 비하여 논의의 진행이 다소 지연되고 있다고 평가할 수 있다.
필라1의 적용대상 여부를 판단하는 연결 매출액 기준과 세전이익률 기준은 이론적인 근거가 없는 자의적인 기준이라는 비판이 제기되고 있고 필라1의 핵심 요소인 Amount A 역시 매출액 기준과 수익성 기준으로 그 적용대상을 한정하는 것은 주관성이 개입된 것으로 보이므로 바람직하지 않다고 생각된다. 다국적 기업 그룹의 모든 기업을 필라1의 적용대상으로 하고, 다국적 기업의 전체 이익을 Amount A의 배분대상으로 하는 것이 보다 합리적일 것이다. 필라1의 Amount A는 자산의 감가상각과 급여를 고려하여 계산한 잔여이익률을 기준으로 이중과세 제거의무를 부담하도록 규정하는데, 잔여이익률을 기준으로 이중과세제거 대상 국가를 판단하는 점의 합리성, 그리고 이중과세제거 부담을 배분하기 위하여 국가들을 3단계로 나누는 기준에 대한 타당성을 찾기 어렵다고 생각된다. Amount B의 경우 ‘기본적인 마케팅 및 유통 활동’에 대한 판단이 매우 중요할 것인데, 그 의미가 명확하지 않아 실무적으로 적용하기에 어려움이 있을 것으로 판단된다. Amount B에서는 정상가격을 보다 단순하게 계산하기 위하여 정해진 표준가격 산정표를 이용하는데, 이 때 고려대상이 되는 OES의 경우 운영비용에 대한 회계처리의 선택을 통하여 높은 정상가격의 적용을 받으려는 유인이 발생할 수 있으므로 표준가격 산정표에 따른 정상가격 계산방식의 합리성에 다소 의문이 든다. 현행의 조세조약 체계에서는 외국법인의 원천지국에 물리적 실체가 있는 고정사업장이 실재하여야 원천지국의 과세권이 인정되지만 필라1의 경우 개별 시장 소재지국에 다국적 기업 그룹의 고정사업장이 없더라도 과세권이 창출되어 현행의 조세조약과 필라1은 상충되는 측면이 있으므로, 필라1의 Amount A 적용에 따라 과세권을 배분하려면 조세조약의 개정이 필요하다고 할 것이다. 필라1의 경우 기본적으로 과세권 배분에 관한 문제가 가장 중요한 쟁점이 될 수 있으므로 배분기준을 어떻게 설정할 것인지의 문제가 크게 대두될 여지가 있다.
필라2는 국가 간 조세정책 또는 조세조약 상의 차별을 최소화할 수 있고, 과도한 조세경쟁을 방지할 수 있다는 측면에서 긍정적으로 평가될 수 있지만 여전히 글로벌 최저한세 이상의 세율이 적용되는 국가 간 조세경쟁을 완전히 불식시키기에는 한계가 있고 납세자의 납세협력비용 및 과세관청의 조세 행정비용이 과도하게 발생하는 문제가 있다. 필라2를 시행함에 따른 효익에 필수적으로 수반되는 납세자의 납세협력비용 및 과세관청의 조세 행정비용을 경감시킬 수 있는 방안을 지속적으로 검토하고 마련하여야 할 것이다. ...
OECD’s Inclusive Framework proposed two approaches as a more in-depth discussion on tax issues in the digital economy among the 15 Action Plans of the BEPS project. One of them is Pillar 1, a rule aimed at distributing taxing rights to market countries that serve as consumption roles. Another is Pillar 2, a Global Anti-Base Erosion(GloBE) rule that requires multinational enterprise groups to pay additional taxes for the insufficient tax amount when the tax rate in several countries of multinational enterprise is less than 15%. In the case of Pillar 1, which deals with the issue of distribution of taxation rights, it can be evaluated that the progress of discussions is relatively delayed compared to Pillar 2, as the interests of countries such as the EU and the United States became sharply intertwined during the initial introduction process.
Criticism has been raised that the consolidated sales standard and pre-tax profit margin standard used to determine the application of Pillar 1 are arbitrary standards without theoretical basis. Also, Amount A, a key element of Pillar 1, is also considered undesirable because it appears to involve subjectivity to limit its application based on sales and profitability standards. It would be more reasonable to make all companies in a multinational corporate group subject to Pillar 1 and make the entire profits of multinational companies subject to Amount A distribution. Amount A of Pillar 1 stipulates that the obligation to eliminate double taxation is imposed based on the return on depreciation and payroll. However, it seems difficult to find the rationality of judging countries subject to double taxation elimination based on the return on depreciation and payroll and the validity of the standard for dividing countries into three stages to distribute the burden of double taxation elimination. In the case of Amount B, judgment on ‘baseline marketing and distribution activities’ will be very important, but its meaning is not clear, so it is judged to be difficult to apply in practice. Amount B uses a pricing matrix to calculate the normal price more simply. At this time, in the case of OES that is considered, there may be an incentive to apply a high arm’s length price through the selection of accounting treatment for operating expenses. Therefore, there are some doubts about the rationality of the arm’s length price calculation method according to the pricing matrix. In the current tax treaty system, the taxing rights of the source country are recognized only when a permanent establishment with physical substance exists in the source country of the foreign corporation. However, in the case of Pillar 1, taxing rights are created even if there is no permanent establishment of the multinational corporate group in the individual market location country, so there is a conflict between the current tax treaty and Pillar 1. Therefore, it would be necessary to revise the tax treaty to allocate taxing rights according to the application of Amount A of Pillar 1. In the case of Pillar 1, the issue of distribution of taxation rights may be the most important issue, so the question of how to set the distribution standard may be raised significantly.
Pillar 2 can be evaluated positively in that it can minimize discrimination in tax policies or tax treaties between countries and prevent excessive tax competition, but there are still limits to completely eliminating tax competition between countries where tax rates above the global minimum tax are applied, and there is a problem of excessive tax cooperation costs for taxpayers and tax administration costs for tax authorities. It is necessary to continuously review and prepare measures to reduce taxpayers’ tax cooperation costs and tax administration costs that are essential to the benefits of implementing Pillar 2.
