하도급거래관계는 전형적인 민사계약관계이므로 그에 관한 법적 분쟁의 해결을 하도급법에 맡길 것이 아니라 민법이나 상법을 적용하여 당사자간의 사적 자치에 맡기는 것이 적절하다는 주장이 있다. 그러나 우월한 거래상 지위를 가진 사업자가 그 지위를 남용하여 하는 하도급거래에 대해서는 국가가 하도급법 집행을 통하여 후견적으로 개입하여 공정성을 담보하도록 하는 것이 불가피하다.
본고의 목적은 하도급법의 대․중소기업간 상생협력을 위한 법리와 역할을 점검해 보려는 것이다. 하도급법은 대․중소기업간 하도급거래뿐만이 아니라 중소기업들간의 하도급거래까지를 포함하는 전체 하도급거래에서의 공정성을 담보하는 것에 그 직접적 입법목적이 있다. 즉 하도급법은 직접적으로는 ‘하도급거래질서의 공정성’을 확보하기 위한 법으로서 그 직접목적이 달성되는 결과 궁극적으로 ‘대․중소기업간 상생협력 및 동반성장 문화를 구축’하는 효과를 달성할 수 있겠지만 후자를 직접목적으로 하는 것은 아니라고 본다. 그러한 목적을 위하여 이 법의 적절한 적용범위를 거래, 행위주체 및 위반행위 차원에서 획정하는 것이 필요하다. 하도급법 실체조항 전체의 체계를 요약하면, 원사업자의 수급사업자와의 수직적 거래관계에서의 거래상 지위남용을 막기 위한 규범들(의무조항과 금지조항)과 발주자의 의무사항이 중심을 이루고, 표준하도급계약서의 작성․사용과 ‘공정거래 및 동반성장 협약’체결 등의 권장조항은 그것의 보완적 수단이다.
하도급법은 하도급관계만이 아니라 원도급관계 역시 원사업자의 매출액이나 종업원 수 등의 규모를 조건으로 하여 그 적용대상으로 한다. 하도급법이 보호하려고 하는 것은 자기보다 상대적으로 우월한 거래상 지위를 가진 사업자로부터 도급을 받는 수급사업자이다. 하도급법상 수급사업자란 원사업자로부터 제조 등의 위탁을 받은 중소기업자를 말한다. 2015년 7월 개정 하도급법은 원사업자의 규모기준 가운데 상시고용 종업원 수를 제외하고 연간매출액 기준으로 일원화하였고(제2조제2항제2호), 하도급대금의 지급시기와 관련된 사항에 관하여 일정한 중견기업을 수급사업자로서 보호하는 규정(제13조제11항)을 신설하였다. 양자 모두 타당한 방향의 개정이라고 본다. 원칙적으로 하도급법의 적용범위를 획정함에 있어서 유의할 사항은 대․중소기업간 상생협력을 위해서는 하도급법의 내용은 단순히 원사업자에게 불이익을 주어서 수탁사업자를 지원하기 위한 내용이 아니라 하도급거래의 당사자에게 공정한 하도급거래가 되도록 보장하기 위한 내용이어야 한다는 점이다. 환언하면 하도급법은 공정한 하도급거래의 형성․유지를 위한 객관적 기준을 제시하여야 한다.
원사업자와 수급사업자간의 수직적 거래관계에서의 경쟁제한 가운데 거래상 지위의 남용에 대하여서는 하도급법이 적용되고 거래상 지위의 남용 이외의 불공정한 하도급거래에 대해서는 하도급법이 아닌 공정거래법이 적용된다.
특히 수급사업자가 배타조건부거래를 오랫동안 하게 되면 과다한 전환비용이나 장기간의 전환기간 등의 이유로 하도급법상 마련되어 있는 구제제도를 실제로는 이용하지 못할 가능성이 있다. 하도급거래에서의 이러한 특수한 상황에 대응하기 위하여 원사업자가 수급사업자에 대하여 배타조건부거래를 강요하는 행위를 하도급법 ...
Some commentators argue that the subcontracting relationship belongs to private realm that should be applied not by a public law such as the Fair Transactions In Subcontracting Act (hereinafter “the Subcontracting Act”) but by the Civil Code and the Commercial Act for the private autonomy. However it is necessary for government to intervene the subcontracting relationship because principal contractors could abuse their positions in trade with subcontractors unfairly.
The purpose of this article is to discuss the doctrine and function of the Subcontracting Act for the collaborative cooperation between large enterprises and small and medium sized enterprises (hereinafter “SMEs”). In my opinion, the collaborative cooperation between large enterprises and SMEs is an indirect objective or ultimate purpose. Article 1 of the Subcontracting Act declares that the purpose of this Act is to contribute to the sound development of the national economy by establishing fair order in subcontract transactions so that the principal contractor and subcontractor may complement each other and develop balance on equal terms. Considering a principal contractor herself can be a SME, the direct objective of the Subcontracting Act will be the prohibition of unfair subcontracting relationship between principal contractors and subcontractors. For that ends, the adequate scope of the Act should be defined in the transactions, actors, and offenses dimensions.
The Subcontracting Act provides principal contractors’ duties and obligations to prohibit abuse of their positions in trade.
Firstly, the Subcontracting Act applies not only when the prime contractor, who is entrusted with such tasks as manufacturing (including processing, hereinafter the same shall apply), repair, construction, or services (hereinafter “manufacturing, etc.”) by another business operator, re-entrusts the subcontractor with what she was entrusted and the subcontractor manufactures, repairs, constructs, or provides services of what was entrusted (hereinafter the “subject matter”) and delivers, transfers, or provides (hereinafter “deliver, etc.”) the subject matter to the prime contractor and receives a consideration (hereinafter “subcontract consideration”) in return but also when the prime contractor entrusts the subcontractor with such tasks as manufacturing, etc., and the subcontractor deliver, etc. the subject matter and receive a consideration. That is to say the subcontract transactions in the Subcontracting Act include prime contracts too.
Secondly, “subcontractor” in the Subcontracting Act means a SME who is entrusted with manufacturing, etc. by a principal contractor. “Principal contractor” in this Act should be either enterprises except for SMEs or SMEs whose annual sales in the immediately preceding business year, or whose number of regular employees is more than that of other SMEs who are entrusted with manufacturing, etc., and who entrusts other SMEs with manufacturing, etc.
Now the National Assembly considers removing employees’ number criterion from the prime contractor requirement and adding established companies who do not belong to conglomerates or SMEs into the protected subcontractors in this act. I think that the simplification of the prime contractor requirement can avoid some confusions and that adding established companies into the subcontractors in the Subcontracting Act will not be unreasonable because the act should provide objective standards for fair order of subcontracting transaction no matter how size the subcontractors have.
Thirdly, we can trace the origin of offenses of the Subcontracting Act from unfair trade practices, specifically abuses of principal contractors’es position in trade in article 23 (1) 4. So article 23 (1) 4 of the Monopoly Regulation and Fair Trade Act (hereinafter the “Fair Trade Act”) shall not apply to matters concerning subcontract transactions to which this act applies.
