주식회사의 대표이사가 이사회 결의에 따라 일정한 거래행위를 하도록 되어 있는데도 이사회 결의 없이 거래행위를 한 경우에 거래 상대방인 제3자는 어떠한 범위에서 보호되는지 여부가 이 사건의 쟁점이다.
이에 관하여 기존의 대법원 판례는, 상법 제393조 제1항에 따라 이사회 결의를 거쳐야 하는 경우(법률상 제한)와 회사의 정관 등 내부 규정에 따라 이사회 결의를 거쳐야 하는 경우(내부적 제한)를 구별하지 않고, “거래 상대방이 이사회 결의 없음을 알았거나 알 수 있었을 경우가 아니라면 유효”라고 하여 선의·무과실의 상대방을 보호하여 왔다. 그러나 이에 대하여는 같은 쟁점에 관한 일본 판례와 같이 비진의 의사표시에 관한 민법규정을 유추적용하는 것으로 평가하면서 그 근거가 논리적으로 명확하지 않다는 점, 표현대표이사 등 여타의 상거래 사안에서 경과실 있는 상대방을 보호하는 판례 법리와 균형이 맞지 않는다는 점, 법률상 제한과 내부적 제한은 구별되어야 함에도 양자를 같이 취급한다는 점 등의 비판이 제기되어 왔다.
대법원은 대상판결을 통해, 상법 제393조 제1항에 위반한 법률상 제한 사안과 내부적 제한 사안 모두 상법 제389조 제3항에서 주식회사 대표이사에게 준용하도록 정한 상법 제209조 제2항에 따라 ‘선의의 제3자’를 보호하도록 하되, 중과실 있는 자는 악의와 같이 보아 보호하지 않는다는 법리를 선언하였다. 내부적 제한에 관하여 상법 제209조 제2항에 따라야 한다는 점에는 논리적으로 큰 의문이 없었으나, 상법 제393조 제1항에 위반하여 이사회 결의를 흠결한 경우에도 상법 제209조 제2항을 적용하는 것이 타당한지, 아니면 내부적 제한과 구별하여 취급해야 하는 것인지에 관하여는 치열하게 다투어졌다. 대상판결 다수의견은, 상법 제393조 제1항에 위반한 법률상 제한 사안과 내부적 제한 사안이 논리적으로 구별됨을 부정하지 않으면서도, 상법 제393조 제1항의 해석론이 명확하지 않고 양자를 구별하여 취급할 경우 예상되는 현실적 어려움 등을 이유로 양자를 동일하게 취급하여 상법 제209조 제2항을 적용하도록 하는 견해를 취하였다. 이에 대하여, 상법 제393조 제1항 위반의 법률상 제한에 관하여 상법 제209조 제2항을 적용하는 것이 타당하지 않음을 주된 논거로 하여, 구체적 타당성과 쌍방의 이해관계 조정에 있어 기존의 판례가 더 우월하므로 판례변경의 필요성이 없다는 대법관 4인의 반대의견이 있었다.
대상판결은, 주식회사 대표이사가 이사회 결의를 거쳐야 함에도 이를 거치지 않고 행위한 경우에 상법 제389조 제3항에 따라 준용되는 제209조 제2항에 따라 ‘선의의 제3자’를 보호하되 중과실 있는 자는 악의로 보도록 하는 새로운 법리를 선언하는 한편, 중과실의 의미를 구체적으로 정의하고 그 판단에 있어 고려해야 할 요소를 열거함으로써 하급심에 대하여 그 판단의 지침을 제공하고자 하였다. 이는 표현대표이사 사안, 상법 제398조에 위반한 이사와 회사 사이의 자기거래 사안 등 여타의 상거래 사례에서 중과실 있는 자를 악의자와 같이 보되 경과실 있는 자는 보호해 온 대법원 판례의 흐름에도 부합하는 것이어서 더욱 의미가 있다. 또한 대상판결의 다수의견과 반대의견, 보충의견에서 드러난 것처럼 그 논의과정에서 이사회 권한을 규정한 상법 제393조 제1항의 취지와 그 의미, 주식회사에서 이사회와 대표이사의 관계, 합명회사에 ...
The gist of the subject case pertains to the scope of protection that should be afforded to a counterparty of a transaction, a third party with whom a representing director of a stock company made transactions in violation of a requirement that the representing director of a stock company shall effect any transaction pursuant to a resolution adopted by the board of directors.
The previous Supreme Court precedents have provided protection for a good faith, non-liable third person counterparty by stating that “transactions shall be valid unless the counterparty knew or could have known that no resolution was adopted by the board of directors”, without distinguishing the cases where a resolution of the board of directors is required pursuant to Article 393(1) of the Commercial Act (statutory restriction) from the cases where a resolution of the board of director is required in accordance with the internal regulations such as the company’s articles of incorporation (internal restriction). However, these precedents have largely been subject to criticism that (1) such precedents are similar with a Japanese precedent that applied mutatis mutandis a civil law provision on declaration of untrue intention, but lack rational grounds therefor; (2) they are inconsistent with the legal doctrine of protection of the counterparty who committed ordinary negligence, or culpa levis, in other cases of transactions involving, for example, apparent representative directors; and (3) these precedents treat equally statutory restriction and internal restriction although they should be distinguished.
In the subject case, the Supreme Court proclaimed a legal doctrine that “a third person acting in good faith” shall be protected according to Article 209(2) of the Commercial Act, which stipulated that both cases in violation of statutory restriction and internal restriction under Article 393(1) of the Commercial Act shall be applied mutatis mutandis to cases concerning a representing director of a stock company under Article 389(3) of the Commercial Act, except that a person with gross negligence is considered as a person acting in bad faith and thus is excluded from protection. While the rationale of the argument that Article 209(2) of the Commercial Act should be adhered to when it comes to internal restriction was not much opposed, the problem of whether the application of Article 209(2) of the Commercial Act was appropriate even in a case where no resolution was adopted by the board of directors in violation of Article 393(1) of the Commercial Act, or whether such case should be treated differently from the cases involving internal restriction, was fiercely debated. The Majority Opinion in the subject case did not contest that the cases involving statutory restriction and the cases involving internal restriction in violation of Article 393(1) of the Commercial Act were logically distinguished from each other, yet it maintained that both cases should be treated equally and subject to the application of Article 209(2) of the Commercial Act on the grounds that the approach to the interpretation of Article 393(1) of the Commercial Act remained unclear and that differential treatment of the two is expected to entail many realistic difficulties. In response, four Justices dissented with the Majority Opinion, reasoning that it is inappropriate to apply Article 209(2) of the Commercial Act to statutory restriction in violation of Article 393(1) of the Commercial Act, and, therefore, that there is no need for overturning the precedents, as existing precedent is superior in terms of concrete reasonableness and adjustment of mutual interests.
