중국법상 계열회사와 기업집단의 입법문제와 한국 경험의 의의 = Legislative Reflections on Affiliated Enterprises and Enterprise Groups under Chinese Law and Significance of Korean Experience

이 글은 먼저 중국의 계열회사와 기업집단에 관한 입법을 설명하고 중국 사법 실무에서 계열회사와 기업집단의 적용에 대하여 논한다. 그 다음 한국 공정거래법에서 규정된 동일인 제도와 순환출자, 상호출자에 대한 설명을 통해 한국 정부가 기업집단을 규제하는 방법을 다룬다. 마지막으로 한국의 경험을 통해 중국에 대한 시사점을 제시하고자 한다.
중국의 대규모 기업집단은 최근 수십 년 동안 급속한 발전을 이뤄왔다. 중국 정부는 대규모 기업집단을 통해 경제발전을 촉진하고 민생을 통제하며 국제 시장에 진출하고 있다. 중국의 국유기업집단은 주로 정부의 다양한 요구에 따라 행정명령을 통해 조직되었으며, 경영 효율성과 합리성에 대한 검증 없이 국내외에 진출했다. 중국의 기업집단에 관한 입법을 살펴보면 계열회사와 기업집단을 규제하는 것이 국가의 경제구조를 계획하고 독점을 예방하기 위한 것보다는 기업의 내부 지배구조를 규제하고 세금을 징수하기 위한 목적에 불과하다는 것을 알 수 있다. 중국의 대규모 기업집단은 행정명령과 경제적 연관성을 통해 거대한 기업 시스템을 구축하였으며 이 시스템을 발전시키는 과정에서 여러 단점이 발생하기 마련이다. 그러나 현재까지 중국정부는 대규모 기업집단의 신속한 발전을 지원하고 촉진하는 측면만 보일 뿐 규제적인 입장을 취하고 있지 않은 것으로 보인다.
한국은 지난 수십 년 동안 가족기업이 계열회사와 순환출자의 모델을 통해 대규모 기업집단을 형성해왔다. 이러한 기업집단은 한국의 경제 발전 모델을 구성하고 있다. 그러나 한국의 재벌총수체제는 1997년의 경제위기에서 그 단점이 드러났다. 대규모 집단기업 총수 일가가 소수의 지분으로 전체 기업집단을 지배함으로써 소수지배주주체제를 구축했다. 이러한 체제는 결국 국가의 경제를 지배하는 결과를 낳았다. 한국 정부는 이러한 재벌총수체제의 문제에 대응하기 위해 공정거래법을 통해 대규모 기업집단에 대한 규제체제를 마련했다. 즉 공정거래위원회는 자산이 5조원 이상인 대기업 집단을 지배하는 동일인, 즉 총수 일가를 지정하는 제도를 도입했다. 한국 공정거래위원회는 매년 동일인에 속하는 기업집단 목록을 작성하고 공개한다. 동일인으로 지정된 기업집단에 대해서는 특수관계인이 실질적인 영향력 행사하여 부당한 이익을 추구하거나 취득하는 것을 방지하기 위해 각종 신고 및 정보 제출의무를 부과하고 있다. 이러한 제도는 한국 대규모 기업집단의 발전을 규제하고 있다.
한국과 중국의 기업집단은 지배구조 측면에서 매우 유사한 측면이 있다. 특히 지배주주가 안정적이고 외부 제약을 크게 받지 않으며 기업에 대한 지배력을 완전히 행사한다는 점에서는 거의 동일하다. 그러나 두 나라 간의 차이점은, 중국 국유기업집단의 지배주주가 정부인 반면, 한국 집단기업의 지배주주는 총수 일가인 점이다. 지배주주가 기업을 절대적으로 지배하는 상황에서 기업 총수가 일방적으로 기업 규모를 확장하는 것을 제지할 수 있는 장치가 없다면 지배주주의 결정으로 인해 기업집단 전체가 위험에 처할 수 있는 점은 양자가 동일하다. 그렇다면 한국 기업집단의 단점이 중국 기업집단에도 존재하는 것인가? 그러한 것이라면 한국 기업 지배구조의 경험은 중국 정부가 참고할 만한 가치가 있으며, 특히 동일인 지정제도는 중국 정부가 충분히 참고하고 연구 ...
This article fist describes the relevant legal provisions on associated enterprises and enterprise groups in China, and discusses the application of associated enterprises, related relationships and enterprise groups in Chinese judicial practice. It then describes the Koreas experience, describing the designation of the same person system in the Monopoly Regulation and Fair-Trade Act of Korea and the regulation of enterprise groups through the regulation of circular and sequential capital contributions. Finally, the authorʼs opinion is given as to whether the Korean experience can be of relevance to China.
Chinese enterprise groups have seen extremely rapid growth in recent decades, with the Chinese government developing its economy, controlling peopleʼs livelihoods and entering the international market through large enterprise groups. Chinses enterprise groups, especially state-owned enterprise groups, are basically formed by the government based on various needs and through administrative orders, and they have entered the market without any validation of rationality. Examining the legislation related to enterprise groups in China, it can be seen that the regulation of affiliated enterprises and related relationships in Chinese law is only for the purpose of regulating the internal governance structure of companies and tax collection, rather than for the purpose of planning the economic structure of the country and regulating monopolies. Chinaʼs enterprise groups have formed a huge enterprise system through economic ties and administrative orders, and this system will naturally have corresponding disadvantages in the process of development. However, at present, China only supports and promotes the rapid development of enterprise groups, and does not see a position to regulate them.
In the South Korea, over the past few decades, family enterprise has formed large conglomerates through related enterprise and circular capital contribution, and such businesses have shaped the countryʼs economic development model. The shortcomings of Korean family enterprise were exposed in the 1997 economic crisis. Individual families at the top of such enterprises control the entire conglomerates with only a small number of shares, creating a minority shareholding system that has even shaped the countryʼs economy. In response to the shortcomings of this economic model, the Korean government established a regulatory system represented by the Monopoly Regulation and Fair-Trade Act, which is a system of designating the same person, i.e., family that controls a enterprise group with assets exceeding 5 trillion won, the Fair Trade Commission establishes and publishes a catalog of enterprise groups belonging to the same person. The enterprise groups designated as the same person are required to fulfill various reporting and submission obligation to prevent the special relations of the enterprise groups form seeking or obtaining undue benefits through the exercise of actual influence. This system has regulated the development of large Korean enterprise groups.
Korean enterprise groups and Chinses enterprise groups are extremely similar in terms of corporate governance structure, especially in that the controlling shareholders have a stable position and exercise control over the enterprise largely unencumbered by external constraints, which in turn results in the controlling shareholders being arbitrary and domineering, which is almost entirely similar. The difference is that the controlling shareholder of Chinses state-owned enterprise groups is the government, while the controlling shareholder of Korean enterprise groups is the family.
