집단중재의 성질에 관한 고찰 = A Study on the Nature of Class Arbitration

중재는 당사자들이 합의하여 진행하는 절차이다. 중재절차에서 당사자들은 자율적으로 중재인을 선택할 수 있고 중재인들은 중립적인 지위에서 당사자들을 심리하여 청구에 대한 판정을 내리고 당사자들은 중재판정에 구속된다. 만약 당사자들이 집단중재에 명시적으로 동의했다면 집단중재는 문제될 것이 없다. 당사자의 동의가 존재한다면 일대일 중재의 성격과 집단중재의 성격이 다른 것은 아니기 때문이다. 실제로 모든 중재에서 제기되는 공통의 쟁점은 당사자들이 그 특정 분쟁을 중재에 의해 해결하기로 동의했는지 여부이다. 만약 모든 당사자들이 집단중재에 사전 동의를 한 것이 아니라면 중재판정부는 집단중재가 허용되는지를 검토해야 한다. 중재의 속성을 가진 다수당사자 중재는 그에 관한 명시적인 사전 합의가 없더라도 당사자의 사후 동의가 있으면 가능하며 중재판정부는 묵시적 동의에 기초하여 다수당사자 중재절차를 진행할 수도 있다. 이에 비추어보면 중재합의가 존재하는 한 집단중재에 관한 묵시적 동의가 있다고 보는 것이 전혀 불가능하지는 않다. 미국 연방대법원의 판결들도 사전에 집단중재의 합의가 명시적으로 존재했어야 한다는 취지를 판시한 것은 아니었다. 다만 집단중재는 집단소송에 더 가까운 성질을 가지기 때문에 당사자들이 합의에 의하여 집단소송을 포기한 이상 집단중재도 포기한 것으로 보아야 하므로 개별중재에 의하여야 한다는 입장을 밝힌 것이다. 그러나 집단소송의 포기가 집단중재를 포기한 것이라고 보는 것은 집단중재는 중재의 속성을 보유하고 있다는 점에서 타당하지 않다. 어떤 절차가 당사자들이 자율적으로 선택하지 않은 제3의 심판자에 의해 심판을 받고 그 판단에 구속된다면 중재의 속성을 가졌다고 말하기는 어려울 것이지만, 집단중재절차는 이에 해당되지 않는다. 집단중재를 일대일 중재와 구별하려는 견해는 중재의 단순성, 비공식성, 신속성이라는 측면에 치우친 주장이다. 당사자들은 복잡하고 형식적이며 오래 걸리는 소송을 피하기 위해 중재를 선택한 것인데, 집단중재는 그것이 필연적으로 수반하는 광범위하고 형식적인 절차이므로 일대일 중재와 거리가 있다는 것이다. 집단중재가 일대일 중재보다 더 형식적일 수 있다는 것은 완전히 부정할 수는 없겠지만, 집단중재는 당사자들의 자율적인 선택권에 기초하여 선임된 중재인이 심리, 증거조사, 결정 등을 주재하는 사법적 성격의 절차로서 어디까지나 중재의 성질을 보유한 절차이다. 결론적으로 집단소송을 포기하고 중재에 의하기로 하는 조항만으로 집단중재가 허용되지 않는다는 견해는 집단중재가 여전히 중재의 성질을 보유하는 것이라는 점을 간과한 것으로 타당하지 않다고 본다. 집단소송 포기 및 강제중재 조항의 유효성에 대한 미국 의회에서의 논의와 소비자나 근로자 측의 새로운 전략인 대량중재의 출현에서 알 수 있듯이 집단적 분쟁의 해결을 위한 제도로서 중재에 관한 논의는 계속될 것으로 보인다.
더보기Arbitration is a procedure agreed upon by the parties. In the arbitration procedure, the parties may voluntarily choose an arbitrator, and the arbitrators hear the parties in a neutral position to make a judgment on the claim, and the parties are bound by the arbitration decision. If the parties explicitly agreed to class arbitration, class arbitration is not a problem. This is because if the consent of the parties exists, the nature of one-on-one arbitration and the nature of class arbitration are not different. Indeed, a common issue raised in all arbitrations is whether the parties have agreed to settle that particular dispute by arbitration. If not all parties have given prior consent to class arbitration, the arbitral tribunal should consider whether class arbitration is allowed. Multi-party arbitration with the nature of arbitration is possible with the parties' post-consent even without explicit prior agreement, and the arbitration tribunal may proceed with the multi-party arbitration procedure based on implied consent. In light of this, as long as there is an arbitration agreement, it is not impossible to see that there is an implied consent to class arbitration. The rulings of the U.S. Supreme Court did not explicitly judge that an agreement on class arbitration should have existed in advance. However, since class arbitration has a property closer to class action, it is stated that class arbitration should be considered as abandonment of class arbitration as long as the parties have given up class action by individual arbitration. However, it is not reasonable to view that the abandonment of class action is a abandonment of class arbitration in that class arbitration has the properties of arbitration. It would be difficult to say that a procedure has the nature of arbitration if it is judged by a third judge that the parties have not chosen autonomously and are bound by that judgment, but the class arbitration procedure does not apply to this. The view to distinguish class arbitration from one-on-one arbitration is an argument that is biased in terms of simplicity, informality, and speed of arbitration. The parties chose arbitration to avoid complicated, formal, and long-term litigation, which is a broad, formal procedure that inevitably entails, so it is far from one-on-one arbitration. It cannot be completely denied that class arbitration can be more formal than one-on-one arbitration, but class arbitration is a judicial procedure in which an arbitrator appointed based on the parties' autonomous options presides over hearing, evidence investigation, and decisions. In conclusion, the view that class arbitration is not allowed only by the class action waiver and arbitration clause is not valid as it overlooks that class arbitration still retains the nature of arbitration. Discussions on arbitration as a system for resolving collective disputes are expected to continue, as evidenced by discussions in the U.S. Congress on the validity of class-action waiver and arbitration clause and the emergence of mass arbitration, a new strategy for consumers and employees.
