P2P 보험의 법적 성격과 규제방안 연구
Along with the recent development of IT technology and SNS, P2P insurance has emerged and is developing as a type of insurtech in Europe and the United States. P2P insurance is an insurance system in which consumers(peer to peer) form an insurance group on their own and bear the risk of a certain amount of loss, but when the insurance period expires, the balance excluding insurance payments is refunded by the consumer’s designation. P2P insurance can be classified into three types depending on its operating entity: ① intermediary model, ② insurer model, and ③ platform provider model. Regardless of these types, the common concept elements that appear in P2P insurance are the composition of consumer-led risk groups, the absence of risk transfer to insurance companies, autonomy of the operation of risk groups, and insurance premium reimbursement when insurance expires.
P2P insurance has the following benefits. IT technologies such as SNS have significantly expanded the size of the social group that holds trust among members. P2P insurance using this is an insurance system based on mutual trust and suppresses the occurrence of moral harm. The economic benefits of reduced insurance payment that return to policyholders, and social monitoring of peer-to-peer networks contribute to transparency. In addition, P2P insurance can become consumers' own social safety net for small-scale accidents close to life.
In this paper, the legal nature of P2P insurance and legal issues when introduced in Korea were reviewed. The order of discussion is proceeded as below. The legal nature of P2P insurance(Chapter 3), the issues under the Insurance Contract Law(Chapter 4), and the issues under supervision and regulation(Chapter 5).
First of all, as detailed in Chapter 3, for the institutional introduction of P2P insurance, it is required to examine the nature of P2P insurance as a prerequisite for the application of the current commercial law or insurance business Act. In particular, unlike the existing insurance system, it is necessary to discuss the platform provider model in which there is no insurance company, and whether or not the traditional concept element of insurance is provided is as follows.
First, the existence of risk groups and risk transfers. The platform provider model has the appearance of a traditional risk group, such as risk homogeneity, cooperative loss compensation, individual risk assessment, and legal validity of rules by mutual agreements. In addition, it maintains the principle of equal treatment for policyholders, which the court proposes as one of the essences of risk groups. In the platform provider model, there is no insurance company, but if the risk is distributed within the group, all members can be treated as risk takers, that is, insurers. Therefore, there is also an internal risk transfer.
Second, the platform provider model presupposes small number of people such as clubs, but the court does not view the application of the law of large numbers as an indispensable element of insurance. Also, since the platform provider model still uses mathematical statistics, it is difficult to say that the law of large numbers itself is lacking.
In view of these points, P2P insurance of the platform provider model has the nature of insurance. It is similar to mutual insurance when considering the principle of mutual solidarity, community autonomy, and non-profit. In the end, this is a contract based on mutual insurance, and the commercial law can be applied by provisions applicable mutatis mutandis, as long as it does not contradict its nature in accordance with the applicable provisions of Article 664 of the commercial law in South Korea.
Chapter 4 reviewed the issues under the Insurance Contract Law on the premise of legal nature of P2P insurance. Regarding the obligation to explain insurance terms, the insurance company/insurance broker model uses the insurance terms and conditions of the insurer as it is, but the platform provider model is a kind of rules that are enacted and revised through voting, so it is not subject to the explanation obligation. Even if the application of the obligation to explain the terms and conditions is affirmed, if individual policyholder is both transferring risks and acting as a risk taker, there is a need to reduce the scope and content of the obligation to explain to a reasonable extent. Regarding the duty of disclosure, P2P insurance starts with the premise that other policyholders already know or know the risk of accidents. Therefore, the asymmetry of information existing in the existing insurance system is alleviated, and the meaning of the traditional the duty of disclosure is also faded.
Regarding the form of premium payment, legal validity is recognized even if P2P insurance adopts the post-payment method of premiums using cryptocurrency. In addition, in P2P insurance where the autonomy of group operation is emphasized, there may be situations in which speculative insurance accidents are contracted as a condition for payment of insurance payments, so regulations or guidelines need to be presented accordingly.
In Chapter 5, we reviewed the aspects of regulatory practice such as the Insurance Business Act, but the P2P insurance of the platform provider model may not formally be subject to regulations such as the Insurance Business Act. However, even though it is the same system as insurance to meet the economic demand for risk guarantee, it cannot be left outside the scope of regulation. Therefore, in terms of consumer protection, it is necessary to regulate similarly to a business licensed for insurance business, referring to EU’s precedent. To this end, there may be measures such as imposing capital requirements upon initial entry and limiting the number of policyholders, a system for evaluating the financial soundness of business entities, and operating essential advance notices upon joining.
Regarding the insurance sales certification regulation, it is necessary to establish a sales channel in consideration of the type of P2P insurance, and for this purpose, a revision of the law or operation of a regulatory sandbox can be considered. In terms of operating basic documents such as terms and conditions, it is necessary to simplify internal control procedures, and similar management system is required to the protocol of the platform provider model. On the other hand, since the establishment and operation of P2P insurance is based on information sharing among members, the current strict regulations on credit information should be naturally excluded or the intensity should be relaxed. In addition, it is possible to consider the establishment of separate grounds for regulations regarding restrictions on outsourcing of insurance companies or regulation of conducting fund-raising business without permission.
In conclusion, this study introduced the current status of overseas, whether it is insurance, and reviewed major legal issues that may be problematic under domestic law. Incorporating a certain economic phenomenon into the institutional sphere has a double-edged effect of activation and regulation. Considering the aspects of expanding the social safety net, increasing consumer welfare, and preparing measures to prevent consumer damage, it is necessary to open the possibility for a new type of mutual aid system to be established.
최근 IT 기술 및 SNS 발달과 함께 유럽·미국 등에서 인슈어테크(insurtech)의 구체적 모습으로 P2P 보험이 등장하여 발전하고 있다. P2P 보험이란 소비자들 간에(Peer to Peer) 스스로 보험단체를 구성하고 일정규모의 손실까지는 자체적으로 위험을 부담하되, 보험기간 만료시 지급보험금을 제외한 잔액을 소비자가 지정하는 방법으로 환급하는 위험보장제도이다. P2P 보험은 그 운영주체에 따라 ① 보험중개업자(intermediary) 모델, ② 보험회사(insurer) 모델, ③ 플랫폼제공자(platform provider) 모델 등 세 가지 유형으로 구분할 수 있다. 이러한 P2P 보험에 나타나는 공통적인 개념요소는 소비자 주도의 위험단체 구성, 보험회사에 대한 위험전가 부재, 위험단체 운영의 자치성, 보험만기시 보험료 환급이다.
P2P 보험은 아직 국내에 본격적으로 도입된 상태는 아니고, 실제 도입시 보험시장에 미칠 영향은 미지수이다. 그러나 P2P 보험이라는 새로운 경제현상은 근대 보험제도의 출발점이었던 개인간 상호부조체계가 IT 신기술을 활용하여 부활하는 제도적 시사점을 내포하고, 구체적으로 다음과 같은 효용성도 지닌다. SNS 등 IT 기술은 구성원간 신뢰를 보유하는 친목집단의 크기를 획기적으로 확장시켰다. 이를 이용하는 P2P 보험은 상호신뢰에 바탕한 위험보장제도로서 모럴해저드 발생을 억제한다. 감소된 지급보험금이 환급보험료로 돌아가는 경제적 이익, 동료간 네트워크라는 사회적 감시는 투명성을 나타나게 하는 원인이 된다. 또한, P2P 보험은 생활밀착 소규모 사고에 대한 소비자들 스스로의 사회안전망이 될 수 있다.
위와 같은 배경에서 본 연구는 P2P 보험의 법적 성격과 국내 도입시 실정법상 쟁점들을 검토하였는데, P2P 보험의 보험성(제3장), 보험계약법상 쟁점(제4장), 감독규제상 쟁점(제5장)의 순서로 논의를 진행하였다.
우선 제3장에서 상술하는 것처럼, P2P 보험의 제도적 도입을 위해서는 현행 상법이나 보험업법 적용의 전제로서 보험성(保險性) 여부의 검토가 요구된다. 특히 기존 보험제도와 달리 보험회사가 존재하지 않는 플랫폼제공자 모델을 중심으로 논할 필요가 있는데, 보험의 전통적 개념요소 구비 여부를 살펴보면 다음과 같다.
첫째, 위험단체와 위험전가 존재 여부이다. 플랫폼제공자 모델은 위험 동질성, 손실 공동보전, 개인별 위험평가, 상호간 규약의 범규범적 효력 등 전통적인 위험단체의 외관은 구비한다. 또한 실체적으로도 법원이 위험단체의 본질 중 하나로 제시하는 보험계약자 평등대우원칙을 유지한다. 그리고 플랫폼제공자 모델에 있어서 보험회사는 존재하지 않지만, 집단 내부에서 위험이 분산되는 경우에는 구성원 전원을 위험인수자, 즉 보험자로 취급할 수 있다. 따라서 내부적인 위험전가 역시 존재한다.
둘째, 플랫폼제공자 모델은 동호회 같은 소규모 가입자를 전제로 하지만, 법원은 대수의 법칙 적용을 보험의 필수불가결한 요소로 보지는 않는다. 특히 플랫폼제공자 모델도 여전히 수리통계 기법은 활용하고 있으므로, 대수의 법칙 자체가 결여되었다고 보기도 어렵다.
이러한 점들을 볼 때, 플랫폼제공자 모델의 P2P 보험은 보험성을 지니는데, 상호연대원리, 공동체적 자치주의, 비영리성을 고려하면 상호보험과 유사하다. 결국 플랫폼제공자 모델은 상호보험에 준한 계약으로서, 상법 제664조의 준용조항에 따라 그 성질에 반하지 않는 한 상법 보험편을 준용할 수 있다.
제4장에서는 법률적 보험성을 전제로 보험계약법상의 쟁점을 검토하였다. 보험약관 설명의무와 관련하여, 보험회사·보험중개업자 모델은 보험회사의 보험약관을 그대로 이용하지만 플랫폼제공자 모델은 투표를 통해 제·개정하는 일종의 자치규약(rules)이므로 설명의무 대상은 아니다. 설사 약관설명의무 적용을 긍정하더라도, 개별 가입자가 위험의 전가와 인수자 역할을 동시에 하는 모습이라면, 합리적 범위로 설명의무의 이행범위·내용을 감축할 필요성이 있다. 고지의무와 관련해서는 P2P 보험은 지인관계를 중심으로 위험단체를 구성하는 특성으로 인해, 보험가입자의 사고발생 위험도를 위험단체내 다른 구성원들이 잘 알 수 있다는 배경이 있다. 따라서 기존의 보험제도에서 존재하던 정보 비대칭이 완화되어, 전통적인 고지의무의 의미 역시 퇴색된다.
보험료 납입형태와 관련해서는, P2P 보험이 가상화폐를 이용한 보험료 사후납입방식을 채택했다고 하더라도 법적 유효성은 인정된다. 그리고 단체운영의 자치성이 강조되는 P2P 보험에 있어서, 자칫 사행적인 보험사고가 보험금 지급조건으로 약정되는 상황도 발생할 수 있으므로 별도의 규제 또는 가이드라인이 제시될 필요가 있다.
제5장에서는 보험업법 등 규제실무 측면의 검토를 진행하였는데, 플랫폼제공자 모델의 P2P 보험은 형식적으로는 보험업법 등의 규제대상에는 해당하지 않을 수 있다. 그러나 위험보장의 경제적 수요를 충족하기 위한 보험과 동일한 제도임에도 무작정 규제범위 밖에 방치할 수는 없다. 따라서 EU 사례를 참고하여 소비자보호 측면에서 실질적으로는 보험업 허가를 득한 사업자와 유사하게 규제해야 한다. 이를 위해 최초 진입시 자본요건 부과 및 가입인원 제한, 사업주체에 대한 재무건전성 평가제도, 가입시 필수적인 사전 고지사항 운영 등의 방안이 있을 수 있다.
보험모집자격 규제에 있어서도 P2P 보험의 유형을 감안한 모집주체 신설이 필요하고, 이를 위해 법개정 또는 규제샌드박스 운영을 검토해 볼 수 있다. 약관 등 보험업법상 기초서류 운영에 있어서는 내부통제절차 간소화 등이 필요하며, 플랫폼제공자 모델의 규약은 기초서류는 아니지만 유사한 관리체계 구축도 요구된다. 한편, P2P 보험 성립 및 운영은 구성원간 정보공유를 바탕으로 한다는 점에서, 현재의 엄격한 개인정보 보호 관련 규제는 자연스럽게 배제되거나 강도가 완화되어야 한다. 그리고 보험회사의 업무위탁제한 규제나 유사수신행위금지와 관련해서는 별도의 근거조항을 신설하는 방안도 고려할 수 있다.
결론적으로 본 연구에서는 P2P 보험의 해외현황 소개 및 보험성 여부, 그리고 국내법 상으로 문제될 수 있는 주요 법적 쟁점들을 검토하였다. 어떠한 경제적 현상을 제도권 내로 새로이 포함시키는 것은 활성화와 규제 부가라는 양날의 효과가 발생한다. 향후 P2P 보험의 도입을 위한 검토에 있어서는 사회안전망 확대와 소비자후생 증대라는 측면, 그리고 소비자피해 방지책 마련이라는 측면을 함께 고려하여, 새로운 유형의 상호부조 체계가 정립할 수 있는 가능성을 열어주어야 할 것이다.
