자본시장법 제정에 따른 기업감시자책임(Gatekeeper liability)에 대한 고찰 = Study on Gatekeeper Liability in Relation to the Enactment of theCapital Market and Financial Investment Service Act

기업감시자는 공시제도를 보완하여 기업의 위법행위를 억제함으로써 투자자와 시장을 보호하는 기능과 역할을 한다. 하지만 기업감시자가 많을수록 사회적 비용이 더 많이 소요될 수 있다는 측면에서 보면 중요한 것은 기업감시자가 그 역할을 다할 수 있도록 효율성을 제고할 수 있도록 하는 것이다. 이를 위해서는 기업감시자가 그 역할에 실패했을 때 실패를 인식할 수 있는 시스템을 갖춰야 하며, 책임을 묻는 규정이 명확해야 한다. 또한 기업감시자가 역할에 실패하지 않도록 법적인 책임을 묻는 동시에 지나친 책임(채찍)으로 인해 유능하고 공정한 명성중개인인 기업감시자들이 시장에서 퇴출되지 않도록 적당한 수준으로 해야 할 것이며, 그 공백은 명성과 평판으로 보완해야 할 것이다. 그리고 한편으로는 어느 한쪽의 기업감시자에게만 과중한 책임을 묻지 말고 기업감시자들이 서로 일정한 책임을 나눔으로써 오히려 기업의 위법행위를 예방할 수 있게 되는 바, 투자자 및 시장 보호라는 본래적 기능에 부합하게 될 것이다.
구체적으로 우리나라의 기업감시자책임에 대해 살펴보면, 기업의 재무제표에 대한 감시자 역할을 하는 공인회계사의 경우 회계감사인으로서의 사법적⋅공법적 통제수준이 상당하여, 공인회계사로 하여금 그 생존을 위해 재무제표에 대한 기업의 감시자 역할을 하기에 충분한 규정을 두고 있다고 생각한다. 오히려, 현행 법률의 규정상 지나치게 법적 책임이 부과된 면이 있다. 예컨대, 자기책임원리에 충실할 수 있는 비례책임제도가 아직 도입되지 않았으며, 회계부정에 대한 판례의 태도를 볼 때도 시장사기이론에 근거하여 회계감사인에게 사실상 모든 입증책임을 부담시키는 것은 문제이다. 때문에 판례를 통해 회계감사인에 대한 책임수준을 제한하면서, 다른 시장감사자와 책임을 분담할 필요가 있다. 회계감사인은 자본시장에 있어 기업의 재무성과에 대해 공증을 하는 중요한 역할을 맡고 있는 만큼, 명성중개인인 회계감사인에겐 명성과 평판이 하나의 자본이라는 점에 비추어 볼 때, 명성과 평판을 통해 시장에서 스스로 통제될 수 있도록 해야 한다. 하지만 기업의 재무제표에 대한 감시자인 회계감사인이 감사의견을 통해 기업의 회계부정이라는 위법행위를 억제하도록 해야 한다는 점에서 볼 때, 즉 그 역할에 부합하기 위해서는 스스로 엄격하게 업무수행을 해야 한다는 점에서 현재 회계감사인 스스로 엄격하게 품질관리와 독립성을 유지할 수 있도록 시장환경이 조성되어 있는가 하는 것은 의문이다. 독립성에 관한 규정은 있으나, 실제로 회계감사인이 독립성을 위반하여 비감사용역을 했을 때 이를 형사처벌하는 경우가 드물 뿐만 아니라, 회계감사인 품질관리에 대해서도 대형 회계법인 위주의 금감원 감리가 이뤄지고 게다가 그 결과도 공개되지 않고 있다. 또한 회계감사에 대해 불필요한 제도라고 인식하고 마지못해 주는 저렴한 감사보수와 비협조, 지나치게 과열된 회계시장 상황이 회계감사인으로 하여금 기업감시자로서 그 역할을 제대로 할 수 없게 만드는 요소라고 생각된다.

Gatekeepers function to protect investors and markets by preventing firms from committing misconduct in a way to complement a corporate disclosure system. But, given the fact that the increase in gatekeepers may result in the increase in social costs, it would be important to enhance efficiency to enable gatekeepers to fulfill their role. This requires a system to identify the failure of gatekeepers when they fail to play the role and clear provisions to hold gatekeepers legally accountable. However, the level of gatekeeper liability should be appropriate in order not to expel gatekeepers, a competent and fair reputational intermediary, from the market due to excessive liability or sticks. At the same time, gatekeeper liability in which many persons are liable, rather than one person, can be even better in preventing corporate misconduct, which will correspond to the intrinsic function of gatekeepers in protecting investors and markets.
To elaborate on gatekeeper liability in Korea, Certified Public Accountants who serve as a gatekeeper for a company's financial statements, seem to be considerably controlled by private and public laws, providing enough provisions to enable them to play the role as a gatekeeper for a company's financial statements for the sake of their own survival. Rather, their legal liability seems to be excessive under the current legal provisions. For example, a proportional liability which complies with the principle of self-liability has not introduced yet. It is also problematic that cases on accounting fraud tend to place the burden of proof solely on accounting auditors on the ground of the fraud on-the-market theory. Therefore, it is necessary to set a precedent to limit accounting auditors' liability while making other market auditors share the liability.
Considering the fact that accounting auditors play an important role in authenticating a company's financial performance in the capital market and that fame and reputation is one of their assets as a reputational intermediary, their fame and reputation should be regulated by itself in the market. However, from the perspective that auditing firms, a gatekeeper for a company's financial statements, have to foil misconduct of corporate accounting fraud by providing opinions, and be strict themselves in conducting audit in order to fulfill their role as a gatekeeper, it is doubtful whether there have been enabling market conditions for accounting firms to maintain rigorous quality management and independence.
Of course, provisions for independence exist. But, accounting firms rarely face criminal punishment for non-assurance service in violation of independence. Moreover, the supervision of the Financial Supervisory Service on quality management is concentrated on large accounting firms with the results not even open to public. In addition, perceiving accounting audit as an unnecessary regime, auditees reluctantly pay low audit fees and do not cooperate at a time when the accounting market is overheated, which may discourage accounting auditors from assuming a proper gatekeeper role.
In the case of credit rating companies, they function to objectively verify and monitor credit of securities issuers by providing credit evaluation service. This allows them to serve as a gatekeeper as issuers of legacy securities are expelled in accordance with a market function based on accurate information provided by credit rating companies on issuers' securities. Nonetheless, it is not easy to hold credit rating companies accountable under the Korean legislation. The Credit Information Act which is related to the liability of credit rating companies does not provide individual investors with means to hold them liable.
