최근 조선일보의 “현금이 점점 사라집니다. 스타벅스 60% ‘현금 없는 매장’”의 기사에서는 “스타벅스가 국내에서 ‘현금 없는 매장’을 전체 60%까지 확대했다. 스타벅스 커피코리아는 4일 ‘현금 없는 매장 350곳을 추가해 총 1,280개 매장 중 759곳이 현금 없는 매장으로 운영된다’고 밝혔다. 스타벅스는 현금 없는 매장에서 신용카드, 스타벅스 카드, 모바일 페이 등의 결제수단을 쓰도록 권유한다는 방침이다.” 등의 내용을 보도했다.
그러나 이와는 반대로 상거래 시 결제수단으로 현금을 요구하는 경우도 있고, 심지어 어떤 점포에서는 현금으로 내면 가격을 할인해주는 사례도 있다. 한국은행 금융결제국의 ‘2017년 지급수단 이용행태 조사결과’에 따르면, 전자지급수단의 확산에도 불구하고 현금결제에 대한 만족도가 여전히 높다.
이러한 상황하에서 이 논문에서는 상거래 시 현금결제 및 카드결제 요구가능 여부 등에 관한 법적 검토를 하고자 하였다. 한국은행법 제48조는 “한국은행이 발행한 한국은행권은 법화(法貨)로서 모든 거래에 무제한으로 통용된다.”라고 규정하여 한국은행권의 법화성을 인정하고 있다. 한편 상거래 시 일방 당사자가 현금결제 또는 신용카드 결제를 요구하는 것은 상거래 계약 내용 중 결제수단에 관한 청약에 해당한다고 해석할 수 있으므로, 이에 대해 타방 당사자가 승낙한다면 계약자유의 원칙에 따라 결제수단에 관한 의사의 합치로 일응 그 유효성이 인정된다고 판단된다. 그러나 그러한 요구가 한국은행권의 법화성과 어떠한 관계에 있는지 문제시될 수 있다.
이에 따라 이 논문에서는 우리나라의 지급결제제도에 대한 개요를 살펴보고, 한국은행 발행 화폐의 법화성의 의미·법화성에 관한 각국 중앙은행 및 학자 등의 견해를 고찰한 다음, 상거래 시 현금결제 또는 카드결제 요구 가능성 여부 등을 심층적으로 검토하고자 한다.
경제주체들이 지급수단을 이용하여 각종 경제활동에 따라 발생하는 거래당사자 사이의 채권·채무관계를 해소하는 행위를 지급결제(payment and settlement)라고 한다. 지급수단은 크게 현금과 비현금 지급수단으로 구분된다. 비현금 지급수단은 그 특성에 따라 크게 어음·수표, 계좌이체, 신용카드를 비롯한 지급카드 등으로 세분할 수 있다. 이렇게 우리가 사용하는 지급수단에는 여러 가지가 있지만 그 근간을 이루고 있는 것은 현금이다.
‘법화’란 법으로 강제통용력을 부여받아 통용되는 화폐를 뜻한다. 모든 거래에서 사람들이 은행권 등의 화폐를 받아들여야 한다는 것을 법제화함으로써 화폐의 교환성을 법적으로 보증하는 것이다. 한국은행 발행 화폐는 한국은행법 제48조(은행권), 제53조(주화)에 따라 법화로 규정됨으로써 대한민국 영토 안에서는 어떤 거래에서든지 일반적인 지급수단으로서의 효력을 가진다.
현재 대다수의 주요국 중앙은행법 또는 관련법에서는 법화에 대한 정의 조항을 두고 있지 않으며, 통화당국(은행권의 경우 중앙은행, 주화의 경우 중앙은행 또는 정부)이 발행한 은행권 또는 주화가 법화임을 규정하는 데 그치고 있다. 미국, 영국 등 주요국 중앙은행들도 법화의 개념을 채무자가 채권자에게 법화를 제공할 경우 적법한 채무의 이행으로 인정되는(또는 채무불이행으로 소송을 당하지 아니하는) 효력을 가지는 것, 또는 1) 당사자 사이에 계약을 이미 체결하였으며, 2) 지급수단(means of payment)에 ...
According to a recent article by the Chosun Ilbo, Starbucks Coffee Korea expanded its “cash-free store” to 60 percent of the total. Starbucks said that it added 350 cash-free stores, making 759 of its total 1,280 stores operate as cash-free stores. Starbucks plans to encourage customers visiting cash-free stores to use credit cards, Starbucks cards and mobile pay.
On the other hand, however, there are cases where cash is required as a means of payment for commercial transactions, and some stores even offer discounts for cash payment. According to the 2017 survey of the use of payment methods by the Bank of Korea’s Payment & Settlement Systems Department, customer satisfaction with cash payments remains high despite the spread of electronic payment means.
Under these circumstances, this paper intends to conduct a legal review on whether cash payment and credit card payment can be demanded upon commercial transactions. Article 48 (Circulation of Bank of Korea Notes) of the Bank of Korea Act stipulates that “The Bank of Korea notes issued by the Bank of Korea shall pass as legal tender current freely for all transactions”, recognizing the Bank of Korea notes as legal tender.
In the meantime, it can be interpreted that, where one party to a commercial transaction makes a request for cash or credit card payment, such a request constitutes an offer for the means of settlement in the context of a commercial transaction. If the other party agrees to this, the parties are deemed to have reached the agreement of declaration of intention concerning the means of settlement in accordance with the principle of freedom of contract, whose validity is prima facie recognized.
However, such a demand could be questioned on how it relates to the nature of the Bank of Korea notes as legal tender. As such, this paper examines the meaning of considering the Bank of Korea notes as legal tender, the views of central bankers and scholars in major countries on the nature of legal tender, and whether it is permissible to demand for cash or credit card payment in the event of commercial transactions.
Legal tender means a currency that is granted the power of forced circulation by law. It is a legal guarantee of the exchangeability of money through legislation that states parties to transactions should accept payment in currency, such as banknotes. Central banks in major countries such as the United States and Britain also understand that the concept of legal tender has the effect of being recognized (or not sued for default) as a lawful payment (settlement) instrument of debt if a debtor provides the legal tender to creditors. The effect of such legal tender is understood as having the power to fulfill a contract, premised on the fact that the contract has been concluded between the parties, and that there is no particular agreement on the means of payment. Scholars’ views on legal tender are regarded as almost the same as central banks in major countries.
In a case where one party to a commercial transaction makes a request for cash payment, such a request is considered to constitute an offer in relation to the means of payment; if the other party assents to the request, the two parties are deemed to have reached the agreement of declaration of intention on the means of settlement in accordance with the principle of freedom of contract, and the contract is deemed to have concluded.
The Bank of Korea notes are considered to have the power of forced circulation premised on the fact that the interested parties have established a creditor-debtor relationship, or, in other words, entered into a contract. Therefore, the “demand for a cash settlement”, which is equivalent to an offer on the means of payment made prior to the signing of the contract, has nothing to do with the forced circulation power of the Bank of Korea notes.
