리걸테크플랫폼에 대한 비교법적 고찰 - 미국 연방변호사협회모범규칙(ABA)과 관련사례를 중심으로 - = Comparative Legal Approach to Legal-Tech Platforms

최근 변호사소개 서비스와 AI 형량예측 서비스를 제공하는 플랫폼에 대해서 변호사법을 위반한 불법서비스이며, 자본에 의해 교란의 우려가 주장되고 있다. 반대로 플랫폼측은 소비자들의 법률 접근성을 향상시킬 수 있기에 오히려 법률 시장에서의 소비자 편익을 증진시킬 수 있다고 반박하면서 갈등이 깊어지고 있다. 이에 본고에서는 미국의 리걸테크(Legal Tech)정의 그리고 이에 대한 규제의 역사 그리고 미국연방변호사협회(American Bar Association, 이하 ABA)의 「변호사 직무에 관한 모범규칙(이하 모범규칙)」과 구체적인 사례를 알아보고 비교법적 시사점을 도출해보고자 한다.
리걸테크란 ‘법(Legal)’과 ‘기술(Technology)’의 합성어인 리걸테크는 기존의 입법, 소송 등의 수요에 따른 법률서비스 산업을 아날로그에서 디지털로 전환한 것으로, 인공지능 기술을 활용하여 법률 소비자에게 보다 적은 비용으로 최대의 서비스를 제공하는 것을 의미한다.
미국의 변호사 광고에 관한 규제의 역사는 법조인으로서의 존엄성과 수정헌법 제1조에 의해 보장되는 광고에 대한 자유라는 상호 상충적인 가치 사이의 대결로 요약될 수 있다. 명백한 것은 Bates v. State Bar of Arizona 등을 비롯한 판례를 통해 변호사의 광고권은 수정헌법 제1조에 의해 꾸준히 확대되고 있다는 것이다. 특히 ABA의 모범규칙은 법조인으로서의 존엄성이라는 가치를 보호하기 위한 역할을 해왔으며, 각 주의 변호사협회 윤리규정은 이를 일부 수정하여 따르고 있다. 현재의 모범규칙이 허용하고 있는 변호사소개서비스는, 이것이 특정 변호사를 추천하고 이에 대해서 해당 변호사로부터 대가를 지급받는 구조를 갖추지 않으며, 변호사가 지불해야 하는 수수료 정도가 변호사의 독립적인 직업적 판단을 방해하는 정도에 이르지 않는 한, 모범규칙에 의해 허용되는 변호사에 대한 광고 또는 정보를 제공함으로써 변호사로부터 합리적인 금전적 이익을 받을 수 있는 인터넷 법률 플랫폼인 것이다. 여기서 합리적인 금전적 이익이란 변호사에 대한 마케팅 수수료 그 자체도 포함한다.
한편 구체적인 사례로 Avvo의 변호사평가시스템인 Avvo rating은 BROWNE v. AVVO 판례에서 수정헌법 제1조 표현의 자유에 의해 보호된다고 판결되었으나, 뉴욕주 변호사협회 전문윤리위원회는 Ethics Opinion 1132 결정에서 Avvo rating은 높은 평가를 받은 변호사를 ‘특정’하여 ‘추천’한다는 인상을 고객들에게 암시한다고 평가하여 뉴욕 직업행동 규칙을 위반한다고 결정하였다. 또한 뉴저지 변호사 협회는 서비스의 가격에 비례해서 마케팅 수수료가 책정되는 Avvo의 수익구조는 비변호사와 수수료를 공유하는 것이며 이것이 변호사의 독립적인 업무수행을 방해할 정도에 이르는 것에 해당하므로 모범규칙을 위반한 것이라고 평가하였다.
결론적으로 국내 플랫폼 중 변호사를 평가하는 시스템은 미국의 BROWNE v. AVVO 판례에서처럼 수정헌법 제1조에 해당하여 허용되는, 즉 우리나라의 헌법이 보장하는 표현의 자유의 범주에 포함될 수 있다. 그러나 알고리즘의 조작 가능성 그리고 암묵적으로 변호사를 ’추천‘하는 효과를 주어 ABA의 모범규칙이 허용하지 않는 ’특정 변호사를 추천‘하는 경우에 해당할 여지가 있다. 또한 단순하게 변호사와 소속 로펌의 이름, 주소, 이력 및 경력, 해결·상담사례, 비용정보, 이용후기 등을 제공하고 이에 대해 정액으로 수수료를 받는 수익구조를 취한다면 그 수수료는 변호사에 대한 광고나 플랫폼의 시스템 유지를 위한 ‘마케팅 수수료’에 해당할 여지가 있으며 이는 변호사의 독립적인 업무수행을 방해할 정도에 이르지 않는다고 볼 수 있고 이러한 수익구조는 허용될 수 있다. 그리고 검색 화면에 수수료를 지불하는 변호사를 ‘PREMIUM LAWYERS’ 그렇지 않은 변호사를 ‘LAWYERS’로 구분하여 전자를 후자보다 상단에 노출시키는 것은 ‘특정 변호사를 추천’에 해당하는지는 추가적인 연구나 유권기관의 해석이 필요하다. 수수료를 지불하는 변호사는 PREMIUM LAWYERS 영역에서 무작위로 노출된다는 점은 ‘특정 변호사를 추천’에 해당하지 않을 수 있는 근거가 되지만, 상단에 노출시킨다는 점에서 ‘특정 변호사를 추천’할 여지가 있다.
Recently, regarding Law Talk, a platform that provides lawyer introduction services and AI sentence prediction services, the Bar Association argued that Rotok is an illegal service in violation of the Attorney-at-Law Act and that the lawyer market is disturbed by capital. However, Law Talk refuted that Law Talk has no room for violation of the Attorneyat- Law Act and that it can improve consumers' access to the law, deepening conflicts between attorneys surrounding Law Talk. In response, this paper aims to find out the definition of Legal Tech in the United States, the history of regulations, and specific examples of the American Bar Association(ABA)'s 「Model Rules of Professional Conduct (Model Rules)」 and derive comparative legal implications.
Legal tech, a compound word of ‘law’ and ‘technology’, refers to the transition of the legal service industry from analog to digital in response to the demand for existing legislation and litigation, which uses artificial intelligence technology to provide maximum services to legal consumers at a lower cost. According to the Legal Tech Classification Table of Stanford University Law School CodeX in the U.S., Law Talk is a platform that introduces lawyers and provides AI sentence prediction services, which is both a ‘Legal marketplace’ in the ‘searching’ field and a ‘Lawsuit result prediction’ in the ‘Analysis’ field.
The history of regulation on lawyer advertising in the United States can be summarized as a confrontation between the two conflicting values of dignity as a legal professional and freedom of advertising guaranteed by the First Amendment. What is clear is that lawyers' advertising rights are steadily expanding under the First Amendment through precedents including Bates v. State Bar of Arizona. In particular, the ABA's Model rules have played a role in protecting the value of dignity as a legal professional, and the ethics regulations of the Bar Association of each state partially revise and follow them. The lawyer introduction service allowed by the current Model rules is an Internet legal platform that can receive reasonable financial benefits from lawyers by providing advertisements or information on lawyers allowed by the model rules unless they have a structure to ‘recommend’ a ‘specific’ lawyer and receive compensation from him. And the reasonable financial benefits include marketing fees itself for lawyers, and the degree of fees paid by lawyers should not interfere with the independent professional judgment of lawyers.
On the other hand, as a specific example, ‘Avvo Rating’ which is Avvo's lawyer evaluation system, was judged to be protected by freedom of expression under Article 1 of the Amendment in BROWNE v. AVVO precedents. But the New York State Bar Association's Committee on Professional Ethics decided in its Ethics Opinion 1132 decision that Avvo Rating violated New York’s rules of occupational behavior, evaluating the impression of ‘specifying’ and ‘recommending’ highly valued lawyers to customers. In addition, the New Jersey Bar Association also assessed that Avvo's profit structure, in which marketing fees are set in proportion to the price of the service, shares fees with non-lawyers and violates Model Rules as it interferes with lawyers’ independent work.
In conclusion, Law Talk’s system of evaluating lawyers can be included in the category of freedom of expression guaranteed by the Constitution of Korea, which falls under Article 1 of the Amendment, as in BROWNE v. AVVO precedents. But there is room for the possibility of algorithm manipulation and implicit “recommendation” of lawyers, which is not permitted by ABA’s Model Rules.
In addition, if Law Talk takes a profit structure that provides services and receives a flat fee, the fee can be considered a “marketing fee” for advertising or maintaining the platform’s system for lawyers, which does not interfere with the lawyer’s independent work.
Finally, it is necessary to further study or interpretation of the authorities whether exposing the former to the top of the latter by dividing lawyers who pay fees into "PREMIUM LAWYERS" and lawyers who do not pay fees into "LAWYERS" on the search screen of Law Talk corresponds to “recommending a specific lawyer.”
