본고는 역외거래의 맥락에서 이용되는 주식대여약정과 ‘조세조약의 적용’ 사이에서 발생하는 쟁점들에 대하여 OECD 모델조세협약 및 그에 대한 주석서에 근거하여 살피는 것을 목적으로 한다. 그 연구목적에 따라 조세조약상 체약국들이 소득의 귀속에 대하여 동일한 입장을 취한 경우와 다른 입장을 취한 경우를 구분하여 주식대여약정상 현금흐름에 대한 조세조약상 성질결정이 어떻게 이루어지는지 여부 및 이로 인하여 발생하는 문제점들이 조세조약상 어떻게 해결될 수 있는지 여부에 대하여 모색하였다.
먼저 조세조약 체약국들이 주식대여약정상 현금흐름의 귀속자에 대하여 동일한 입장을 갖는다고 전제하는 경우에 관한 연구결과는 다음과 같다.
첫째, 주식대여약정상 분배회사로부터 주식차용자에게 지급된 현금흐름은 조세조약상 배당에 해당하나, 주식차용자는 자신이 수령한 배당금을 주식대여자에게 이전할 구속적인 의무를 부담하고 그 의무가 분배회사로부터 배당을 수령할 것을 조건으로 하고 있는 한 조세조약상 수익적 소유자에 해당하지 않는다.
둘째, 주식대여약정상 주식차용자로부터 주식대여자에게 지급되는 배당 대체금원은 배당에 해당되지 않고, 조세조약상 기타소득 또는 사업소득에 해당될 수 있다.
셋째, 주식대여약정상 분배회사로부터 주식대여자에 지급된 현금흐름과 관련하여, 분배회사 거주지국(원천지국)의 국내세법이 주식대여자를 해당 주식의 소유자라고 본다면 주식대여자가 수익적 소유자에 해당되는 한 해당 현금흐름은 조세조약상 배당에 해당된다. 그러나 만약 원천지국이 주식차용자를 주주로 보면서도 국내세법상 실질과세원칙 등 조세회피방지규정을 적용하여 실질적 귀속자를 주식대여자로 본다면 해당 현금흐름은 조세조약상 배당이 될 수 없고 기타소득으로 구분될 수 있다.
조세조약 체약국들 사이의 주식대여약정상 현금흐름의 귀속자에 대한 입장이 다르다고 전제하는 경우에 대한 연구결과는 다음과 같다.
첫째, 주식차용자와 분배회사가 모두 동일한 체약국의 거주자인 경우, 주식대여자에게 귀속되는 소득과 관련하여서는 하나의 조세조약이 적용될 것이나 이를 적용함에 있어서 기타소득 또는 배당소득의 성질결정이 충돌하는 문제가 발생한다. 이는 거주지국이 OECD 모델협약 제23조와 관련된 2000년 수정된 주석서의 내용에 따라 설사 원천지국의 견해와 다르다고 할지라도 해당 소득에 대하여 소득공제 또는 세액공제의 혜택을 부여하는 방식으로 해결될 수 있다. 다만 위 주석서의 내용은 사실관계 및 조세조약 조항에 대한 다른 해석으로 인하여 발생하는 충돌에 대하여는 적용되지 않으므로, 이와 관련하여서는 성질결정 충돌의 문제가 해결되지 않는다.
둘째, 주식대여자와 주식차용자가 모두 동일한 체약국의 거주자인 경우, 각 국내세법상 상이한 귀속의 원칙으로 인하여 두 거주자에 대하여 조세조약이 적용될 수 있다. 이로 인하여 이중과세의 위험이 발생할 수 있으나, 이는 원천지국은 1995년 및 2014년 수정된 OECD 모델협약 제10조 제2항 및 그 주석서에 따라 배당의 수익적 소유자가 타방체약국의 거주자라면 설사 배당의 직접 수령인이 수익적 소유자가 아니라도 원천지국은 제한세율을 적용하여야 하는 방식으로 해결될 수 있다. 이는 각 수정 전 문언에 따른 조세조약의 해석에 있어서도 그대로 적용되어야 한다.

The purpose of this paper is to identify issues that arise between stock lending agreements, which are used in cross-border transactions, and application of tax treaties based on the OECD Model Tax Convention (hereinafter “OECD MTC”) and its Commentary. Based on the findings, the author seeks to find solutions on conflicts of qualification depending on how contracting states of a tax treaty(or tax treaties) allocate cash flows on a stock loan.
In the first instance where the contracting states allocate cash flows on a stock loan to the same taxable person in application of each country's domestic tax law, the following conclusions are derived: (i) Cash flows on a stock loan provided to a borrower from a distributing company constitutes a dividend under the relevant tax treaty; however, insofar as the borrower is legally obligated to transfer the dividends he/she received from the distributing company to the lender, the borrower does not fall under a beneficial owner under the said tax treaty. (ii) The source of substitute dividend payments provided to a lender by a borrower does not constitute a dividend as opposed to other income or business income under the relevant tax treaty. (iii) As to cash flows on a stock loan provided to a lender by a distributing company, so long as the tax law of the residence country (source country) of the distributing company deems the lender to have ownership of the stock, the allocated cash flows constitute a dividend under the relevant tax treaty insofar as the lender is regarded as the beneficial owner. However, if the source country considers the borrower as the stockholder but also regards the actual owner as the lender according to anti-tax avoidance rules, such as the principle of substantial taxation under the domestic tax law, the cash flows cannot be paid as dividends and can be classified as other income under the said tax treaty.
In the second instance where the contracting states allocate cash flows on a stock loan to different taxable persons in application of each country's domestic tax law, the following conclusions can be drawn: (i) If a borrower and a distributing company both reside in the same contracting state, a single tax treaty is applicable with respect to income belonging to a lender but there lies the issue of conflicts of qualification, i.e. whether to regard such income as other income or dividend income. Even if the residence country and source country are of a different position, such problem can be resolved through providing tax credit on earned income based on the contents of the Commentary regarding Article 23 of the OECD MTC that was revised in 2000; Provided, however, the revised contents are not applicable to conflicts that arise due to different interpretations of facts and tax treaty provisions, and as such, the underlying problem of whether to regard the earned income as other income or dividend income remains. (ii) If a lender and a borrower are residents of the same contracting state, two tax treaties are applicable due to the different principles on income attribution under each country’s domestic tax law, thereby leading to the risk of double taxation. Such problem can be resolved through the source country applying a limited tax rate if the beneficial owner (not the actual owner) of dividends is a resident of the other contracting state according to Article 10(2) of the OECD MTC and its Commentary revised in 1995 and 2014. The same applies in cases of interpreting tax treaties following the previous wording of the OECD MTC.
