Allocating the risk of loss between seller and buyer should reflect cMncideratiMn such as thesis : Which party is in a better position to evaluate the loss and press a claims against the insurer and to salvage Mr dispose of damaged goods? Who can insure the goods at the least cost? Who is more likely to carry insurance under standard commercial practice? What rules on risk will minimize litigation over negligence in the cars and custody of goods?
In particular, it will take much time to transport international trade goods. Because international sales are fraught with risk, the damage will almost always be covered by insurance, but the clear criterion regarding the passing of risk will play a critical role in the issues of who will make a contract with insurer; who will pay an premium; and who will claims against the insurer. In addition, there is a case in which we can not solve the problems with insurance concerning a certain damage of goods. For example, damages Mr particular average caused by a unites quality of goods, that is, damages that have not been caused by the true sea incident can not be reimbursed with an insurance. In this respect, the issue of the passing of risk has been raised as the very important issue in conducting the business of the international sale of goods which occupies a majority of international trade.
In this regard, As a general rule, risk of loss is governed by the United Nations Convention on Contracts for the International Sale of Goods, 1980 (CISG), Uniform Commercial Code, 1952(UCC) or International Rules for the Interpretation of Trade Teens, 1990(Incoterms). However, these agreements have many problems in solving the issue of the passing of risk that arise in the actual trade transaction. Therefore, they have failed to play a role as a uniformed law regarding the international sale of goods.
Therefore, This study has analyzed and examined the theoretical system of the passing of risk based on the judicial precedent and academic data provided by institutes at home and aborad. Also, it has studied the problems of the provision on the passing of risk set forth in the chapter IV, part III, of the Vienna Convention with a method of examining and analyzed materials provided by scholars, who directly participated in the Vienna Confluence, as well as the cases as regards the passing of risk in the actual international sale of goods. For this end, I would like to present a reasonable proposal enact the relevant law.
Originally, the term of risk can be used as a terms of the risk of goods(Sachgefahl), the risk of issuing(Leistungsgefahl), and the risk of price(pleisgefahl), but this study has defined, the limitation of risk centering on the risk of issuing(preisgefahl) related to the passing of risk in the bilateral contract.
In addition, in studying the provisions of the passing of risk set forth in the Vienna Convention, I have examined the background of the LUIS and ELF, as well as their characteristics, which have been based on the Vienna Convention. In older to point out the problems of the provisions on the Vienna Convention , I have studied many cases of the law concerned. However, In this study, I have examined only the Incotelms, UCH, Japanese private law, and Sale of Goods Act, 1979(SGA).
For the end, in the chapter Ⅱ, I have studied the relationship between the characteristics of the international sale of goods and the risk of loss from the theoretical viewpoint, while examining the relationship between the speciality of international transport and insurance and the risk of loss. By examining the risk of less related law based en the criterion of the allocation of risk of less and the passing of risk, I have fig oily defined the concept en the risk of less and the passing of risk.
In the chapter Ⅲ, I have studied the background of the establishment of the ULIS, ULF, and Vienna Convention based en the materials and reports prepared by participants in the Vienna Conference in order to examine the passing of risk on the Vienna Convention, Also by examining the characteristics of the Vienna Convention, I have systematically examined the legal meaning and character of the Vienna Convention. I have examined in detail the provision of the passing of risk en the Vienna Convention according to the foam of sale based en the judicial precedents and academic dates.
In the chapter Ⅳ, after understanding the provisions of the passing of risk according to the feints as regards the passing of risk of the Inceteiuis, I have concentrated efforts en examining the C.I.F.. and F.O.B. By analyzing the provisions of passing of risk, I have examined its reactions with the UCC, as a result, I attempted to examine the problems of the agreement on the provisions of risk of less on the Vienna Convention.
In the chapter Ⅴ, I have raised the current problems of the provision of the passing of risk based en the contents analyzed and examined in the chapter Ⅲ and Ⅳ. After putting forward the proposal to improve the law, In the chapter Ⅵ, I concluded my study by expecting that the proposal to improve the Vienna Convention can contribute to establishing an order as regards international sale of goods, reflecting even a little, upon the revision of the Vienna Convention.
