會社分割制度의 柔軟性과 便宜性 提高를 위한 硏究 : 商法 및 稅法의 改正方案을 中心으로 = A Study on Raising the Flexibility and Convenience of the Corporation Division System : Centered on Ways to Revise the Commercial Law and Tax Law
The competition is getting fiercer than ever among corporations following the integration of the world economy and the development of the information-communications technology. Every corporation should be able to easily restructure itself through the cracking of new overseas markets and the development of new technologies to survive the fierce competition. The means to restructure a corporation can be roughly classified into the merger and the division. The system of dividing a corporation, among other things, is a way to cut off the uneconomical links between individual divisions by functionally spinning off the business division. The division, out of the motive diametrically opposite to the merger, also is a way to raise the efficiency of each division of a corporation if a restructuring is necessary.
Most corporations had incorporated their subsidiaries through such methods as investment in kind, takeover of property and ex post facto incorporation, etc. and divided themselves through the method of business transfer before the Commercial Act was enacted in 1998 because of the nonexistence of the provisions covering the corporation division system at the time. But the result had been imperfect. For the purpose of improving and rationalizing the corporate structure following the economic crisis that was placed under the IMF regime, the corporation division system was inserted into the Commercial Act and the Tax Act when they were amended in December 1998, followed by the insertion of such system in the Company Reorganization Act when it was amended in 1999.The Commercial Act amended in 1998 widely prescribes the method of division, the publication of balance sheet, approval of shareholders' meetings and the protection of shareholders and creditors, etc. (Article 530-2). In addition, the Tax Act, where a business division is made according to a restructuring program, gives tax benefits to marginal profits therefrom and liquidation income, etc. (Article 46 of the Corporate Tax Act).
The corporation division system, which is recently used by many corporations since it was introduced in 1998, lacks the convenience and flexibility in the procedural and taxational aspect and is full of unreasonable factors in the legal and taxational aspect. In the legal aspect, among other things, the Commercial Act, in prescribing procedures and details for corporation division, has a restrictive factor in many parts by limiting the object of division to company, inc. Next, tax benefits are given to the corporation division in taxation, but requirements for such tax benefits are more stringent that those of foreign countries. There are no clear-cut provisions concerning the succession of assets and liabilities, still leaving the tax burden to corporations that intend to divide themselves.
This doctoral dissertation is purposed to set a direction toward revising the Commercial Act and the Tax Act, which makes it possible to raise the flexibility and convenience of the corporation division system. This dissertation examines ways to make it possible for the Commercial Act to take procedures speedily and easily for the process of corporation division and also ways to improve the protection of shareholders and creditors who are in an important position in corporation division, and raise the equity of a corporation subject to division. With respect to taxation question, one of the cost questions about which every corporation is concerned, the taxation imposed on capital gains accruing from any corporation division cannot be excluded. Therefore, this dissertation also discusses ways to lighten the tax burden thereto.
With respect to ways to improve the corporation division system of the Commercial Act, it is reasonable that the Commercial Act prescribes the types of corporation division that determine the future types of divided corporations instead of simply focusing its provisions on the form of corporation division. The types of corporation division of the Commercial Act currently in force should be divided into an extinction division, an survival division and a physical division and is desirable that the provisions concerning the corporation division should be divided into a new incorporation division and a merger division.
Second, the Commercial Act currently in force limits the object of corporation division to the company, inc. It is true, of course, that many of corporations in our country adopt the type of the company, inc.. Nonetheless, it desirable that the Commercial Act recognizes he corporation division for the limited company.
Third, in the case of the simple division and the physical division, the simplified division should be recognized if total shareholders agree through the expansion of the application of the summary division notwithstanding the type of division, and in the case of the survival division, it is desirable that a small-size division is recognized. In the case of the simple division, however, the appraisal right of dissenters should be recognized because the possibility of adopting the non-pro portional type of division cannot be ruled out.
Fourth, for the protection of shareholders and creditors, the preparation of a profit and loss statement prescribed in the merger and a balance sheet that are matters to be published as information pertaining to the division should be added. It is desirable that the provisions concerning the protection of shareholders of the Commercial Act, I the case of non-pro portional type of division, a classification made according to the appropriation of stocks, should relax any special resolution of shareholders' meetings and shareholders are granted the demand for buying shares. Next, the physical division should be made based on a resolution adopted at a shareholders' meeting and in the case of the small division, any shareholder opposing such small division may not be granted the demand for buying shares may not be granted. In order to recognize such exclusion, it is urgently necessary to enact a parent-subsidiary corporations act.
Fifth, the provisions concerning the protection of creditors of the Commercial Act should prescribe that each person concerned shall assume a liability for responsibility property succeeded from a divided company, the property remaining in the divided company, that is a net value of takeover property and apply mutatis mutandis to the protection of creditors of the merger. Accordingly, Article 530-9 (4) of the Commercial Act should make paragraphs (2) and (3) apply mutatis mutandis to procedures for bond holders to raise any objection to capital decrease. (Articles 439, (3) abd 527-5 of the same Act).
The plan for improvement of tax system concerning corporate division in tax-related Acts is as follows:
First, for simplified division, it is desirable that a divided corporation to be extinguished is not subject to taxation on income in liquidation as it is in the change of organization, considering that the shareholder of the divided corporation continues to have the status as shareholder of a corporation newly established by division and the corporate personality of financed business sector keeps the identity.
Second, for taxation on a shareholder of a divided corporation, the benefit of tax moratorium shall be accorded with respect to a portion corresponding to net capital gain other than the distribution amount of accumulated earnings of constructive dividend income deriving from such division, on condition that, to prevent tax evasion, such division shall be included in the type of in the Corporate Tax Act or the constructive donation in the Inheritance Tax and Donation Act.
Third, from the place of a corporation newly established by division or the other party corporation of such division, practical benefit acruing from use of division system may be reduced by half in that the scope of assets to be deferred in taxation is limited to the real estate. Therefore, the scope of such assets have to be extended to other assets in addition to the real estate. The taxation deferment is not allowed for non-pro portional type of division because the taxation deferment in the Corporate Tax Act must be conducted in proportion to the shareholder of the divided corporation. Accordingly, it is desirable that such taxation deferment will be expanded to non-proportional type of division not intended to evade tax
Fourth, for simplified division by physical division, the physical division as a means to reorganize the corporate system is not in the practical benefit of utilization by reason that the stocks of a corporation newly established by division can not be disposed of for five years because the prescribed current equity ratio of registration through division is 100 percent, and that the prescribed equity ratio as of the registration day of division must be maintained for five years even in the case of merger by division. Therefore, it is rational that the period of disposal restriction of such five years shall be reduced or the benefit of taxation deferment shall not be accorded to a corporation within a specified sale limit.
Fifth, for assets and succession of liabilities of a divided corporation, it shall be prescribed that a corporation newly established by division or the other party corporation of merger by division continues to keep tax source concerning assets and liabilities to be transferred and shall be subject to the application of the method of depreciation or other accounting standards. Also, it is desirable that the succession of net loss carried over shall apply to division even under a certain restriction as in merger.
Sixth, it may be needed that, because the scope of tax liability for division in the Framework Act on National Tax of other tax systems concerning corporate division is broader than that of corporate liabilities in the Commercial Act, the succession of tax liability should be made within the limit of business sector to be divided. It is resonable that the acquisition of assets by division shall be dealt with under the non-taxable provisions of the Restriction of Special Taxation Act but under Article 110 of the Local tax Act as in a merger. Last, the establishment of non-taxation system on value-added taxes and securities exchange taxes and the reorganization of legal system in the Stamp Act may be required.
企業間의 競爭은 세계 경제의 통합과 정보통신 기술의 발달로 인하여 더욱 치열해지고 있다. 따라서 기업은 새로운 시장개척이나 신기술의 개발 등을 행하지 않고서는 그 경쟁에서 생존하기가 불가능하므로, 기업은 기존의 조직을 용이하게 개편할 수 있어야 한다. 그 조직개편수단은 크게 합병과 분할로 구분할 수 있다. 이중에서도 會社分割制度는 영업부문을 기능적으로 분리함으로써 각 부문간의 비경제적인 연계를 차단하고 경영에 탄력성과 기동성을 부여할 수 있는 방법이다. 또한 분할은 합병과 정반대의 동기에서 조직개편의 필요한 경우 기업내의 각 사업부분의 효율성을 제고할 수 있는 방법이다.
그러나 1998년 상법 개정 전에는 會社分割制度에 관한 규정이 없어 대부분의 기업들은 現物出資, 財産引受, 事後設立 등의 방법을 통하여 子會社를 설립하거나 營業讓渡의 방식을 취하여 企業分割을 행하여 왔으나, 이는 불완전한 성과만을 얻을 수밖에 없었다. 1997년 말 IMF 경제위기로 말미암아 기업의 체질을 개선하고 합리화를 도모하는 방책으로서 商法과 稅法에서는 1998년 12월에, 會社整理法에서는 1999년에 會社分割制度를 도입하기에 이르렀다. 1998년 개정 상법에서는 分割의 方法, 分割貸借對照表의 공시, 株主總會의 承認, 株主 및 債權者의 保護 등에 대하여 전반적으로 정하고 있다(제530조의2이하). 또한 세법에서는 租稅回避가 아니라 구조조정을 목적으로 分割이 행해지는 경우, 이로 인하여 발생하는 분할차익, 청산소득 등에 대하여는 세제상 혜택을 부여하고 있다(법인세법 제46조 이하).
그런데 1998년 도입된 이후 최근 기업들이 많이 이용하고 있는 회사분할제도가 절차상․과세상에서 편의성과 유연성을 가져야 함에도 불구하고 여전히 조직법적인 측면과 세제적 측면에서 불합리한 요소가 산재해있다. 먼저 조직법적인 측면인 상법에서는 會社分割의 절차 및 내용을 정함에 있어 조문체계, 분할의 주체를 株式會社로 한정하는 등 상당 부분에서 제약적인 요소가 있다. 다음으로 세제상에서도 조세혜택을 부여하고 있지만 그 요건이 비교적 다른 제외국에 비하여 엄격하고, 자산 및 부채의 승계에 있어서 명확한 규정을 두지 아니하여 분할을 행하는 기업의 입장에서는 여전히 조세부담이 남아 있다는 점 등을 들 수 있다.
본 논문에서는 會社分割制度의 유연성과 편의성을 제고할 수 있는 상법과 세법의 개정방향을 제시하는데 그 목적을 두었다. 상법에서는 會社分割의 節次를 신속하고 용이하도록 할 수 있는 방안과 이와 동시에 분할에 있어 중요한 위치에 있는 株主와 債權者의 보호와 분할당사회사의 衡平性을 제고하면서 그 개선방안을 검토하였다. 그리고 기업이 가장 염두에 두고 있는 비용상 문제 중 하나인 과세문제는 분할제도를 이용하면서 발생하는 資本利得에 대한 과세를 배제할 수 없으므로 이에 대한 租稅負擔을 완화할 수 있는 방안을 검토하였다.
商法上 會社分割制度에 대한 改善方案으로서는 첫째 상법상 회사분할에 대한 條文上의 體系를 단순히 분할을 행하는 형식에 초점을 두어 구성하기 보다 분할회사가 분할 후 어떻게 되느냐에 따른 분할의 형태를 정하는 것이 합리적이다. 그러므로 현행 상법상 회사분할의 유형은 消滅分割, 存續分割, 物的分割로 구분하고, 분할조문의 체계는 新設分割과 吸收分割로 구분하여 정하는 것이 바람직하다.
둘째 현행 상법에서는 분할의 주체를 株式會社로 제한적이기 때문에 물론 우리 나라의 기업들이 주식회사형태에만 편중되어 있는 것이 사실이지만, 有限會社나 合名․合資會社의 형태에 대하여도 회사분할을 인정하는 것이 바람직하다고 본다.
셋째 약식분할제도의 적용확대로서 單純分割, 物的分割의 경우에도 분할의 유형에 상관없이 총주주의 동의가 있다면 簡易分割을 인정하여야 할 것이고, 존속분할의 경우에는 小規模分割을 인정해주는 것이 바람직하다. 다만 單純分割의 경우에는 非按分比例的인 株式配定을 가능성을 배제할 수 없으므로 反對株主의 株式買受請求權을 인정하여야 할 것이다.
넷째 株主 및 債權者의 보호를 위해서는 분할정보의 공시사항인 대차대조표와 더불어 합병에서 정하고 있는 손익계산서의 작성을 추가하여야 할 것이다. 그리고 주주의 보호에 관한 상법상 규정은 분할의 유형을 주식의 배정에 따른 분류로서 안분비례적인 주식배정의 경우에는 株主總會의 特別決議를 普通決議로 완화하고 반대주주의 주식매수청구권을 인정하지 아니하여 무방할 것이다. 다만 비안분비례적인 주식배정을 하는 단순분할의 경우에는 분할에 반대하는 株主에게 株式買受請求權을 부여하여야 한다.
다섯째 채권자의 보호에 관한 상법 제530조의9 제1항 연대책임의 규정은 分割會社로부터 승계한 책임재산 및 分割會社에 잔존하는 재산, 즉 인수한 純財産價額에 대하여만 각자가 책임을 부담하도록 정하는 것이 바람직하다.
稅法上 會社分割에 대한 課稅制度의 改善方案으로서는 첫째 單純分割의 경우는 법인세법에서 정한 요건에 따르면 분할법인의 주주가 그대로 分割新設法人의 주주로서 존재하여야 하므로 출자된 사업부문에 대한 인격은 동일성이 유지된다는 점에서 組織變更과 같이 소멸하는 분할법인에게 청산소득과세를 하지 않는 것이 바람직하다.
둘째 分割法人에 대한 주주의 과세에 대하여도 분할로 인하여 발생하는 擬制配當所得 중 利益剩餘金의 분배에 상당하는 부분을 제외한 순자본이득에 해당하는 부분에 대하여는 과세유예의 혜택을 부여야 한다. 다만 租稅回避를 방지하기 위하여는 분할도 법인세법상 不當行爲計算否認이나 상속세및증여세법상 贈與擬制의 유형에 포함시켜야 한다.
셋째 분할신설법인 또는 분할합병의 상대방법인의 입장에서는 법인세법상 課稅移延되는 자산의 범위를 부동산으로 한정하고 있다는 점에서 分割制度를 이용할 실익을 반감시키고 있다. 그러므로 자산을 부동산에 한정하지 않고 기타 자산에 대하여도 그 범위를 확대할 필요가 있다. 다음으로 법인세법상 과세이연의 요건 중에서 分割法人의 주주에게 비례적으로 배정하도록 하고 있어 비안분비례적인 주식배정을 통하여 分割을 행하는 경우에는 과세이연을 받을 수 없다. 따라서 조세회피의 목적이 아닌 非按分比例的인 株式配定의 경우까지 확대시키는 것이 바람직하다고 본다.
넷째 물적분할을 통하여 單純分割을 행하는 경우에는 분할등기 현재의 지분비율이 100%이므로 5년까지 分割新設法人의 주식을 처분할 수 없고, 分割合倂을 행하는 경우에도 분할등기일 현재의 지분율을 5년간 유지하여야 하기 때문에 법인의 조직개편수단인 물적분할을 이용할 실익이 존재하지 않는다. 그러므로 5년이라는 처분제한기간을 축소하든지 일정한 기준을 정하여 그 범위내에서 매각하는 경우에는 그 매각한 만큼 課稅移延의 혜택을 부여하지 않도록 하는 것이 합리적이다.
다섯째 分割法人의 資産 및 負債의 승계에 대하여는 分割新設法人 또는 分割合倂의 相對方法人이 이전되는 資産 및 負債의 과세기초를 계속 유지하여야 하고 감가상각방법이나 기타 회계기준이 그대로 승계되도록 정하여 할 것이다. 다음으로 移越缺損金의 승계문제도 합병과 같이 제한적이더라도 분할에 있어서도 이를 도입하는 것이 바람직하다.
여섯째 회사분할에 관한 기타 과세제도 중 국세기본법상 분할에 대한 租稅債務의 범위가 상법상 會社分割에 의한 會社債務보다 그 범위가 넓다고 생각되므로 이를 분할되는 사업부문을 한도하여 계산하여 조세채무를 승계시키는 것이 바람직하다. 그리고 분할로 인하여 취득하는 자산의 취득에 대한 조세특례제한법상 비과세규정으로 둘 것이 아니라 합병의 경우와 같이 지방세법 제110조에서 정하는 것이 타당하다. 마지막으로 새로이 도입되어야 할 사항으로는 附加價値稅와 證券去來稅의 非課稅의 新設 및 印紙稅法上의 법체계정비가 필요하다.
