2021년 10월에 디지털 경제에 대한 글로벌 과세체계 확립을 위한 ‘디지털세’ 원칙 도입이 136개(2023.7.13. 현재 138개) 회원국의 승인을 받음으로써 소득과세 측면에서 진일보한 조세개혁이 이루어졌다. 해당 ‘디지털세’ 내용은 세계에서 최초로 우리나라가 법령에 도입(2022년 12월 31일)하여 2024년 1월 1일부터 시행(‘소득산입규칙’의 적용 등 일부 규정은 2025년 1월 시행 예정)되고 있으며, 각국의 입법 작업이 현재 진행되고 있다. 이러한 국제적 동향 하에 향후 부가가치세 분야에서도 ‘국제적 사업자 간 용역거래’에 있어 이중과세 및 이중 비과세를 축소하면서 과세 기반을 확대하려는 각 국가의 정책 수요는 증가하게 될 것으로 예상된다. 이에 현시점에서 ‘국제적 사업자 간 용역거래’[Cross Border Business to Business(B2B) Service Transactions]의 부가가치세 과세 이론 등을 주요 논점별로 고찰하면서 개략적인 제도개선 방향을 모색하는 것은 의미가 있다.
첫째, ‘공급장소’ 규정과 ‘대리납부 방식’의 의의와 관계를 살펴보았다. 우리나라 대법원 판례상 이른바 ‘중요․본질설’의 설명력을 보완할 수 있는 새로운 세부 법리가 필요한 상황이며, ‘대리납부 방식’과 관련하여 ‘국내사업장과 관련 없음’(no intervention) 문언에 대한 해석론의 하나로 ‘직접적․즉각적 관련성’(direct and immediate link) 기준을 활용할 수 있음을 제시하였다. 둘째, 부가가치세 목적상 ‘고정사업장’(Fixed Establishment, 이하 “FE”라 함) 개념 및 그 필요성을 살펴보았다. 소득과세고정사업장(Permanent Establishment, 이하 “PE”라 함)과 부가가치세 “고정사업장(FE)”의 구분과 함께 이른바 ‘적극적 고정사업장’(active FE)과 ‘소극적 고정사업장’(passive FE) 개념의 차이를 살펴보았으며, ‘고정사업장(FE)’ 개념의 조건과 작동 방식을 고찰하였다. 셋째, ‘적극적 고정사업장’(active FE)과 ‘공급장소’와의 관계에 대한 이론적 논의를 정리하였다. 넷째, ‘고정사업장’(FE)과 ‘종속대리인고정사업장’(Dependent Agent Fixed Establishment, 이하 “DAFE”라 함)의 관계를 살펴보았다.
이러한 부가가치세 과세 이론 및 대법원 판례 동향 등에 기초하여 현시점에서 필요한 부가가치세 과세 방식 선진화 및 국제적 법령 조화(harmonization) 등을 위한 우리나라 법령의 개략적인 개선 방향을 제시하였다. 첫째, ‘국제적 사업자 간 용역거래’와 관련하여 현행 부가가치세법 상 납세의무자(§3), 사업자의 납세지(§6), 용역의 공급장소(§20) 및 대리납부(§52) 등 부가가치세제 일반 원칙 규정을 우선 보완한 후에 필요한 관련 ‘특례규정’을 신설하거나 특례 범위를 확대하는 방향성이 적절하다. 둘째, 현행 ‘대리납부 방식’을 국제적 수준의 일반적․표준적인 규정으로 개편하여 법령의 동조화(Harmonization) 수준을 높여야 한다. 셋째, 소득과세 상 “고정사업장(PE)” 과세 방식과 구별되는 부가가치세 목적상 독자적인 “고정사업장(FE)” 과세 방식의 도입이 입법론상 필요하다는 전제하에 ‘대리납부 방식’과 부가가치세 “고정사업장(FE)” 과세 방식 적용 간의 상호 관계에 대한 방향성을 제언하였고, 부가가치세 목적상 ‘종속대리인 고정사업장(DAFE)’은 “고정사업장(FE)”에 대한 보완 개념으로 도입하는 것이 적절할 것이다.
In October 2021, the introduction of the ‘Digital tax’ principle to establish a global taxation system for the digital economy was approved by 136 member countries (138 as of July 13, 2023), resulting in an advanced tax reform in terms of income taxation. Republic of Korea is the first country in the world to introduce the ‘digital tax’ into its laws and regulations (December 31, 2022) and it came into effect on January 1, 2024 (some regulations, such as the application of ‘income inclusion rules’, are scheduled to take effect in January 2025). Legislative work in each country is currently underway. Under these international trends, it is expected that each country’s demand for policies to expand the tax base while reducing double taxation and double non-taxation in ‘service transactions between international businesses’ will increase in the field of value-added tax in the future. Therefore, at this point, it would be meaningful to look for a rough direction for system improvement by examining the value-added tax theory of ‘Cross Border Business to Business(B2B) Service Transactions’ by major issues.
First, I looked at the meaning and relationship between the ‘place of supply of service’ regulations and the ‘reverse charge mechanism’. According to the current Korean Supreme Court precedent, a new detailed legal theory is needed to supplement the explanatory power of the so-called ‘essential and substantial theory’, and in relation to the ‘reverse charge mechanism’, there is a need for interpretation of ‘no intervention’ in relation to domestic workplaces(PE or FE). It was suggested that the ‘direct and immediate link’ standard could be used as one. Second, I looked at the concept of ‘Fixed Establishment’(hereinafter referred to as “FE”) for its necessity for value-added tax purposes. I looked at the distinction between income tax “permanent establishment(PE)” and value-added tax “fixed establishment(FE)” as well as the differences between the concepts of so-called “active FE” and “passive FE.”, the conditions and operating methods of the ‘fixed establishment(FE)’ concept were examined. Third, the theoretical discussion on the relationship between ‘active fixed establishment(FE)’ and ‘place of supply’ was summarized. Fourth, I looked at the relationship between ‘Fixed Establishment’(FE) and ‘Dependent Agent Fixed Establishment’(hereinafter referred to as “DAFE”).
Meanwhile, based on these value-added tax taxation theories and trends in Supreme Court precedents, a rough direction for improvement of Korean Tax laws was presented for the advancement of value- added tax taxation methods and harmonization of international laws, which are necessary at the present time. First, in relation to ‘international business to business(B2B) service transactions’, the appropriate development direction of Value-added tax Act is to first improve or supplement the general principle provisions, including tax payer(§3), place of business tax payment(§6), place of supply of services(§20), and reverse charge mechanism(§52), etc. and then create related ‘special provisions’ or expand the scope of special provisions. Second, the level of harmonization must be increased by reforming the current ‘reverse charge mechanism’ into general and standard regulations at the international level such as the EU and UK. Third, on the premise that it is necessary to introduce an independent “fixed establishment(FE)” taxation method for value-added tax purposes, which is distinct from the “permanent establishment(PE)” taxation method for income taxation, I propose a direction for the applicable relationship between the ‘reverse charge mechanism’ and the “fixed establishment(FE)” taxation method for value-added tax purposes, and it would be appropriate to operate ‘Dependent Agent fixed Establishment(DAFE)’ as a c...
