우리 상법은 상법 제530조의2 이하에서 회사분할제도를 독립된 제도로 규율하고 있다. 법인세법은 상법상의 회사분할제도를 전제로 하여 제46조 이하에 과세특례 규정을 두고 있다. 따라서 상법 제530조의2 이하에 따라 행해지는 회사법상의 거래에 한하여 과세특례가 적용될 수 있다. 그런데 회사법상의 분할은 다른 거래형식을 취해도 동일한 효과를 거둘 수 있다. 즉, 인적분할은 물적분할 또는 현물출자에 의해 설립된 자회사 주식을 현물배당하는 방법으로, 물적분할은 현물출자에 의해서 동일한 효과를 거둘 수 있다. 이미 후자의 경우에는 법인세법 제47조의2가 물적분할 시의 과세특례와 나란하게 같은 취지의 규정을 두고 있기도 하다. 그러나 전자의 경우 상법상으로는 2011년 상법 개정에 의해 현물배당이 허용되었음에도 인적분할에 준하는 과세특례제도가 갖추어지지 않아 실제로 위와 같은 방식으로 ‘사실상의’ 인적분할을 하는 사례는 좀처럼 찾아보기 어렵다. 다음의 사유를 고려한다면 배당형 인적분할세제의 도입을 현실적으로 도입할 만한 충분한 이유가 있다.
첫째, 일반론으로서는 물적분할 이후에 그 결과를 인적분할로 전환시킬 수 있다면 유연한 조직재편에 크게 기여할 수 있다. 실제로 2011년 상법 개정 시 현물배당이 허용됨에 따라 실체법적으로 위와 같은 거래가 가능하게 되었다. 그러나 세제상 과세이연의 효과가 부여되지 않는다면 실제로 위 거래가 일어나기는 어렵다.
둘째, 물적분할 및 자회사 상장으로 인한 소수 주주의 피해를 보전하는 방안과 관련하여 배당형 인적분할세제의 필요성이 인정된다. 이러한 거래는 회사가 수익성이 높은 사업부문을 물적분할하여 완전자법인으로 한 후에 해당 자회사의 상장을 통하여 기존 모회사 주주 이외의 투자자들로부터 출자를 얻기 위하여 일어난다. 그 과정에서 모회사 주주의 권리가 침해되고 모회사 주식의 가치가 떨어지는 문제점이 수반되어 상당한 문제가 되었다. 그 해결방안으로는 분할법인이 물적분할로 취득한 자회사 주식을 주주에게 현물배당을 하는 방안이 고려되고 있는데 그 결과는 배당형 인적분할과 다르지 않게 된다.
그러나 위 방안을 실제로 실행하려면 적절한 과세이연 조치가 요구될 수 밖에 없다. 이때 구체적인 실행방안이 문제인데 우선 이원화되어 있는 인적분할과 물적분할 세제의 구조를 정비하여 정합성을 높일 필요가 있다. 그렇게 하지 않으면 조세회피 거래에 악용될 소지가 있다. 그 다음 단계로 인적분할 및 물적분할의 과세특례 요건과 동일한 요건 하에서 분할법인이 보유하고 있는 완전자법인 주식을 분배할 경우 분할법인 단계에서의 과세 및 주주 단계에서의 과세를 각각 이연하여 주도록 하는 내용으로 제도를 마련하면 배당형 인적분할세제를 도입할 수 있다.
다만, 앞서 지적한 바와 같이 실제 실행 단계에서는 인적분할을 곧바로 행한 경우와 물적분할을 거쳐서 배당형 인적분할을 행한 경우의 조세효과에 차이가 나지 않도록 제도를 설계하는 것이 가장 중요한 고려사항이라는 점을 강조하고 싶다.
The Korean Commercial Code regulates the corporate division as an independent system under Article 530(2) of the Code. The Corporate Tax Act provides special taxation treatment in Article 46 et seq. based on the premise of the corporate division system under the Commercial Code. Therefore, the tax deferral can only be applied to corporate division conducted in accordance with Article 530(2) et seq. of the Commercial Code. However, the same effect can be achieved through other transaction types, i.e., a shareholder-dividing corporate division can be accomplished through an in-kind distribution of shares of a subsidiary established by a corporation-dividing corporate division or in-kind contribution, and a corporation-dividing corporate division can be accomplished through an in-kind contribution. In the case of the latter, Article 47(2) of the Corporate Tax Act provides for the same tax regime in parallel with the special tax regime for a corporation-diving corporate division. However, in the case of the former, although dividends in kind have been permitted by the 2011 amendment to the Commercial Code, it is difficult to find cases of de facto corporate division in this way because there is no special tax regime comparable to a shareholder dividing corporate division. There are good reasons to consider the introduction of a spin-off type tax regime in practice for the following reasons.
First, in general, being able to convert a corporate-dividing corporate division into a shareholder-dividing corporate division by way of spin-off can contribute significantly to flexible reorganization. In fact, the 2011 amendments to the Commercial Code allow for dividends in kind, making such transactions possible in practice. However, it is difficult to realize such a transaction in practice if the tax deferral effect is not granted.
Second, the need for a spin-off tax regime is recognized as a way to compensate minority shareholders for losses caused by a corporation-dividing corporate division and subsequent subsidiary listings. These transactions occur when a company spins off a highly profitable business division into a wholly owned subsidiary and then goes public to raise capital from investors other than the existing parent company shareholders. In the process, the rights of the parent company shareholders are violated and the value of the parent company’s shares decreases, which has become a significant problem. As a solution, it is being considered that the dividing corporation will distribute the subsidiary shares acquired in the spin-off in kind to the shareholders, with the result being no different from a spin-off type corporate division.
However, in order to implement the above solution, appropriate tax deferral measures are required. First of all, it is necessary to overhaul the structure of the tax system of both the corporate division system to improve harmonization. Failure to do so could lead to abusive tax avoidance transactions. The next step is to introduce a spin-off type tax regime by providing that the taxation at the dividing corporation level and the taxation at the shareholder level can be deferred when the shares of the wholly-owned corporation held by the dividing corporation are distributed under the same requirements as the special tax regime for a shareholder-dividing corporate division.
However, as mentioned above, it is important to emphasize that in the actual implementation stage, the most important consideration is to design the system so that there is no difference in the tax effect between a spin-off type corporate division and a shareholder-dividing corporate division.
