한・일 양국의 회사법상 주주 의결권의 제한에 관한 비교검토 = Comparative Study on the Restriction of Shareholders' Voting Rights in Korean and Japanese Corporate Law

The paper examined the purpose and content of the legislation regarding the restriction of shareholder voting rights under the Korean Commercial Act and the Japanese Companies Act, and examined the background and characteristics of their different developments by comparing the systems of both countries.
The Korean Commercial Act and the Japanese Companies Act stipulate the one share - one vote principle in relation to the resolution of the shareholders’ meeting of the stock company. However, the laws of both countries provide that the one share - one vote principle can be restricted or eliminated by the provisions of the law.
The restrictions of shareholders' voting rights in Korea and Japan were generally similar until 1981, except for restrictions on shareholder voting rights when electing auditors under the Korean Commercial Act. Both countries have recognized the exceptions to the one share - one vote principle, including the company's own shares and cross-held shares, and shares held by parties who have special interest in the resolution of the shareholders’ meeting. This exception was to restrict one share - one vote, as the interests of minority shareholders were infringed by the majority vote or the fairness of the resolution was likely to be undermined by the exercise of voting rights.
The restriction of voting rights of major shareholders when electing auditors or audit committee members under the Korean Commercial Act is to limit the influence of major shareholders and ensure neutrality and independence of auditors or audit committee members. In addition, the Korean Commercial Act has a limit on exercising voting rights up to 3% of the total number of issued shares when a large listed company excludes the cumulative voting system by its article of incorporation or changes the excluded articles of incorporation. However, in Japan, there is no restriction on voting rights of major shareholders when electing auditors or audit committee members, and there is no restriction on voting rights of major shareholders in the case of a change in the articles of incorporation to eliminate the cumulative voting rights.
In Japan, the provisions prohibiting the exercise of voting rights of special interested parties were deleted in 1981 because the concept of special interests was unclear in applying the restriction of voting rights. In addition, if a resolution was made significantly unfair as a result of the exercise of a voting right by a shareholder with a special interest, the resolution would be the cause of the revocation. However, the Korean Commercial Act keeps the provisions regarding restrictions on voting rights of special interested parties.
In the early 2000s, Japan allowed shares with restricted voting rights, shares with veto rights, and class shares related to the election and dismissal of directors and auditors, and introduced a unit share system. Korea also allowed different classes of shares having no, or limited voting rights in the revision of its Commercial Act in 2011, but did not introduce the class shares with veto rights, and class shares for the election and dismissal of directors and auditors, and the unit share system. Under Japanese Companies Act, the unit shares system was originally introduced to reduce the costs of managing shareholders, but if the number of one unit of shares differs significantly from one share to another, it would have the same effect as recognizing multiple voting rights. Thus, since the early 2000s, the two countries have also seen considerable differences in restrictions on shareholder voting rights through revisions to the Commercial Act and the Companies Act.

이 논문은 우리 상법과 일본 회사법상 주주 의결권의 제한에 관한 입법 취지 및 내용을 살펴보고 양국의 제도를 비교하면서 상이하게 발전된 배경과 특징에 대하여도 검토한 것이다.
우리 상법과 일본 회사법은 주식회사의 주주총회 결의와 관련하여 1주 1의결권의 원칙을 명문으로 밝히고 있다. 그러나 양국의 법은 1주 1의결권의 원칙은 법률의 규정에 의하여 이를 제한하거나 배제할 수 있도록 규정하고 있다. 한・일 양국의 주주 의결권의 제한과 관련된 규정은, 우리 상법상 감사선임 시 주주의 의결권제한을 제외하면, 1981년까지 대체로 유사하였다. 양국이 1주 1의결권의 원칙에 대한 예외로서 공통적으로 인정한 것은 자기주식과 상호보유주식 및 해당 주주총회의 결의에 관하여 특별이해관계인이 가진 주식 등이다. 이러한 예외는 자본다수결로 인하여 소수파 주주의 이익이 침해되거나 의결권행사로 인하여 결의내용의 공정성을 해칠 염려가 있기 때문에 1주 1의결권을 제한하는 것이었다.
우리 상법상 감사 또는 감사위원회 위원 선임 시 대주주의 의결권제한은 대주주의 영향력을 견제하여 감사 또는 감사위원의 중립성과 독립성 확보하기 위한 것이다. 또한 우리 상법은 대규모 상장회사에서 집중투표제를 배제하거나 그 배제된 정관을 변경하는 경우에는 대주주의 의결권을 발행주식총수의 3%까지만 행사하도록 제한하고 있다. 그러나 일본에서는 감사 또는 감사위원회 위원 선임 시 대주주의 의결권제한이 없고, 집중투표의 배제를 위한 정변변경의 경우에도 대주주의 의결권제한이 없다.
일본에서는 특별이해관계인의 의결권제한과 관련하여 특별이해관계라는 개념이 불명확하여 그 적용상 문제점이 발생함에 따라 1981년 특별이해관계인의 의결권행사를 금지한 규정을 삭제하였다. 그리고 특별한 이해관계를 가진 주주가 의결권을 행사한 결과 현저히 부당한 결의가 이루어진 경우에는 사후적으로 그 결의를 취소의 원인이 되도록 하였다. 그러나 우리 상법에서는 특별이해관계인의 의결권제한에 관한 규정이 그대로 유지되고 있다.
일본에서는 2000년대 초에 의결권제한주식과 거부권부주식 및 이사・감사의 선・해임에 관한 종류주식을 허용하였으며, 단원주제도를 도입하였다. 한국에서도 2011년 상법개정에서 의결권배제 및 제한주식을 허용하였으나, 거부권부주식과 이사・감사의 선・해임에 관한 종류주식 및 단원주제도 등은 도입하지 않았다. 일본 회사법상 단원주제도는 원래 주주관리비용을 절감할 수 있도록 도입된 제도이지만, 단원주식수를 주식의 종류에 따라 현격한 차이를 두면 복수의결권을 인정하는 것과 같은 효과가 생긴다. 이와 같이 양국은 2000년대 초부터 상법 또는 회사법의 개정을 통하여 주주 의결권의 제한에서도 상당한 차이를 보이고 있다끝으로 한・일 양국의 주주 의결권의 제한에 관한 특징을 요약하면, 우리 상법은 회사지배의 왜곡방지, 주주총회결의의 공정성 확보, 소수파주주의 이익보호 등에 중점을 둔 데 대하여, 일본 회사법은 종류주식 다양화 등을 통하여 자금조달의 편의와 지배관계의 안정, 적대적 M&A 방어수단 및 기업구조조정 등에 활용하는 데 역점을 둔 것으로 이해된다.
