공정거래법상 기업집단의 범위를 정하는 작업은 공정거래위원회에게는 대기업집단에 의한 경제력집중 억제시책을 위한 출발점이자, 기업에게는 출자규제나 사익편취 등의 규제 여하를 좌우하는 갈림길이다. 동일인의 계열회사에 대한 ‘사실상 지배’를 판단하는 기준은 가급적 명확해야 하고, 수범자로서도 충분히 예측가능해야 하는 이유이다. 따라서 계열관계를 파악하기 위한 지분율․지배력 요건은 문언과 입법취지에 비추어 규제공백이 발생하지 않는 범위에서 가급적 엄격하게 해석되어야 하며, 단순한 행정편의를 위해서 기업집단의 범위를 기계적으로 해석하고, 추후 이를 바로잡을 부담을오로지 기업이나 동일인에게 지우는 태도는 바람직하지 않다.
공정거래법 시행령 제4조 제1호와 제2호는 양자를 종합해서 접근할 필요가 있다.
지분율만으로 동일인이 누구인지를 추론하기 어려운 경우에는 더더욱 그러하다. 더구나 동일인이 지분을 전혀 보유하지 않거나 적게 보유한 경우에 기계적으로 동일인관련자의 지분을 합쳐서 사실상 지배를 동일인에게 귀속시키는 것은 올바른 해석이 아니다. 동일인관련자 본인이 직접 지배함이 명백한 회사를 별다른 이유없이 동일인의계열회사로 인정해서는 안 되는 것이다. 그간 이러한 해석에 반하는 공정거래위원회의실무는 개별 사례에서 동일인관련자의 지분소유나 지배력 행사를 동일인으로 귀속시킬 만한 ‘특별한 사정’이 존재하지 않는 한 타당하지 않다. 그러한 특별한 사정에 대한입증책임은 공정거래위원회가 부담하여야 한다. 따라서 동일인의 지분이 전혀 없거나또는 지분이 없음에도 불구하고 사실상 동일인의 지배적 영향력을 인정할 만한 특별한 사정이 없는 경우라면 지분율 요건을 충족하는 동일인관련자가 해당 회사를 사실상 지배하는 것으로 보는 것이 타당할 것이다.
공정거래법 개정으로 대기업집단에 대한 규제가 도입된 지도 어언 40년이 다 되어간다. 그 사이에 우리나라의 대기업집단에도 많은 변화가 있었다. 플랫폼 대기업집단의 등장과 3세 승계의 완료 추세 외에 대기업집단의 소유․지배구조와 금융시장의 투명성이 몰라보게 높아졌다는 점을 빼놓을 수 없다. 그룹 총수가 위장계열사를 둔다는것은 상상조차 하기 어렵다. 위장계열사를 유지하는 편익에 비해 그로 인한 형사벌 등제재의 리스크가 매우 크기 때문이다. 대기업집단의 지정을 둘러싼 규제가 지정된 이후 출자 등의 규제에 비해 훨씬 부담스러운 비정상적인 상황을 공정거래위원회의 올바른 법해석과 실무를 통하여 바꾸어나갈 필요가 있다.

This regulatory situation is not desirable.
Recognizing incorporation into an affiliate by inferring the de facto control of the same person over the company based solely on the ownership or exercise of control by a person related to the same person rather than the same person is a ‘special circumstance’ that would result in the ownership of stock or the exercise of control by the same person related in each case being attributed to the same person. It is not valid unless it exists. At this time, special circumstances are, above all, circumstances in which the same person can effectively control the company ‘through the same person related’ and can be said to be a characteristic of the relationship between the two, and the burden of proof regarding such special circumstances must be borne by the Fair Trade Commission. Of course.
Therefore, if there are no shares of the same person or there are no other circumstances that warrant recognition of de facto controlling influence, it is reasonable to view the company as being controlled by the same person, and if there are two or more companies controlled by the same person, the person should be viewed as the same person. will be. In short, the same person and the same person are concepts that must be understood relatively depending on the control of a specific company.
Almost 40 years have passed since regulations on large conglomerates were introduced with the revision of the Act in 1986. In the meantime, there were many changes in Korea’s conglomerates. In addition to the emergence of platform conglomerates and the trend of completion of third-generation succession, it cannot be left out that the ownership and governance structure of conglomerates and the transparency of the financial market have increased significantly. It is difficult to even imagine that the head or the same person of a group would have a fake affiliate. This is because the risk of various criminal penalties is too great compared to the benefits of maintaining a disguised affiliate. The current affiliate incorporation agenda, which recognizes all heads of large conglomerates as potential criminals based on the pre-modern relic of disguised affiliates, and the sanctions system for a simple negligent violation need to be completely reorganized.
