우리나라는 경영승계에 대한 부정적 인식으로 인하여 경영승계를 원활하게 지원하기 위한 법제도가 제대로 마련되지 않고 있다. 2012년 7월부터 시행된 개정 신탁법은다양한 신탁제도를 도입함에 따라 이를 활용하여 경영승계를 할 때 신탁을 활용하는방법이 주목받고 있다.
유언대용신탁을 활용하여 현 경영자(위탁자)가 사전에 보유주식을 신탁재산으로 하여 신탁을 설정하여 스스로가 수익자로서 회사경영을 하고, 현 경영자에게 상속이 발생한 때에 수익권을 ‘수익수익권’과 ‘원본수익권’으로 2분화한 후에, 비후계자에게 수익수익권을, 후계자에게 원본수익권을 각각 취득시킨다는 취지를 신탁계약에서 정할 수있다.
이 경우 주식의 의결권(원본수익권)과 경제적 지분(수익수익권)을 분리하는 것이 허용되는지 여부가 문제된다. 승계대상회사의 주주는 수탁자이고, 수탁자가 주주로서 의결권을 행사하고 배당을 받기 때문에 회사법상의 문제는 발생하지 않는다. 또한 후계자가 갖게 되는 것도 의결권이 아니라 ‘의결권행사의 지시권’이고 이러한 지시에 의해 주주인 수탁자가 의결권을 행사하게 되므로 의결권이 분리되어 양도되는 것도 아니다. 따라서 법적 형식측면에서는 신탁의 수익권을 원본수익권과 수익수익권으로 분할하여 신탁을 설정하는 것은 현행 회사법 아래에서도 가능하다고 본다.
의결권행사지시자가 다른 수익자의 이익을 침해하는 경우에는 신탁계약에 따르고신탁계약에서도 정하지 아니한 때에는 지시자는 신탁법상 신인의무를 부담한다고 보아야 한다. 이에 따라 지시자는 수익자에게 선관주의의무를 부담하고 충실의무(신탁법 제33조)도 부담한다. 한편 수탁자는 선관주의의무에 따라 지시자의 의결권행사지시의 타당성을 체크할 책임을 부담한다.
신탁계약에서 위탁자나 수익자의 의결권행사지시에 따라 수탁자가 의결권을 행사하기로 정한 경우 그 효력이 문제된다. 충실의무에 관한 신탁법 제33조는 임의규정이고, 수익자의 지시에 따라 의결권을 행사하는 것이 충실의무 위반은 아니며, 유언대용신탁의 위탁자는 수익자변경권(동법 제59조 제1항)을 갖는다는 점에서 위탁자의 지시에 따라 의결권을 행사할 수 있다고 본다.
자본시장법상 신탁업자가 수탁자인 경우 동법 제112조 제1항에 따라 위탁자나 수익자에게 의결행사지시권을 부여하는 것은 무효로 보아야 한다. 이에 따라 동법 제112조를 개정하여 주식신탁을 활용하여 중소기업이 경영승계를 하는 경우에는 위탁자나 수익자에게 의결권행사지시권을 인정할 필요가 있을 것이다. 또한 신탁업자가 신탁재산에 속하는 동일 법인이 발행한 주식 총수의 100분의 15를 초과하여 취득한 경우에는의결권을 행사할 수 없도록 한 조항이나(동법 제112조 제3항), 공정거래법상 상호출자제한기업집단에 속하는 신탁업자에 적용되는 그림자투표(동법 제112조 제5항)에 대해서도 예외규정이 필요하다.
수익자연속신탁에서 대상으로 되는 것은 소유권이 아니라 수익권이고, 수익권에 존속기간을 정하는 것은 법률상 가능하기 때문에, 수익자연속신탁에 존속기간을 설정할필요가 있다. 한편 유류분과 신탁과 관련해서는 신탁설정으로 신탁재산의 소유권이 수탁자에게 이전되어 상속개시 시에 피상속인으로 재산으로 남아있지 않으므로 유언대용신탁의 신탁재산은 상속개시 시에 피상속인의 재산에 포함되지 않는다고 보 ...
sized companies by inheritance in Korea, legal mechanisms to support those succession have not been prepared relevantly. As the revised Trust Act which was implemented in July 2012 introduced various trusts, how to utilize them for succession of management by inheritance received attention.
By making use of living trust for will substitute a business owner (settlor) establishes trust utilizing his/her holding shares as trust assets. A business owner operates his/her company as beneficiary of the trust. The trust contract can be prescribed that a beneficiary rights of earning of trust be invested to non-successor and a beneficiary rights of equity of trust be invested to the successor.
In this case there raise legal questions as to whether it is allowed to separate voting rights of stock from economic stakes of stock. In view of corporate law there occurs no problem because the settlor is the shareholders of succeed company, and the settlor as a shareholder exercises voting rights and receives dividend. The voting rights are not transferred as segregated status since a successor acquires the rights of direction to exercise voting rights and a trustee exercises voting rights according to the direction of a successor. Therefore, it is possible to establish trust by separating voting rights of stock from economic stakes of stock under current Trust Act.
If a settlor who directs to exercise voting rights infringes on other beneficiaries’ interests, the settlor must be regulated by trust contract, however if there is no contract, he or she takes fiduciary duty under the Trust Act. According to Trust Act, a settlor takes duty of care and duty of loyalty (section 33 of the Trust Act). Meanwhile, a trustee obligates to check the validity of settlor’s direction to exercise voting rights.
If a trust contract prescribes that a trustee exercises voting rights according to settlor or beneficiary’s direction, the validity of the contract becomes into question.
Since section 33 of the Trust Act is a voluntary provision, exercising voting rights according to the direction does not violate duty of loyalty, and a settlor of living trust for will substitute has the right to change trust beneficiary (paragraph 1 of section 59 of the Trust Act), a trustee can exercise voting right according to the direction of a settlor.
If a trustee is involved in a trust business under paragraph 1 of section 112 of the Financial Investment Services and Capital Markets Act(“the FISCMA”), it shall be dealt as to be invalid to provide a settlor or beneficiary of trust the rights to direct to exercise voting rights. Therefore, it is necessary to revise section 112 of the Trust Act in order to provide a settlor or beneficiary of trust the rights to direct to exercise voting rights in the case of succession of management of small and medium sized companies by utilizing stock trust. It needs to revise Trust Act to allow exceptional measures regarding the provision which prohibits exercising voting rights in case a trustee in trust business holds more than 15 percent of total share (paragraph 3 of section 112 of the FISCMA), and the provision which requires a trustee in trust business that belongs to mutual investment restraint business group under the Monopoly Regulation and Fair Trade Act (paragraph 5 of section 112 of the FISCMA) to apply shadow voting system.
In case of trust for beneficiary in succession, since the subject of trust is beneficiary rights rather than ownership, and it is possible to prescribe the duration of trust, it needs to establish duration under trust for beneficiary in succession.
