유럽 표준필수특허(SEP) 규칙(초안)이 제안하는 특허권 행사 전 조정(conciliation)제도

국문 초록 (Abstract)

표준필수특허(SEP)에 대한 관심이 높아지고 관련 분쟁이 다수 발생 하면서, SEP 분쟁의 효과적인 해결방안에 대한 모색, 제공이 시급하다. 그러므로, 이 글에서는 2023년 4월 유럽위원회(EC)가 SEP 보유자와 실 시자 간의 분쟁해결을 위해 발표한 규칙 초안이 규정하는 (SEP 보유자 와 실시자가 실시계약을 체결하도록 돕는) 조정제도를 집중적으로 분 석하였다. 제Ⅱ절은 현행의 표준필수특허 분쟁해결 절차를 소개한다. 표준필수 특허 분쟁해결 절차는 경고, 실시계약 의사 피력, 계약내용의 제시, 반 대청약 제시, 실시료 보증금 예탁, 제3자에 의한 실시료 결정의 여섯 단계로 구성된다. SEP 보유자는 특허권 침해가 추측되는 자에게 경고 장을 보내야 하여 그 경고는 소송 제기 전에 필수적이다. 경고를 받은 자는 실시계약 체결 의사를 명확히 해야 하며 이후 SEP 보유자는 실 시계약의 구체적인 내용을 제시한다. 실시자는 SEP 보유자가 제시한 계약 내용에 대해 반대청약을 제시할 수 있다. 만약 합의가 이루어지 지 않을 경우는 제3자가 실시료를 결정하게 된다. EU SEP 초안의 주요 목적은 SEP 보유자와 실시자 간 실시계약의 체결을 촉진하는 절차를 제공하는 것이다. 그 핵심은 EUIPO SEP 센터 와 조정위원의 도움(조정) 아래 절차가 진행되는 것이다. EUIPO는 SEP 센터를 설립하여 SEP 등록·심사 관리, FRAND 확약 결정 및 SEP 분쟁 조정을 담당한다. 그리고 조정위원은 당사자 간의 협상을 담당하고 당사 자 간의 합의가 이루어지지 않을 경우 조정자가 제안을 제출해야 한다. 제Ⅳ절과 제Ⅴ절은 주로 초안의 조정제도와 현행 표준필수특허 분쟁 해결 절차, 소송 절차 사이의 관계, 조정의 특성을 연구하고 구속력과 강제력의 두 측면에서 초안과 수정 초안의 조정을 분석했다. 초안 탄생 때부터 EU의 SEP 보유자들은 발생할 수 있는 특허 ‘역억 류’(hold-out)의 문제에 대해 우려하여 왔다. 그리고 EU SEP 조정제도가 중소기업에 악영향을 미칠 수 있다는 목소리도 많다. 그럼에도 불구하 고, 선도기업의 행동을 규제하고 특허권 남용을 방지하고 투명한 협상 을 촉진함에 있어서 제안되는 조정제도는 긍정적인 역할을 할 수 있다 고 생각된다. 2024년 2월에 끝난 초안에 대한 유럽의회의 심사에서 유럽의회가 초 안의 모순된 조항을 삭제하여 조정의 구속력을 공식적으로 부정했다는 점은 주목할 가치가 있다. 그런데 유럽의회는 다른 규정에 대하여는 크게 수정하지 않았다. 즉, EU SEP 조정제도는 유럽의회의 검토를 거 쳐 전체적으로 긍정적으로 평가되었다고 볼 수 있다. 본 논문은 그 EU 조정제도가 한국에 도입될 가능성을 소개했다. 그 EU 제도가 유럽 내 에서 어떻게 실행될지, 유럽 밖의 국가들은 그 제도를 어떻게 평가하 고, 따를 것인지가 향후, 관측, 연구의 대상이 될 것이다.

다국어 초록 (Multilingual Abstract)

In the telecommunications and medical fields, as interest in standard essential patents (SEP) increases and SEP disputes intensify, it is urgent to find effective SEP dispute resolution methods. Therefore, in this article, research is conducted on the draft rule published by the European Commission (EC) in April 2023 to resolve disputes between SEP holders and implementers, focusing on the conciliation system that helps SEP holders and implementers sign license agreements. Section II introduces the current standard essential patent dispute resolution procedure. The standard essential patent dispute resolution procedure consists of six steps: warning, expression of intention to implement contract, presentation of contract details, presentation of counter-contract, deposit of license, and FRAND determination by a third party. SEP holders must send a warning to anyone suspected of patent infringement, so this warning is essential before filing a lawsuit. The person who receives the warning must clarify the intention to conclude the contract, and the SEP holder then presents the contract details. The implementer may present a counter-contract for the contract details presented by the SEP holder. If no agreement is reached, a third party will decide the FRAND license. The main purpose of the EU SEP draft is to provide a procedure for facilitating the conclusion of an implementation contract between the SEP holder and the implementer. Its core is to rely on the EUIPO SEP Center and its conciliator to realize the procedure. EUIPO establishes a SEP center to manage SEP registration and review, determine FRAND commitments, and conciliate SEP disputes. The conciliator is in charge of negotiations between the parties, and if no agreement is reached between the parties, the conciliator must submit a proposal. Sections IV and V mainly studied the mediation system of the draft, the relationship between the current standard essential patent dispute resolution procedure, and the litigation procedure, and the characteristics of conciliation, and analyzed the conciliation of the draft and revised draft from both binding and compulsory aspects. Since the birth of the draft, EU SEP holders have been concerned about the possible 'hold-out' problem. In addition, there are many voices that the EU SEP conciliation system may have a negative impact on SMEs. Nevertheless, it is thought that the proposed conciliation system can play a positive role in regulating the behavior of leading companies, preventing patent abuse, and promoting transparent negotiations. It is worth noting that in the European Parliament's review of the draft, which ended in February 2024, the European Parliament officially removed the contradictory provisions of the draft, thereby depriving it of the binding force of the conciliation. However, the European Parliament did not revise much about other regulations. In other words, the EU SEP conciliation system was evaluated positively overall after review by the European Parliament. The text also introduced the possibility that the conciliation system would enter Korea. It is expected that how this conciliation system will be implemented and developed in Europe and other countries in the future.
