Hybrid entity means an entity subject to different tax treatments by different contracting states. For instance, one contracting state may classify an entity as a taxable entity such as a company under its domestic tax law, but the other contracting state may categorize that same entity as a fiscally transparent entity which is taxed as a partnership under its own domestic tax law. The following are some of the practical issues often confronted when a domestic company claims for the application of the benefits conferred under a tax treaty when paying dividend income to a foreign hybrid entity: (a) whether the entity is the beneficial owner of the dividend income; (b) whether the entity is a resident of the other contracting state under the tax treaty; and (c) whether the entity is a company instead of a partnership under the tax treaty. The subject case is a rare case in point which includes determinations on all three of the above issues.
First, stating the legal principle that a beneficial owner is the entity to which dividend income is substantially attributed pursuant to the economic substance doctrine or substance-over-form principle under the domestic tax law, the subject case deemed the investment fund as an entity to which the dividend income is substantially attributed and treated the intermediary holding company as a conduit company. Such determination on beneficial ownership is a reaffirmation of the Supreme Court’s consistent position thus far. The aspect distinguishing the subject case from precedents is its notion that establishing an intermediary holding company at the state of residence of the entity to which an income is substantially attributed may be another way of evading domestic taxes by abusing the provision on resident and the provision defining company under the tax treaty.
Second, the subject case determined that, even when a foreign hybrid entity does not bear a comprehensive tax liability such as corporate tax in its state of residence, the entity may still be treated as a resident to the extent that its interest holders bear a comprehensive tax liability on the income attributed to the entity under the domestic tax law as a resident of a contracting state. This ruling is premised on the notion that it is consistent with the object and purpose of the tax treaty to prevent double taxation, as well as with the intent of the contracting states to limit the source state’s tax jurisdiction to the extent that the state of establishment of the entity to which domestic source income is attributed ultimately exercises a comprehensive tax jurisdiction on the said income, albeit not at the level of the entity. The subject case basically found the entity itself as a resident under the tax treaty, while upholding the interpretation and application of the Korean tax law deeming taxable the entity to which the dividend income is attributed. As such, it is worth noting that the subject case took a different stance from that of the OECD to shift the attribution of dividend income from the level of entity to that of its interest holders according to the tax law of the entity’s state of establishment, and then to apply the tax treaty between Korea and the interest holders’ state of residence.
Third, the subject case determined that ‘company,’ as opposed to ‘partnership,’ under the provisions on the limited tax rate on dividend income under the Korea-Germany tax treaty means an entity treated as a company under the tax law of the entity’s country of establishment. 혼성단체(Hybrid Entity)는 일방 체약국의 국내 세법에서 법인처럼 과세되는 과세단체(Taxable Entity)로 분류되지만 타방 체약국의 국내 세법에서는 조합처럼 과세되는 투과과세단체(Fiscally Transparent Entity)로 분류되는 등 양 체약국의 세법상 취급이 다른 단체를 의미한다. 내국 법인이 외국의 혼성단체에게 배당소득을 지급하면서 조세조약에서 정한 혜택의 적용을 주장할 때 실무상 자주 등장하는 쟁점은 그 단체가 배당소득의 수익적 소유자인지, 조세조약상 상대방 체약국의 거주자인지 및 조세조약상 조합(partnership)이 아닌 법인(company)인지이다. 대상판결은 위 세 가지 쟁점에 대한 판단을 모두 포함하고 있는 보기 드문 사례이다.
대상판결은 외국의 혼성단체가 단체의 설립지국인 체약국에서 법인세 등 포괄적인 납세의무를 부담하지 않더라도 국내 세법에 따라 그 단체에 귀속된 소득 중 그 구성원이 체약국의 거주자로서 포괄적인 납세의무를 부담하는 범위에서는 그 단체가 거주자로 취급될 수 있고, 구성원이 체약국의 비거주자로서 포괄적인 납세의무를 부담하지 않는 범위에서는 거주자로 취급될 수 없다고 판단하였다. 이는 국내 원천소득이 귀속된 단체의 설립지국이 그 단체 수준에서 과세하지 않더라도 궁극적으로 그 소득에 대하여 포괄적인 과세권을 행사한다면, 그 과세범위 내에서는 원천지국의 과세권을 제한하는 것이 이중과세방지를 위한 조세조약의 목적이나 양 체약국의 의사에 부합한다는 점을 전제하고 있다. 대상판결은 기본적으로 배당소득의 귀속자가 과세단체라는 국내 세법의 해석·적용 결과를 유지하면서 그 단체 자체를 조약상 거주자로 인정한 것이므로 위 단체의 설립지국의 세법에 따라 배당소득의 귀속을 단체에서 그 구성원으로 변경시킨 후 그 구성원의 거주지국과 우리나라가 체결한 조세조약을 적용해야 한다는 OECD 권고안과 다른 입장을 취하였다는 점을 유념할 필요가 있다.
또한 대상판결은 한·독 조세조약의 배당소득에 대한 제한세율에 관한 규정에서 조합이 아닌 법인이란 법인 설립지국의 세법에서 법인으로 취급되는 단체라고 판단하였다. 배당소득에 대하여 5%라는 저율의 제한세율을 적용한 규정의 취지는 자회사가 모회사에게 배당할 때 과세하면 발생할 수 있는 반복과세(recurrent taxation)를 최소화하기 위한 것이다. 대상판결은 이러한 취지에 비추어 배당을 지급받는 모회사가 그 설립지국의 세법에서 과세단체로 취급되는 경우에 위와 같은 조약의 혜택을 받을 수 있는 법인에 해당한다고 보았다.
