미국의 판례법은 이사의 경영판단에 대하여 적법성을 추정하는 재판규범으로서 경영판단원칙을 운영하고 있고, 우리 판례는 이사의 선관주의의무의 해석기준으로 경영판단원칙을 적용하고 있다는 점에서 차이가 있다. 미국의 판례법은 이사의 경영판단에 관한 사법심사기준으로 ① 이해관계기준, ② 신의성실기준, ③ 상당한 주의기준을 확립하고 있으나, 우리 판례는 이사가 경영판단에 합리적으로 이용 가능한 범위 내에서 필요한 정보를 충분히 수집?조사하고 검토하는 절차를 거친 다음, 이를 근거로 하여, 회사의 최대이익에 부합한다고 합리적으로 신뢰하고 신의성실에 따라 경영상의 판단을 내렸고, 그 내용이 현저히 불합리하지 않은 것으로서 통상의 이사를 기준으로 할 때 합리적으로 선택할 수 있는 범위 안에 있는 것이라는 판단기준을 확립하고 있다.
미국의 판례법상의 이해관계기준은 지배주주 등으로부터 이사의 경영판단에 관한 독립성을 확보하기 위한 기준이고, 신의성실기준은 판단내용의 합리성이나 상당성을 확보하기 위한 기준이며, 상당한 주의기준은 미국에서 대규모주식회사의 이사회는 대부분이 사외이사로 구성되어 있다는 사정을 고려하여 경영판단의 과정에 중대한 과실이 있는 경우에 한하여 주의의무위반책임을 인정하는 기준으로서 이사책임의 완화라는 정책적 목적에 입각한 기준이다. 우리 판례상의 판단기준은 경영판단에 필요한 정보의 수집, 조사, 토론의 절차상의 합리성을 판단하는 기준과 판단내용이 합리성이나 상당성을 구비하여 있는지를 판단하는 기준을 채택하고 있다.
미국의 판례 및 우리 판례의 심사기준은 그 내용에 있어 대체로 유사하나, 우리 판례상의 판단기준에는 이해관계기준이 설정되어 있지 않다는 점과 신의성실기준이 소극적 기능의 관점에서 적용되고 있다는 점에서 차이가 있다. 그리하여 우리 판례의 판단기준으로는 지배주주의 부당한 지시에 따른 경영판단을 억제할 수 있는 기준이 존재하지 않고, 회사이익을 저해하는 도덕적 해이 등에 기초한 경영판단을 억제할 수 있는 기준이 마련되어 있지 않다는 한계가 있다.
본 논문은 우리 판례의 판단기준이 가지고 있는 한계를 보완하기 위해서는 기존의 판단기준에 이해관계기준을 채택할 필요가 있는 점과 이사의 기회주의적인 도덕적 해이를 억제할 수 있도록 신의성실기준에 내재하는 적극적 기능을 촉진할 수 있도록 그 기준의 구체화할 필요하다는 점을 제안한다.
Model Business Corporation Act §8.30. (a) Each member of the board of director, when discharging the duties of a director, shall act: (1) in good faith, and (2) in a manner the director reasonably believes to be in the best interests of the corporation. And §8.31. (a) A director shall not be liable to the corporation or its shareholders for any decision to take or not to take action, or any failure to take any action, unless the party asserting liability in a proceeding that ; (2) the challenged conduct consisted or was the result of : (ⅰ) action not in good faith,: or (ⅱ) a decision (A) which the director did not reasonably believe to be in the best interests of the corporation, or (B) as to which the director was not informed to an extent the director reasonably believed appropriate in the circumstances. While director whose performance meets the standards of section 8.30 should no liability, the fact that a director"s performance fails to reach the level does not automatically establish personal liability for damages that the corporation may have suffered as a consequence.
The business judgement form of judicial review encompasses three elements : a threshold review of the objective financial interests the board whose decision is under attack(i.e., independence), a review of the board"s subjective motivation(i.e., good faith), and an objective review of the process by which it reached the decision under review(i.e., due care). The first of these factor is, of course, a condition to the use of the business judgement form of review ; if the board is financially interested in the transaction, the appropriate form of judicial review is to the place upon the board the burden to establish the entire fairness of the transaction. Each of the second two elements of the rule reflects one of the one of the two theoretically possible bases for director liability in a disinterested transaction. If each is satisfied(i.e., plaintiff cannot show a prima facie case of, or, if such a case is made out, the balance of the evidence does not establish, bad faith or gross negligence), then there is, no basis to issue an injunction or to impose liability.
Delaware Supreme Court"s decision in Stone v. Ritter, that in the american corporate law tradition, the basic definition of the duty of loyalty is the obligation to act in good faith to advance the best interests of the corporation. The duty of loyalty has traditionally been conceived of as being much broader than the duty to avoid acting for personal financial advantage. The duty of loyalty also precludes acting for unlawful purposes and affirmatively requires directors to make a good faith effort to monitor the corporation"s affairs and compliance with law. We highlight a critical policy implication resulting from Stone v. Ritter, which is that an independent director who is accused of having failed in monitoring duties may only be held liable if a court finds that they breached duty of loyalty by consciously failing to make a good faith effort to comply with duty of care. By requiring a finding of the bad faith before imposing liability on an independent director, the corporate law, as explicated by Stone, protects from erosion the policy interests underlying the business judgement rule. In this article propose that establish standard of interested director and magnify standard to active action in good faith on the review of Supreme Court in Korea.
