국제건설공사계약상 공기단축의 법적 쟁점 = Legal Issues Relating to Acceleration in International Construction Contracts

국제건설공사계약은 다른 계약과 비교하여 상대적으로 계약의 이행기간이 길어서, 그 사이에 예견하지 못한 다양한 사정변경이 발생하거나 발주자의 공사변경 지시로 인하여 공사가 지연되거나 중지되는 경우가 많다. 이는 예정된 기간 내에 완성된 공사목적물을 직접 사용하거나 수익을 얻어야 하는 발주자에게 막대한 손해를 끼치기 때문에, 지연의 책임사유가 시공자에게 있다면 시공자는 지연된 기간만큼 사전에 정한 지체상금을 부과하게 된다.
이와 같은 문제는 공기를 단축하는 경우에 있어서도 마찬가지이다. 발주자가 공사변경 권한을 행사하여 당초 합의된 공기보다 단축된 공사를 하도록 지시하고 이를 시공자가 합의하였다면 단축된 공기 내에 시공자는 공사를 완성해야 할 의무를 지게 된다. 그런데 현실적으로는 일반적인 공기단축지시 뿐만 아니라 지연의 귀책사유를 판단하지 못한 상황에서 공기지연에 대하여 발주자가 공기를 만회하도록 지시하는데 발주자에게 이러한 권한이 있는지, 관련하여 발주자의 권한 범위를 벗어난 변경지시에 의한 공기단축이나 공기만회에 대하여 시공자가 거부할 수 있는지, 공사범위 감소에 따른 발주자의 공기단축 지시가 가능한지 등이 문제가 된다. 같은 문제를 반대로 시공자 입장에서 보면, 공기가 지연될 때 시공자의 일반적 의무는 지연을 경감(완화)하면 되는 정도인지 아니면 지연된 공기를 만회하는 의무까지 지는지가 문제될 수 있다. 특별히 시공자의 적합한 공기연장 청구에도 불구하고 발주자가 이를 거절하거나 미루어 시공자가 불가피하게 공기단축을 할 수밖에 없는 문제가 발생하는데 시공자가 이러한 공기단축에 대한 추가 공사비를 청구할 수 있는가의 문제이다. 이를 이른바 ‘의제된 공기단축 이론’이라고 부르는데, 미국은 법과 판결에서 동 이론을 인정하여 이러한 문제를 해결하고 있다. 즉, 시공자가 의제된 공기단축 이론을 적용하기 위한 일정한 요건을 갖추면 그로인한 손해액을 보상받을 수 있다. 반면 영국, 캐나다, 호주, 독일 및 프랑스에서는 법에서 이를 인정하는 바가 없고, 다만 미국을 제외한 영미법계와 독일에서는 방해이론에 따라, 프랑스에서는 법원 판사의 재량으로 같은 문제를 해결하고 있으므로 이점을 우리가 참고하여야 할 것이다. ‘추가비용 청구불허조항’은 공기단축의 경우에도 유효하므로 이와 같은 면제 조항에 근거하여 시공자는 추가비용을 인정받지 못할 수 있다는 점에서 시공자는 계약 초안 단계에서 그 내용을 잘 살펴보고 신중히 계약 여부를 결정하여야 할 것이다.
한편, 공기단축으로 인한 추가된 비용을 산정하는 문제에 있어서 쌍방 당사자의 입장이나 시각은 차이가 있다. 시공자는 공기단축을 위해 자원이 추가 투입되어 실제 발생한 비용을 고려하는 반면, 발주자는 추가로 투입된 자원을 통한 생산량의 증가를 더 고려한다. 그러나 공기단축 공사는 생산성의 상실 또는 저하가 항시 발생하기 때문에 이러한 생산성 저하율에 따라 생산량의 차이가 크고 이는 각 당사자가 인정하는 추가공사비의 차이가 될 수 있다. 그러므로 발주자에게 공기단축 지시권한을 부여하는 경우 시공자는 그로인한 비용의 보상에 관하여 계약에 명시할 필요가 있을 것이며 의제된 공기단축이 발생하는 경우의 보상에 대하여도 그 기준과 보상을 계약에 규정하여야 할 것이다. 또한 이에 관한 계약규정의 ...
In general, there are many delays or the suspension of work occurs due to unforeseen events or the employer’s varying instructions, because international construction contracts have longer terms compared with other contracts. These can cause severe damages to the employer, who needs to use the building directly or gain profits after the completion date. If the delay is caused by the contractor, they should pay liquidated damages with proportion.
The types of delays are generally divided into excusable or non-excusable, compensable or non-compensable, and critical or non-critical, and concurrent delays can be divided into delays caused by the employer or the contractor and circumstances outside of the control of either party. Meanwhile, the types of acceleration are directed acceleration, constructive acceleration, and voluntary acceleration.
There are also legal issues relating to acceleration in construction contracts. If the employer use the right to vary to accelerate the work planned in the original program and this is agreed with the contractor, the contractor has an obligation to complete the work within shorter duration. Additionally, the question is actually whether the employer is entitled to make up for delays. If the employer has not been granted variation rights, the contractor can reject the employer’s instructions for acceleration.
Meanwhile, when delays occurs, it is uncertain whether the contractor has general obligations to make up for delays. The contractor’s obligations regarding the time given for the completion of works under a construction contract will depend upon the express provisions of the contract. Where time is of the essence, if a condition of the contract states a date for completion, a failure to complete work by the stated date can result in the contract being terminated. Where such terms are not expressed, requirements will also depend upon terms implied by law and, in certain circumstances, terms implied for the purposes of business efficacy.
In particular, I examined constructive acceleration theory. Constructive acceleration occurs when a contractor encounters an excusable delay during performance of the work and the contractor is entitled to a time extension. Nevertheless, when they are not granted a time extension, the contractor must decide whether to accelerate the work to meet the mandated completion date. If the key elements for applying constructive acceleration are proven, the contractor may be entitled to recover the costs. In the USA, even though it is permitted the theory, other common law countries, such as UK, Canada, Australia, do not permit it. Thus, the application of the governing law needs to be considered thoughtfully.
The “no damage for delay” clause is an exception to applying the provision that does not recognize the additional costs of contractors on the basis of exemption clauses. Therefore, the contractor must carefully examine the clauses in the drafting process. As noted, if the parties to an international construction contract do not agree in advance to the details of the delay analysis, expenses, loss, and damages, more severe disputes related to time may arise. Therefore, even though it is very cumbersome and inconvenient for the parties to determine the criteria, it is necessary to establish a rational basis.
Issues relating to acceleration remain some of the most frequent legal issues that arise in relation to construction projects. Thus, it is necessary to set forth the Engineer’s determination, the decision of an adjudicator, and the arbitration procedure to resolve rapid solutions of issues in the contract. Such dispute settlement provisions can prevent the contract from being suspended or terminated because of disputes regarding delays and acceleration.
