온라인 플랫폼 시장에서의 기업결합 규제 정책에 관한 논의 : 관련시장 획정의 문제를 중심으로 = Discussion on Business Combination Regulation Policy in the Online Platform Market

국문 초록 (Abstract)

오늘날 디지털 시장은 전통적 시장과는 비교할 수 없을 만큼 빠르게 성장하고 있다. 특히, 온라인 플랫폼 사업자들은 인수ㆍ합병 전략을 통해 수익을 극대화하거나 고수익이 예상되는 분야로 진출해 영향력을 넓혀가고 있다.
기존의 기업결합 심사기준을 디지털 분야에 그대로 적용하기 어려워 관련 기업결합 심사가 과소 집행된다는 우려가 존재해 왔고, 온라인 플랫폼 사업자 등 디지털 서비스를 제공하는 사업자들의 기업결합이 활발해지면서 2024년 기업결합 심사기준이 개정되었다.
위와 같은 배경하에, 본고는 Ⅱ.에서 기존 전통적인 시장과 구별되는 온라인 플랫폼 시장의 특성 및 디지털 플랫폼 사업자의 성장에 대하여 살펴보고자 한다. 특히 디지털 플랫폼의 동태성을 보여주는 구체적인 특징과 경쟁법적 의미를 파악하고자 한다.
이어 Ⅲ.에서는 디지털 시장에서의 기업결합 규제 정책에 있어 정책 집행상의 문제와 기존의 전통적 규제 정책 접근의 한계점을 살펴보고자 한다.
또한 Ⅳ.에서는 플랫폼 경제에서의 관련시장 획정에 관한 검토로, 전통적 산업에서의 관련시장 획정의 방법과 플랫폼 시장에서의 관련시장 획정 기준을 우선적으로 살펴본다. 이어 최근 개정된 기업결합 심사기준에 반영된 플랫폼 시장에서의 관련시장 획정 기준을 통해 주요 경쟁당국과 우리나라의 기업결합 규제 변화를 파악하고자 한다. 추가적으로 플랫폼에서의 관련시장 획정에 관한 대표적인 공정거래위원회 심결례를 통하여 플랫폼 경제에서의 관련시장 획정에 관하여 검토한 뒤, 이를 바탕으로 Ⅴ.에서 전통적 기업결합 규제 정책의 한계 극복 필요성 및 향후 디지털 플랫폼 시장에서의 효과적인 추가 규제방안을 제시한다.

The growth rate of the digital market today is incomparably faster than that of the traditional market. In particular, online platform operators are expanding their influence by maximizing profits or entering areas where high profits are expected through mergers and acquisitions strategies.
However, it is difficult to apply the existing business combination screening criteria to business combinations in the digital field. In addition, concerns have been raised that the related business combination review will be under-executed. The business combination review criteria for 2024 have been revised in line with those concerns and the trend of active business combinations among operators providing digital services such as online platform operators.
Under the above background, this article first attempted to examine the characteristics of the online platform market and the growth of digital platform operators that are distinct from the existing traditional market. In particular, this article focused on finding out the specific characteristics and the meaning of competition law that show the dynamic aspect of digital platforms.
Subsequently, the problems of policy enforcement and the limitations of the existing traditional regulatory policy approach about the business combination in the digital market were examined.
In addition, to review the related market definition in the platform economy, the method of related market definition in traditional industries and the criteria for related market definition in the platform market were first examined.
Then, major competition authorities and changes in Korea's business combination regulations were investigated through the relevant market definition criteria in the platform market reflected in the recently revised business combination review criteria.
Additionally, the relevant market definition in the platform economy was reviewed through a representative Korea FTC trial decision on the platform. Finally, this article presented the necessity to overcome the limitations of traditional business combination regulatory policies and suggested the effective additional regulatory measures in the digital platform market in the future.
