상행위에 근거한 손해배상청구권의 소멸시효기간에 관한 연구 = A study on the period of extinctive prescription of claim for damages that are based on commercial activity

대법원은 일방적 상행위와 보조적 상행위에 대하여 상사시효를 적용하는 것은 물론이며 상행위로 인하여 생긴 채무의 불이행에 기하여 성립한 손해배상채권에 대해서도 상사시효를 적용한다. 그러나 대법원은 근로자의 근로계약상 주의의무위반으로 인한 손해배상청구권과 이사의 회사에 대한 임무해태로 인한 손해배상책임에 대해서는 민사시효를 적용한다. 본 논문에서는 관련된 판례와 학설에 대해서 설명하고, 타당성에 대하여 검토한 후 입법론을 제시하고 있다. 대법원은 이사의 회사에 대한 책임에 대하여 민사시효를 적용하고 있지만, 이사의 회사에 대한 책임감경이 가능하다고 한다. 대법원에 따르면 이사는 손해배상액에 대해서 완화된 책임을 부담하게 되는 바, 법률의 구체적인 근거 없이 자의적으로 회사의 손해배상청구권을 침해할 우려가 있다. 상행위로 인하여 생긴 채무의 불이행에 기하여 성립한 손해배상채권과 이사의 회사에 대한 손해배상책임의 경우 발생원인이 된 법률행위가 상행위라는 공통점을 갖고 있으므로, 소멸시효기간에 대하여 동일한 법리를 적용하는 방안에 대하여 검토할 필요가 있다. 대법원에 따르면 근로자가 근로계약상 주의의무를 위반한 경우 손해배상청구권에 관해서는 민사시효가 적용되지만, 근로계약이나 단체협약에 기한 근로자 유족들의 회사에 대한 위로금채권에 대해서는 상사시효가 적용된다고 한다. 상법 등 다양한 법률에서는 우월한 지위에 있는 자와 거래하는 상대방을 보호하는 취지의 규정을 두고 있다. 회사 등 상인에 비하여 근로자가 상대적으로 열악한 지위에 있다는 점을 고려한다면 적어도 근로자들의 권리행사기간과 책임부담기간을 동일하게 하는 것이 합리적이다. 본 논문에서는 상행위로 인하여 생긴 채무의 불이행에 기하여 성립한 손해배상청구권, 근로자의 근로계약상 주의의무위반으로 인한 손해배상청구권 및 회사의 이사에 대한 손해배상청구권의 소멸시효기간을 동일하게 하는 방안에 대하여 검토하고 있다. 상행위에 근거한 손해배상청구권을 행사하려는 경우 손해의 발생 시와 손해 발생 시로부터 상당한 기간이 경과하여 손해의 발생을 알게 된 때 중 어떤 시점을 소멸시효의 기산점으로 하느냐는 문제가 있다. 손해의 발생 시를 기산점으로 하는 경우 권리의 발생 시점을 명확하게 하는 잇점이 있지만, 권리자가 권리의 발생 여부를 인식하지 못한 경우 권리를 행사하지 못하여 소멸할 위험이 있다. 손해의 발생을 알게 된 때를 기준으로 하는 경우 권리자를 두텁게 보호할 수 있지만 권리자의 권리행사기간을 연장하여 장기간 동안 의무자의 지위를 불안하게 할 위험이 있다. 따라서 손해배상청구권자와 의무자간의 이해관계를 합리적으로 조정하는 방안을 구상할 필요가 있다. 본 논문에서는 상행위에 근거한 손해배상청구권에 대해서 손해가 발생된 시점과 손해가 발생된 것을 알고 있던 시점으로 나누어 소멸시효기간에 관한 입법론을 개진하고 있다. 손해배상청구권자가 손해의 발생을 알고 있었던 날로부터 단기소멸시효기간을 제시하고 있다. 손해배상청구권자가 손해의 발생을 모르고 있었던 경우 권리를 행사할 수 없었기 때문에 소멸시효기간을 연장할 필요가 있다. 따라서 손해가 발생한 날로부터 장기소멸시효기간을 제시하고 있다.
더보기The Korean Supreme Court applies the extinctive prescription not only to one-sided and ancillary commercial activities, but also to compensation for damages that is incurred by defaulting on an obligation caused by commercial activities. However, the Supreme Court applies the Civil statute of limitations to a claim for damages incurred by a breach of duty of care as specified in a worker’s labor contract, and also applies it to a director’s liability for damages incurred by his negligence against the company. In this paper, we describe the relevant precedent and theory, review its validity, and propose a legislation. While the Supreme Court applies the Civil statute of limitations to the director’s liability to his company, it says it is possible to limit the director’s liability. According to the Supreme Court, since the director’s liability for the amount of compensation for damages is relaxed, there is concern that he could, without concrete legal basis, willfully violate the company’s right to claim for damages. In the case of compensation for damages that is incurred by defaulting on an obligation caused by commercial activities, and in the case director’s liability for damages against the company, they have in common that the legal act responsible for causing them is a commercial activity; thus, it is necessary to consider applying the same legal theory to the extinctive prescription. According to the Supreme Court, the Civil statute of limitations applies to claim for damages when a worker violates duty of care as specified in the labor contract, while extinctive prescription for commercial claims applies when it comes to the right of the worker’s bereaved family to compensations from the company under a labor contract or collective agreement. Various laws, including Commercial code, have provisions whose aim is to protect the opposite party who deals with a person in a superior position. Considering that workers are in a relatively poor position compared to a merchant such as the company, the time period for workers to exercise their rights should at least be equal to the time period of liability. In this paper, we consider equating the statute of limitations of claim for damages that is incurred by defaulting on an obligation caused by commercial activities, the statute of limitations of claim for damages incurred by a breach of duty of care as specified in a worker’s labor contract, and the statute of limitations of claim for damages incurred by a director’s negligence against the company. When one exercises claim for damages based on commercial activities, there is an issue as to whether the statute of limitations begins when the damage occurs or when a considerable time passes since the damage has occurred and it becomes to know that the damage has occurred. If the statute of limitations begins when the damage occurs, it has the advantage that the time of occurrence becomes clear, but there is a risk that the right may lapse if the rightsholder is not aware that the right has come into force and he fails to exercise it. If the statute of limitations begins when it becomes to know when the damage has occurred, the rightsholder can be heavily protected, but there is a risk that the position of obligor becomes unstable for a long period of time by extending the time period for which the rightsholder can exercise his rights. Thus, it is necessary to devise a plan to effectively mediate conflicts of interest between the rightsholder and the obligor. In this paper, we propose a legislation on extinctive prescription, distinguishing when the damage has occurred for claim for damages based on commercial activity from when the rightsholder becomes aware that the damage has occurred. We propose a short-term extinctive prescription from the day the rightsholder becomes aware that the damage has occurred. Since the rightsholder cannot exercise his right if he is not aware that the damage has occurred, it is necessary to extend the extinctive prescription. Thus, we propose a long-term extinctive prescription from the day the damage has occurred.
