Leveraged Buy-out, or LBO, refers to a form of corporate acquisition of a target company with the use of acquisition financing obtained from an outside source in a form of borrowed fund in exchange for furnishing the assets of the target company or the cash flow of the future as collateral. Looking into the court`s decisions on LBO`s by their types as done in Korea, for a collateral type LBO, the court recognized as illegal when not providing consideration in return, such as the payment of compensation, in exchange for the risks borne by the target company for furnishing collateral on behalf of the acquiring company. For a merger type LBO, as long as the merger is valid under the relevant law, it is deemed to fall within the scope of independent management decision made by the existing company, even if the assets of the merged company are withdrawn and used to pay off the debts held by the existing company. For an asset removal type LBO, as long as such LBO was done in accordance with the methods and procedures defined in the Commercial Act, it is basically understood as a lawful act in the absence of exceptional circumstances. However, concerning a collateral type LBO, it is difficult to see that a well-defined legal theory has been established on the issues of 1) whether a crime of breach of trust is always deemed to have been committed, if and when no consideration was provided in exchange for collateral, 2) what would then constitute consideration, which is provided in exchange for collateral, for the sake of not committing the crime of breach of trust, and, especially, 3) how to make a judgment on whether a crime of breach of trust was committed, if and when collateral was provided without giving consideration in exchange when buying 100% of the entire shares, after which the corporations having a parent company-subsidiary relationship were merged. As a task for interpretation and application of law and for legislative policy concerning LBO`s, the author opines that it is necessary to enact “the guideline on LBO”, to interpret and apply the relevant law in a way to limit the expansion of possibility of being penalized for a crime of breach of trust, and to reform the regulations on credit provision under the Commercial Act.
