일본의 국외자회사 배당 소득면제 제도와 정책적 시사점 = A Study on Japanese Foreign Dividend Exemption Method and Policy Implication

그간 우리나라의 기업들은 세계적 추세에 맞추어 경쟁력 제고를 위해 생산거점 등의 국외 이전을 활발히 진행하였고 이로 인해 국내경제는 투자와 고용이 감소하고 내수가 위축되는 문제에 직면하고 있다. 일본은 국외자회사가 자국 내 모회사에 배당 시 국제적 이중과세 문제를 해결하고 모회사로의 배당송금을 유도하여 이를 통한 내수 진작과 투자 촉진을 목적으로 2009년 기존의 간접외국납부세액공제방식을 폐지하고, 국외자회사가 일본내 모회사로 지급하는 배당을 과세소득에서 제외하는 국외자회사 배당 소득면제 제도를 도입하였다. 우리나라의 제도와 경제환경은 일본의 그것과 많이 닮아 있어서 일본의 정책이나 제도개선을 관찰하는 것이 우리가 당면한 문제의 해법을 찾는데 도움이 될 수 있다.
이에 본 논문에서는 시행 5년째를 맞이하는 일본의 국외자회사 배당 소득면제 제도를 개괄하고 이를 통해, 우리나라에 유사한 제도의 도입 시에 고려해야 할 점과 정책적 시사점은 무엇인지를 살펴보았다. 국외자회사 배당 소득면제 제도를 도입하는 경우 다음과 같은 효과가 있을 것으로 기대된다. 첫째, 일본 및 영국에서 국외자회사 배당 소득면제 제도시행 이후에, 국외자회사 유보이익의 일본(영국) 모회사로의 배당송금이 증가하고 있는 것으로 미루어 동제도의 국내도입 시 국외자회사 유보이익의 국내유입이 촉진될 것으로 기대되고 이를 통한 국내 설비투자, 연구개발 등의 재원확보가 용이해 질 것으로 생각된다. 둘째, 현행 우리나라의 간접외국납부세액공제방식의 문제점으로 지적되고 있는 자본수출중립성의 훼손, 국외자회사의 과도한 이익유보, 교차공제(cross-crediting)가 허용되는 경우 한도여유액으로 인하여 의도되지 않은 추가공제 발생 등의 비효율 문제를 상당부분 감소시킬 것으로 보인다. 셋째, 기타의 효과로서 우리나라의 국제과세제도가 간소화되고, 국내모회사의 국외자회사로부터 배당소득에 있어서 이중과세문제가 상당부분 해결될 것이다. 이를 통해 기업의 배당정책 결정에 관한 중립성이 확보될 것으로 예상된다. 다만 국외자회사 배당 소득면제 제도를 도입함에 있어 다음과 같은 점들은 추가로 고려되어야 할 것으로 생각된다. 첫째, 국외소득면제방식의 도입은 저세율국으로의 자본유출과 다국적기업에 의한 소득이전 시도가 증가할 우려가 있으므로 이를 방지하기 위한 제도 정비가 필요할 것으로 보인다. 둘째, 동제도가 도입되면 국내기업의 국외이전이 증가할 것이라는 우려가 가능하다. 국내투자와 국외투자 사이에 과세불균형이 발생하지 않도록 법령을 정비할 필요가 있을 것이다.
Korean companies have proactively relocated their production facilities, etc. to foreign countries in order to enhance their competitiveness following global trends, but this has led to a decrease in domestic investments and the employment rate as well as in the domestic demand. For the purpose of preventing international double taxation of dividends received from overseas subsidiaries and inducing dividend payments by overseas subsidiaries in order for such dividends to be used to boost domestic demand and promote domestic investments, Japan abolished the indirect foreign tax credit regime and instead adopted the foreign dividend exemption regime, under which dividends received from foreign subsidiaries are non-taxable, in 2009. Given that relevant Korean policies/systems and the economic environment of Korea are similar to those of Japan in many ways, it may be useful for Korea to observe Japanese policies or how Japan improves their systems, etc. in resolving problems Korea is facing.
In this regard, this study reviews the Japanese foreign dividend exemption regime and issues to be considered when Korea adopts a similar regime as well as its administrative implication. Once adopted, the foreign dividend exemption regime will have the following effects: First, considering that the Japanese and U.K. foreign dividend exemption regimes have resultantly increased dividend payments by overseas subsidiaries to their Japanese/U.K. parent companies, the foreign dividend exemption regime, once adopted by Korea, will likely induce an inflow of retained earnings of foreign subsidiaries to Korea to be used for domestic investments and R&D, etc. Second, problems arising under the current foreign tax credit regime of Korea such as capital export neutrality damaged, excessive profits retained/reserved within foreign subsidiaries, and unintended crediting of additional foreign taxes in case of cross-crediting, etc. will significantly be resolved. Third, as other accompanying effects, the international taxation system of Korea will be simplified and the issue of double taxation of dividends received from foreign subsidiaries will substantially be resolved, with the effect that corporations will take a neutral position in establishing their dividend policies.
However, in connection with adopting the foreign dividend exemption regime, the following concerns may be raised: First, multinational enterprises will transfer their capital or income from Korea to countries with lower tax rates. Therefore, systems should be modified or developed to prevent such transfer of capital or income. Second, domestic corporations will relocate to countries with lower tax rates. Therefore, relevant laws and regulations should be amended to prevent imbalance in taxation between domestic and overseas investments.
