동일인 명의로 반복된 명의신탁의 증여세 과세에 관한 연구 = Research on Gift Taxation of Repeated Name Trusts Established in the Name of Same Trustee

명의신탁 주식을 매각하고 그 대금으로 다시 주식을 취득하면서 동일인 명의로 명의개서를 하는 행위를 계속 반복한 경우, 합병이나 주식의 포괄적 교환으로 취득하는 신주를 종전의 명의수탁자 명의로 다시 취득하는 경우, 증자로 발행된 신주를 동일한 명의수탁자 명의로 취득하는 행위를 한 경우 각각의 재취득을 최초의 명의신탁과 별도로 증여의제 과세대상으로 삼을 수 있는지 여부에 대해 실무상 논란이 많았는데, 최근 대법원은 대상 판결을 포함하여 증여의제 과세대상이 되지 않는다는 판결을 선고하였다.
이러한 대법원 판결은 납세의무자를 보호한다는 입장에서는 환영할 만한 판결이지만, 동일한 명의수탁자 명의로 명의신탁을 반복하는 경우와 명의수탁자를 변경하여 명의신탁을 반복하는 경우를 다르게 취급할 것인지와 관련하여 조세법률주의를 기본으로 하는 조세법의 해석에 있어서는 대법원이 간과하고 있는 점이 있다. 이에 대상 판결을 중심으로 이와 같은 일련의 대법원 판결들이 상증세법 제45조의 2의 문언에 부합하는 해석인지에 대하여 검토해 보았다.
이 글에서는 먼저 상증세법 제45조의 2가 규정한 명의신탁 증여의제의 주요 요건을 검토하였는데, 명의신탁 증여의제의 적용에 있어서 주요 요건으로는 실제소유자와 명의자가 다르게 등기 등이 될 것(명의신탁의 합의)과 조세회피목적의 존부가 있다. 따라서 증여의제 과세대상이 되는지 여부는 위 두 가지 요건을 갖추었는지를 심리․판단하여결정하여야 한다.
이러한 주요 요건과 관련하여 동일인 명의로 반복되는 명의신탁의 사례로 동일한 명의수탁자 명의로 반복된 주식 매매사례, 유상증자와 무상증자 사례, 주식의 포괄적 교환 사례, 대상 판결이 판단한 합병사례에 관한 대법원 판결의 내용과 문제점을 검토하였다. 검토 결과 유상 증자의 경우를 제외하고는 대법원이 대부분의 사례에서 명의신탁 증여의제의 주요 요건인 명의신탁의 합의 여부와 조세회피목적의 존부에 대해 전혀 판단을 하지 아니한 채 다른 이유를 들어 증여의제 과세대상이 되지 아니한다는 결론을 내리고 있다는 점을 확인하였다.
대상 판결은 동일한 명의수탁자 명의로 취득한 합병신주가 새로운 명의신탁이라는 점은 인정하였으나, 조세회피목적과는 관계없는 이유를 들어 증여의제 과세대상이 되지 아니한다는 결론을 내렸다. 대상 판결의 쟁점은 동일한 명의수탁자의 명의로 취득한 합병신주가 명의신탁 증여의제의 과세대상인지 여부이므로 그러한 합병신주의 취득에 대해 명의신탁의 합의와 조세회피목적의 존부를 판단하여 과세대상인지 여부를 가렸어야 한다. 대상 판결은 합병신주의 명의신탁으로 인하여 종전 명의신탁에 의한 조세회피가 계속되고 있는지, 새로운 조세회피가 추가되었는지를 판단하여 합병신주의 명의신탁이 증여의제 과세대상이 되는지 여부를 판단하였어야 한다.
납세의무자의 보호든 과세관청의 정당한 과세권의 행사든 헌법이 정한 조세법률주의의 틀 안에서 이루어져야 한다. 과세관청이 조세법을 유추․확장해석하여 과세권을 남용하는 것이 제한되어야 하는 것과 마찬가지로, 법원이 조세법의 명백한 문언을 도외시한 채 법률에 근거가 없는 이유를 제시하여 과세를 부정하는 것은 법원의 해석범위를 넘어 입법의 영역에 속하는 것으로서 역시 제한되어야 한다. 법률에 근거하지 않은 법원의 판결은 ...
There has been a lot of practical controversy regarding the deemed gift taxation of reacquisitions as a separate matter from the initial name trust in situations where name trust shares are sold and new shares acquired under the same name on a repetitive basis, where new shares are acquired by a comprehensive exchange of mergers or shares are acquired again in the name of the former trustee, or where new shares issued by way of capital increase are under the name of the original trustee. The Supreme Court recently issued decisions holding that such reacquisitions are not subject to deemed gift taxation.
These Supreme Court decisions are welcome in the sense of protecting taxpayers, but the Supreme Court has overlooked the interpretation of tax laws based on the principle of no taxation without law. In this regard, I have examined whether the interpretations issued in a series of Supreme Court decisions including the decision at issue conform to Article 45-2 of the Inheritance and Gift Tax Act.
This paper examines the major requirements of the deemed gift issue involving name trusts as prescribed in Article 45-2 of the Inheritance and Gift Tax Act. The main requirements for the application of the deemed gift involving name trusts are the consent to establish a name trust and tax avoidance purpose. Therefore, whether or not name trusts are subject to deemed gift taxation should be determined by reviewing and judging whether it meets the above two requirements.
In connection with these major requirements, the Supreme Court decisions and issues are reviewed in respect to cases involving name trusts in the name of the same trustee, such as the repeated share transfers in the name of the same trustee, capital increases with issuance of new shares and capital increases without consideration, comprehensive exchange of stock, and merger as in the case of the decision at issue. Based on the review, it has been confirmed that the Supreme Court held, in most cases, that there is no deemed gift tax issue without making any determination as to whether or not there was consent to establish the trust as a name trust or whether there is tax avoidance purpose, which are the main requirements of deemed gifts.
With respect to the case at issue, the court ruled that the new shares acquired from merger under the same name in the name of the trustee was a new trust but concluded that the gift would not be subject to tax for reasons unrelated to tax avoidance purpose. The issue in the case is whether the merged new shares acquired in the name of the same trustee is subject to deemed gift taxation and as such, the court should have considered whether such acquisition of new shares from merger are subject to taxation based on consent to establish a name trust and tax avoidance purpose. The case at issue should have determined whether the name trust of new shares from merger is subject to deemed gift taxation based on a determination of whether there was continued tax avoidance to the previous name trust or addition of new tax avoidance as a result of the name trust of new shares from merger.
The protection of taxpayers or the exercise of legitimate taxation rights by the taxing authorities should occur within the framework of the principle of no taxation without law as prescribed by the Constitution. Although the tax office should limit the abuse of taxation rights by analogy or broad interpretation of the tax law, the courts should be prevented from denying taxation based on grounds without legal basis while ignoring clear language of the tax law. Such decisions by the court without any legal basis may be beneficial to the taxpayers in some cases, but leaves the taxpayer in a position that is unstable as the decision is not based on the law and there is room for different judgments to be issued depending on the court and is ultimately undesirable in terms of protecting the predictability and legal stability of taxpayers.
