상속세 및 증여세법상 개별예시규정의 해석 = Interpretation of individual example provisions under Inheritance and Gift Tax Act

2003. 12. 30. 법률 제7010호로 전면 개정된 구 상속세 및 증여세법 제2조 제3항은 모든 부의 무상이전을 증여세 과세대상으로 하는 내용의 증여세 완전포괄주의를 규정하였다. 그러나 위 개정법의 시행에도 불구하고 과세관청은 이에 따른 과세를 거의 하지 않았고, 10여년 이상 증여세 완전포괄주의를 어느 범위까지 적용할 것인지를 두고 학계와 실무계에서 끊임없이 많은 논란이 이어졌다.
대법원은 최근 대법원 2015. 10. 15. 선고 2013두13266 판결(이하 “대상판결”이라 함)을 통하여 구 상속세 및 증여세법(2007. 12. 31. 법률 제8828호로 개정되기 전의 것, 대상판결의 사안에 적용되는 법률로서 이하 “구 상증법”이라 함)상 완전포괄증여세제에 대한 대법원의 입장을 최초로 밝혔다. 즉, 대상판결은 개별예시규정이 특정한 유형의 거래․행위를 규율하면서 그중 일정한 거래·행위만을 증여세 과세대상으로 한정하고 그 과세범위도 제한적으로 규정함으로써 증여세 과세의 범위와 한계를 설정한 것으로 볼 수 있는 경우에는 개별 가액산정규정에서 규율하고 있는 거래․행위 중 증여세 과세대상이나 과세범위에서 제외된 거래·행위가 구 상증법 제2조 제3항의 증여의 개념에 들어맞더라도 그에 대한 증여세를 과세할 수 없다고 판시하였다.
구 상증법 제33조부터 제42조까지의 개별예시규정은 모두 일정한 요건하에 일정한 유형의 거래·행위에 따른 증여재산가액 산정방법을 규정하고 있으므로, 대상판결의 취지에 따르면, 개별예시규정은 모두 증여세 과세의 범위와 한계를 설정한 것으로 해석될 수 있다. 그 결과 완전포괄증여로 과세할 수 있는 범위는 구 상증법에서는 물론이고 동일한 내용을 규정하고 있는 현행 상증법에 있어서도 증여의제규정이 적용되던 때와 동일하게 되어 완전포괄증여세제가 거의 의미가 없게 되었다. 이에 대상판결에 대한 평석을 통하여 그러한 대법원의 해석이 타당한지를 검토하고, 완전포괄증여세제의 입법취지를 살리기 위해서는 해석론적 또는 입법론적으로 어떤 보완이 필요한지를 검토하는 작업이 필요하다고 생각되어 이 글을 쓰게 되었다.
대상판결은 모든 부의 무상이전에 대해 증여세를 과세한다는 증여세 완전포괄주의, 정부가 명시적으로 종전의 증여의제규정을 증여재산가액 산정에 관한 예시규정으로 전환하였다고 밝힌 입법취지에 부합하지 않는 해석으로서 문제가 있다.
증여세 완전포괄주의하에서 어떤 거래·행위가 구 상증법 제2조 제3항에 의하여 증여세 과세대상이 된다고 판단되었으면 그 다음에 할 일은 개별예시규정에 따라 증여재산가액을 산정하는 일이지, 여기에서 다시 그 거래·행위가 증여세 과세대상이 되는지 여부를 판단할 이유가 없는 것이다. 개별예시규정은 별도의 과세요건을 정한 규정이 아니라 증여재산가액산정에 관한 예시규정이므로, 어떤 거래․행위가 개별예시규정의 어느 하나에 해당되거나 그 실질이 동일 또는 유사하다면 그 개별예시규정에 따라 증여재산가액을 산정하는 것이고, 적용할 개별예시규정이 없다면 보충적 평가방법 등에 따라 객관적이고 합리적으로 증여재산가액을 산정하면 되는 것이다. 만약 과세관청이 객관적이고 합리적인 증여재산가액을 산정할 수 없다면 현행 상증법이 증여세 완전포괄주의 입법이라고 하더라도 증여세를 과세할 수 없는 것이다.
납세의무자의 사생활 침해를 예방함과 동시에 예측가능성과 법적 안정성을 보장하고 과세관청의 과세권 남용을 방지하면서 증여세 완전포괄주의의 위헌 소지를 줄이기 위하여는 납세자의 현실 담세력을 고려한 입법적 보완, 동일 소득에 대한 이중과세 문제를 완화하는 장치와 보유중인 재산가치가 하락한 경우에 대한 조정장치 마련, 증여세 과세에 있어서 동일하게 무상이익을 얻은 특수관계인과 특수관계인이 아닌 자에게 동일한 금액의 증여세를 부담하게 하고 증여재산 공제한도를 일원화하는 등의 입법적 개선이 필요하다.
Article 2(3) of the Inheritance and Gift Tax Act (amended on 30 December 2003 by act no. 7010) (“IGTA”) is a general catch-all provision which stipulates that any transfer of property without consideration shall be subject to gift tax (also known as “the comprehensive gift taxation principle”). Despite the introduction of this provision in 2003, the tax authority has seldom used this provision as a basis for taxation. For more than ten years, scholars and practitioners have discussed the applicability of the newly introduced comprehensive gift taxation principle, for more than ten years.
In its recent judgment 2013Du13266 rendered on 15 October 2015 (the “2015 Judgment”), the Supreme Court interpreted the general catch-all provision (article 2(3)) of the IGTA for the first time. The Supreme Court held that even if a transaction or action falls under the concept of a "gift" stipulated in the general catch-all provision (article 2(3)) of the IGTA, if such a transaction or action fails to satisfy the specific requirements set out in the individual example provisions, provided that such individual example provisions limits the types and scope of the taxable transaction or action, then a gift tax cannot be levied.
According to the 2015 Judgment, articles 33 to 42 of the IGTA provide the valuation method for transferred gifts depending on the types of the transaction or action. These individual example provisions are construed to limit the scope of a gift tax. As a result, the scope of taxation effectively remains the same as the taxation scope under the previous regime without the general catch-all provision. By this interpretation, introduction of the general catch-all provision and the comprehensive gift taxation principle to the IGTA would not have any legal implication. This paper aims to analyze the adequacy of the 2015 Judgment and to study how to better reflect the legislative intent of the comprehensive gift taxation principle through interpretation and/or legislation.
The interpretation provided in the 2015 Judgment is inconsistent with (i) the comprehensive gift taxation principle that any transfer of property without consideration shall be subject to a gift tax, and (ii) the legislative intent to convert the individual provisions into example provisions for valuation of the gifts in line with the comprehensive gift taxation principle.
If a certain transaction or action is determined to be subject to gift tax under article 2(3) of the IGTA, the next step should be calculating the value of the taxable gifts in accordance with the individual example provisions, rather than determining again whether such transaction or action is subject to a gift tax. Individual example provisions do not provide separate requirements for taxation, but only provide example for valuation of the gifts. Therefore, if the transaction at issue falls under one of the individual example provisions or is fundamentally same or similar to the transactions listed under the individual example provisions, value of the gift should be calculated accordingly. If there is no individual example provision on which to rely for the valuation, it can be calculated according to other objective and reasonable methods such as alternative valuation method. If calculating the value of the gifts objectively and reasonably is impracticable, then it would lead to cases where tax authority cannot levy tax even under the regime of comprehensive gift taxation.
In order to prevent potential invasions of taxpayer"s privacy and the tax authority"s abusive use of its right, to guarantee predictability and legal stability, and to minimize the potential unconstitutionality of the general catch-all approach to the gift tax, the following legislative improvements are needed: (i) supplement the relevant laws to consider further a taxpayer"s realistic taxable capacity, (ii) provide tools to alleviate the risk of double-taxation on the same income, (iii) provid
