주요 해외 경쟁당국의 기업결합 신고제도 및 심사제도 ― 현행 공정거래법상 기업결합 신고제도 및 심사제도의 효율화 방안을 중심으로 ― = Business combination reporting and review systems of major overseas competition authorities ― Focusing on ways to improve the efficiency of the businiess combination reporting and review system under the current Monopoly Regulantion and Fair Trade Act ―

국문 초록 (Abstract)

최근 국내외 유수 기업들의 전세계 시장을 무대로 한 글로벌 기업결합이 잇달아 발생하면서 각 경쟁당국 기업결합심사 간 조율·조화의 필요성이 대두되었고, 이에 따라 해외 경쟁당국 기업결합 신고 및 심사제도 등 국제적 기준에 대한 이해가 더욱 중요해지고 있다.
또한 디지털 경제화가 빠르게 진행되면서 플랫폼 사업자 간 기업결합이 증가하고 있고, 대기업의 제약, 첨단 기술 등 관련 신생기업 인수 거래도 급증하고 있다. 이러한 상황에서 기업결합 신고 당시의 당사회사의 매출액 등 규모 지표가해당 기업결합 이후 관련시장에 미칠 경쟁제한효과를 충실히 나타내지 못하는 유형의 기업결합들이 최근 빈번하게 이루어지고 있는바, 경쟁제한의 우려가 있음에도 현행 공정거래법상 심사대상에 해당하지 아니하여 규제의 사각지대에 있는 기업결합에 대한 과소집행 문제를 해결하기 위해서는, 위와 같은 경쟁 양상의 변화에 발맞추어 기업결합 신고제도 및 심사제도를 재정비할 필요성이 있다.
이와 같은 글로벌 시대의 역동적인 시장 변화를 고려하였을 때, 우리나라 기업결합 신고제도 및 심사제도의 효율적인 운용을 위해서는 우선적으로 주요 해외경쟁당국의 신고 및 심사제도에 대한 올바른 이해와 비교법적 연구를 통해 국제적 기준을 파악하고, 필요한 경우 우리나라 기업결합 신고 및 심사제도에도 적극 수용하는 것이 바람직할 것으로 보인다. 나아가 해외 경쟁당국의 신고 및 심사제도 내용을 수용하더라도, 해당 내용이 현행 공정거래법상 제도와 조화롭게 작동할 수 있는지, 현재 국내 시장 상황을 고려하였을 때 실효적인 운용이 가능한지에 대한 주기적 점검을 통하여 지속적 개선방안을 모색하는 것이 필요할 것이다.

Recently, as global business combinations of leading domestic and foreign companies have occurred one after another in the global market, the need for coordination and harmonization among the business combination reviews of each competition authority has emerged, and accordingly, understanding global standards, such as business combination reporting and review systems for overseas competition authorities, is becoming more important.
In addition, as the digital economy progresses rapidly, business combinations between platform operators are increasing, and transactions by large corporations to acquire new companies related to pharmaceuticals and cutting-edge technologies are also rapidly increasing. In this way, recently, types of business combinations have been occurring frequently in which size indicators, such as the company's sales at the time of reporting the business combination, do not faithfully represent the effect of restricting competition on the relevant market after the business combination. In line with the above changes in competition, there is a need to reorganize the business combination reporting and review systems in order to resolve the issue of under-execution for business combinations that are in the blind spot of regulation because they are not subject to review under the current Monopoly Regulation and Fair Trade Act despite concerns about competition restrictions.
Considering the dynamic market changes in this global era, in order to efficiently operate Korea's business combination reporting and review system, it is first necessary to establish global standards through a proper understanding of the reporting and review systems of major overseas competition authorities and comparative legal research, and if necessary, also need to actively accept Korea's business combination reporting and review system. Furthermore, even if we accept the contents of the reporting and review system of overseas competition authorities, it will be necessary to periodically check and review, constantly seek ways to improve whether the contents can operate harmoniously with the current Monopoly Regulation and Fair Trade Act and whether effective operation is possible considering the current domestic market situation.
