Pillar 1 및 Pillar 2에 따른 국제조세 환경의 변화 = Changes in the International Tax Regulatory System as Reflected in Pillar 1 and Pillar 2

OECD를 중심으로 한 BEPS 프로젝트에서 ‘디지털 경제’는 국제조세 체계의 새로운질서인 ‘필라’의 형성에 매우 중요한 화두였다. OECD는 BEPS 프로젝트의 과정에서 발간한 여러 보고서를 통하여 디지털 경제환경 속 다국적 기업의 조세회피 문제가 정보통신기술, 인터넷, 무형자산을 경제활동에 활용하는 다국적 기업들이 유해 조세 경쟁, 고정사업장 규칙, 이전가격 규칙의 측면에서 이루어지고 있다고 진단하였다. 국제조세 규칙의 수정이 필요하다는 공감 하에 OECD는 BEPS 2.0의 시작이라고 할 수 있는 2019 년, 2020년 보고서를 통하여 새로운 과세 규칙으로 ‘필라’를 제시하였다. 필라 1과 필라2는 포괄적 이행체계를 통하여 합의됨으로써 마침내 새로운 국제조세 규칙으로 자리잡았다.
글로벌 최저한세를 정한 필라 2는 각국의 상이한 과세 시스템에도 불구하고 동일하게 적용되는 최소한의 기준으로서 기능하여 유해한 조세 경쟁을 완화하는 결과가 될 수있다. 필라 2는 큰 틀에서 실효세율이 최저한세율에 미치는지 여부를 살펴, 미치지 못하는 경우 필라 2를 따르는 모든 국가에서 소득산입규칙과 비용공제부인규칙에 따라 정하여지는 국가에서 최저한세율에 모자란 만큼 과세할 수 있도록 하는 것이 핵심이다. 필라 2 시행에 따른 한국에서의 효과를 예상하여 보면, 한국 내에서 다국적 기업 그룹의구성 기업 현황을 볼 때 한국이 추가세액에 대한 과세권을 행사하여 과세수입이 대폭 증가하지는 않을 것으로 전망된다. 반면, 한국이 최종모기업의 관할국인 다국적 기업 중필라 2의 적용을 받으면서 실효세율이 최저한세율에 미달하는 국가에 투자한 경우, 해당국가에서 제공하기로 한 조세정책상 혜택을 누리지 못하게 되는 결과가 될 수 있다. 따라서 그러한 기업의 경우 해당 국가에서 QDMTT 과세 제도를 입법하는지 여부와 조세정책상 혜택에 해당하는 법안이 QRTC에 해당하는지 여부에 관한 추이를 살펴보는 것이 중요하다. 그 외에도 필라 2 규정은 추가세액 계산 과정에서 급여 및 유형자산을 공제하므로 다국적 기업의 입장에서 인력 및 유형자산을 특정 국가에 집적하는 것이 유리할 수 있으나 그 영향은 실질적으로 크지 않을 것이다. 필라 2 규칙에 관한 법적 평가를첨하자면, GloBE 이익 및 손실 계산 과정에서 사용되는 국제회계기준이 실질적으로 법률상 요건으로 기능할 수 있다는 점에서 우리나라 법체계와 맞지 않는 문제가 있다. 필라 2의 시행은 그 동안 다국적 기업이 저세율 국가와 고세율 국가 사이의 차이를 남용하는 상황을 대처하는 데 매우 효과적이지만, 최저한세율 이상의 국가들 사이에서의 조세경쟁은 계속될 것이다. 이전가격 규칙의 측면에서 필라 2가 기존의 이전가격 규칙에 비하여 탁월한 발전을 하였다고 평가하기는 어려울 것으로 보인다. 오히려 필라 2 규칙은이전가격의 문제에 관하여 독립기업의 원칙을 그대로 따르면서 독립기업의 원칙에 따른정상가격의 적정성에 관하여 다툼을 할 관할국이 확대될 가능성이 있다.
필라 1은 시장국가에 관할권을 분배하는 내용의 Amount A와 기본적 마케팅 및 유통활동에 대한 이전가격 규칙을 정한 Amount B가 핵심이다. Amount A는 Amount B를초과하는 초과이익 중 일부를 과세대상 이익으로 하여 시장국가에 직접 관할권을 분배한다. 그러나 Amount A가 기존 국제조세 규칙 자체를 배제하는 것은 아니므로 이중과세의 제거를 위하여 세이프하버 ...
In the context of the OECD-led Base Erosion and Profit Shifting (BEPS) project, ‘Digital Economy’ emerged as a crucial topic for the formation of a new order in the international tax system, referred to as the ‘Pillars’ (Pillar 1 and Pillar 2). Throughout the BEPS project, the OECD, through various reports, diagnosed issues of tax avoidance by multinational enterprises operating in the digital economic environment. These issues were identified as occurring in the aspects of harmful tax competition, permanent establishment rules, and transfer pricing rules, where multinational enterprises leverage information technology, the internet, and intangible assets in their economic activities.
With a shared understanding of the need for modifications to international tax rules, the OECD introduced the concept of Pillar through reports in 2019 and 2020, marking the beginning of BEPS 2.0. Pillar 1 and Pillar 2 were eventually established as new international tax rules through a comprehensive implementation framework and consensus.
Pillar 2, which establishes a global minimum tax, could serve as a minimum standard applied uniformly across countries, despite variations in their respective tax systems, potentially mitigating harmful tax competition. In broad terms, Pillar 2 examines whether the effective tax rate falls below the minimum tax rate. If so, countries adhering to Pillar 2 can tax the shortfall in accordance with ‘IIR’ and ‘UTPR’ rules applicable to all relevant countries following Pillar 2. Anticipating the impact of Pillar 2 implementation in South Korea, it is projected that the exercise of taxing rights for additional tax revenue may not see a significant increase, considering the composition of multinational enterprise groups operating within Korea. However, for cases where Korea, as the jurisdiction of the ultimate parent company among multinational enterprises, is subject to Pillar 2 and the effective tax rate falls short in a country where investments have been made, there could be a consequence of not benefiting from the tax policy incentives agreed upon in that country in advance. Therefore, it is crucial for such corporations of Korea where there is a jurisdiction of the ultimate parent company, to monitor whether the relevant country legislates ‘QDMTT’ system and whether the enacted legislation aligns with ‘QRTC’ among GloBE rules. Furthermore, the provisions of Pillar 2 allow for the deduction of salaries and intangible assets in the calculation of additional tax, suggesting that concentrating human resources and intangible assets in a specific country may be advantageous from the perspective of multinational enterprises. However, the actual impact is likely to be relatively modest. In terms of legal assessment, an issue arises concerning the incompatibility of international accounting standards used in the GloBE profit and loss calculation process with our legal system. While Pillar 2 implementation is effective in addressing situations where MNEs exploit differences between low-tax and high-tax countries, tax competition among countries with rates above the minimum tax rate is expected to persist.
Evaluating Pillar 2 as a significant improvement over existing transfer pricing rules, especially in terms of addressing transfer pricing issues, appears challenging. Instead, Pillar 2 may expand disputes over the appropriateness of arm’s length pricing based on the principles of independent enterprises, as it adheres to these principles while broadening the jurisdiction of the competent authority to adjudicate on normal pricing.
