당사자가 사실과 다르게 적힌 세금계산서의 판단 기준 = Criteria for Judgment on Tax Invoices on Which Parties are Written Incorrectly

Even though a person stated as a supplier or a recipient on a tax invoice is identified as the real party involved in a transaction, the relevant input tax cannot be deducted if all or part of the entries intended to specify transaction parties are omitted or mistakenly entered on the tax invoice. In this paper, the validity of this result will be examined in conjunction with the scope of matters that should be written on the tax invoice to deduct the input tax with respect to the parties concerned in the transaction within the framework of the existing system. Furthermore, it proposes the criteria for the judgment on tax invoices on which the parties are written incorrectly.
In view of the structure and general principles of value-added tax (VAT), if a transaction actually occurred, the recipient should be permitted to obtain input tax deduction related to the transaction. This is true even if the tax invoice has not been issued or defects are found in the entries. It is sufficient to be able to identify a person who actually made the transaction by means of the tax invoice and other certificates. However, it is difficult to come to such a conclusion through the interpretation of existing statutes under all the circumstances where an issue is whether the input tax can be deducted or not. The rational interpretation should be derived by comprehensive considering the functions of a tax invoice, the reason and intent for not deducting input tax if a tax invoice is not issued or if errors are found in the entries, and the balance between mistakes and restrictions. Nevertheless, the limitation of literal description is unavoidable.
A supplier should state his or her name or denomination on a tax invoice. The scope of matters that should be prescribed on the tax invoice may vary depending on how the term “denomination” is read. Some see it as the trade name of an individual entrepreneur or the corporate name of a corporate entrepreneur, but it is difficult to choose this opinion in that a tax payer can choose the entries. This is because an individual entrepreneur thinks he/she only needs to write either of his/her name or trade name, and a corporate entrepreneur deems he/she should just write either of his/her corporate name or representative name. The denomination should be regarded as the corporate name of a corporate entrepreneur. This interpretation may indicate the fact that an individual entrepreneur should just state his/her names, and a corporate entrepreneur should just write his/her corporate name. Needless to say, the denomination refers to the corporate name of a corporate entrepreneur, but it may also be thought that an individual entrepreneur should write down both his/her name and trade name, and a corporate entrepreneur should put down both his/her corporate name and representative name. However, this interpretation is also contrary to the literal description.
A registration number is a matter that both the supplier and the recipient should state on the tax invoice. If a supplier issues a tax invoice in the name of another person, or a recipient has a tax invoice issued in the name of another person, it is no wonder that the tax invoice is flawed. However, the flawed tax invoice is one thing, and the possibility of the input tax deduction is another. If the business registration has been completed in the name of another person and the registration number in the business registration is the same as that written on the tax invoice, such entry of the registration number can be interpreted as not being mistakenly entered. This is because it is presumed that a legal relationship between a person and the tax office can be established through business registration via its application and the issued business registration certificate. 세금계산서에 공급하는 자 또는 공급받는 자로 기재된 자가 실제로 거래하였다는 사실이 증명되더라도, 당사자를 특정하기 위한 일정한 기재사항 중 일부 또는 전부가 세금계산서에 적히지 않았거나 사실과 다르게 적히면 관련된 매입세액을 공제할 수 없다. 이러한 결과가 타당한가에 대한 의문이 이 글의 출발이다. 현행 제도의 틀 내에서, 거래 당사자와 관련하여 매입세액을 공제하기 위해 세금계산서에 적어야 하는 사항의 범위를 살핀다. 나아가 그러한 기재가 사실과 같은지 다른지를 판단하는 기준을 제시한다.
부가가치세의 구조와 기본 원리에 비추어 보면, 실제로 거래가 있었다면 공급받는 자는 그 거래와 관련된 매입세액을 공제할 수 있어야 한다. 세금계산서가 발급되지 않았거나 기재된 내용에 흠이 있더라도 마찬가지다. 세금계산서와 그 밖의 다른 증명 수단까지를 종합해서 실제로 거래를 한 자를 특정할 수 있으면 충분하다. 그러나 현행 법령의 해석으로는 매입세액을 공제할 수 있느냐가 쟁점이 되는 모든 상황에서 이러한 결론을 도출하기는 어렵다. 세금계산서의 기능, 세금계산서를 발급하지 않거나 일정한 사항을 잘못 기재하면 매입세액을 공제하지 않게 하는 이유와 취지, 잘못과 제재 사이의 균형 등을 종합적으로 고려해서 합리적으로 해석해야 한다. 하지만 문언의 한계를 벗어날 수는 없다.
공급하는 자는 세금계산서에 성명 또는 명칭을 기재해야 한다. 이때 ‘명칭’이라는 문언을 어떻게 읽을 것이냐에 따라 세금계산서에 적어야 하는 사항의 범위가 달라질 수 있다. 개인사업자의 상호 또는 법인사업자의 법인명을 뜻한다는 생각도 있을 수 있지만, 납세자가 기재사항을 선택할 수 있게 된다는 점에서 택하기 어렵다. 개인사업자는 성명 또는 상호 중 어느 하나만 적으면 되고 법인사업자는 법인명과 대표자 성명 중 어느 하나만 적으면 된다고 보게 되기 때문이다. 명칭은 법인사업자의 법인명을 말하는 것으로 보아야 하고, 이러한 해석은 개인사업자는 성명을 기재하면 되고 법인사업자는 법인명을 적으면 된다는 것으로 이어진다. 물론, 명칭은 법인사업자의 법인명을 말하는 것이지만 개인사업자는 상호와 성명 모두를 적어야 하고 법인사업자라면 법인명과 대표자 성명 모두를 적어야 한다고 생각할 수도 있다. 그러나 이러한 해석은 문언에 반한다.
등록번호는 공급하는 자와 공급하는 자 모두가 세금계산서에 기재해야 하는 사항이다. 공급하는 자가 다른 사람 명의로 세금계산서를 발급하거나 공급받는 자가 다른 사람 명의로 세금계산서를 발급받으면, 그러한 세금계산서에 흠이 있다는 점에는 의문이 없다. 그러나 그러한 흠 때문에 매입세액 공제를 할 수 없느냐는 별개다. 다른 사람에게 명의를 빌려 사업자등록을 하고 세금계산서에 그 사업자등록에 있는 등록번호를 적었다면 그러한 등록번호의 기재는 사실과 다르지 않다고 해석할 수 있다. 사업자등록 신청과 사업자등록증의 발급을 통해 사업자등록을 사람과 과세관청 사이에 이를 전제로 한 법률관계가 형성되는 것으로 볼 수 있기 때문이다. 이렇게 해석하면 공급받는 자가 다른 사람 명의로 사업자등록을 했을 때는 세금계산서에 적힌 등록번호가 사실과 다르지 않아서 매입세액을 공제할 수 있게 된다. 공급하는 자는 이때에도 매입세액 공제를 할 수 없는 것과는 다르다. 물론, 공급하는 자와 공 ...
