WHAT IS THE DODD-FRANK ACT FOR PRIVATE INVESTMENT ADVISORS, THE GOVERNMENT, INVESTORS, AND THE PUBLIC IN GENERAL?

The United States federal securities laws pursue the unwavering and utmost goal of providing investor protection. This goal is promoted through two basic principles: mandatory disclosure and a broad definition of fraud. The mandatory disclosure requirement is firmly incorporated into specific statutory requirements of securities laws, and the broad definition of fraud is applicable to all participants in the capital markets. In general, these principles are enforced by requiring market participants who are involved in securities or securities related transactions, to register or report under the relevant securities statutes.
However, not all securities transactions are regulated under the strict review of the securities laws. In many cases, exemptions or exceptions are available. Exemptions under securities laws are most widely used by private investment funds and their advisers. With available exemptions, investment advisers can flexibly change their funds’ portfolios and adopt and/or amend investment strategies without reporting their actions to the Securities and Exchange Commission (the “SEC” or the “Commission”).
The enactment of the Dodd-Frank Wall Street Reform and Consumer Protection Act (the “Dodd-Frank Act”) in July 2010 has greatly reduced in scope some of the exemptions that private investment advisers had previously enjoyed under the Advisers Act making them unable to operate with as much flexibility as they did under the old laws. This Act has been greatly criticized since it has also brought immense costs to society that can hinder the efficiency of securities transactions and business operations. However, the JOBS Act relaxed this regulation which could create unstable securities transactions. There seems to be some inconsistency involved in enacting the JOBS Act while Congress heightened the regulatory regime under the Dodd-Frank Act. One might argue that while the JOBS Act could help entrepreneurs create start-ups and small businesses and hire employees, it could also significantly damage some of the most basic protections in securities regulations.
The goal of this research paper is to analyze the regulatory obligations of private investment advisers under federal securities laws after the enactment of the Dodd-Frank Act and to assess the effects of the Dodd-Frank Act on the U.S. financial market. Also, it will assess the implication of the JOBS Act by comparing it to the Dodd-Frank Act. It aims to argue while investor protection is utmost important, the unnecessary regulatory and compliance costs should be eliminated and appropriate funding should be relocated to where there are true social benefits and gains.
