협동조합기본법 개정안에 따른 조직변경에 관한 연구 = A Study on Transformation in Accordance with the Cooperatives Act Revision

자본주의 경제의 취약점을 보완하는 협동조합의 잠재력과 발전가능성, 새로운 경제성장의 추동력으로서 중요성을 인식하게 된 UN총회는 2012년을 ‘세계협동조합의 해’로 지정하는 결의문을 채택하였다. 이에 의거하여 협동조합의 발전을 위한 법과 제도의 정비를 각국에 권장하게 되었으며 우리나라도 그에 부응하여 2012년 1월 26일에 협동조합기본법을 제정하여 동년 12월 1일부터 시행하게 되었다. 한편 기획재정부는 ‘12.12월 협동조합기본법 시행 후 협동조합과 사회적협동조합 등의 수리 및 인가가 급증하면서 설립·운영 과정 중 법령 개정 소요가 증대하였고, 이에 협동조합의 지속적 성장을 위해 필요한 규정을 신설하고, 모호한 규정을 명확하게 하는 등의 개정을 하여 협동조합과 사회적협동조합 등 설립·운영의 원활함을 도모하고자 일부개정안을 제안하였다. 본고에서는 협동조합기본법 개정안 중 조직변경과 관련된 내용을 중심으로 관련 개정안의 타당성을 분석하고 개선방안을 모색해 보았다. 협동조합도 창업의 일종인 만큼 위험부담이 따른다. 조합원이 다수일 경우 그 인적 구성이 복잡하므로 운영에도 애로가 많다. 그런 만큼 협동조합 설립을 준비하는 이들은 사업성과 추진계획에 대한 면밀한 청사진을 가지고 있어야 하는 것이다. 이러한 차원에서 개정안에 있는 타 법인의 협동조합 및 사회적협동조합으로의 전환 허용은 시의적절한 대안이라고 본다. 좋은 취지에서 출발한 협동조합이 사회적·경제적 애물단지가 되지 않도록 하기 위해 체계적인 육성 계획의 수립이 필요로 하는 이 시기에, 과도기적 대안으로 예전부터 함께 뜻을 맞춰 일을 해오고 신뢰가 쌓인 기존의 조직체를 활용하는 방안이기 때문이다. 다만, 구체적인 내용과 관련하여서는 기존의 개정안을 다음과 같이 수정하거나 추가보완하는 것이 바람직하다고 본다. 첫째, 우리나라 상법에 새로이 신설된 유한책임회사는 회사를 인적회사와 물적회사로 구별하지 않는 미국법상 제도룰 상법에 도입한 것이다. 기존의 회사와는 도입시기가 다른 유한책임회사에 대하여 그러한 분류방식에 따라 구분하는 것은 적합하지 않고 유익하지도 않다고 분석하면서 유한책임회사를 인적회사나 물적회사 가운데 어느 하나의 범주에 포섭하려는 시도가 오히려 혼란을 가중시킬 수 있다고 보는 견해가 있다. 또한 유한책임회사는 기존의 유한회사와 서로 다른 기업유형으로 양자간에 구분할 정도의 본질적인 차이가 있는 것은 아니라고 분석하면서 유사제도의 중복 입법이라는 논란을 피하기 어려울 것으로 보고 있으며 필요하다면 기존 유한회사 법제를 추가로 보완하여 그 활용도를 제고하는 것이 보다 타당하다고 보는 견해가 있다. 이렇게 새로이 도입된 유한책임회사의 복합적인 특성을 감안할 때 협동조합기본법 개정안에 굳이 유한책임회사를 등장시킬 필요는 없다고 보므로 협동조합기본법 개정안 제60조의2(법인등의 조직변경)와 관련 협동조합으로 전환이 가능한 상법상 물적회사 중 유한책임회사 부분을 삭제하고 기존의 물적회사인 주식회사와 유한회사만을 조직변경이 가능하도록 하는 것이 바람직하다고 본다. 둘째, 개정안이 논의되던 시기에 제안되었던 “협동조합으로의 조직변경에 관하여 이 법에 규정된 사항 및 대통령령에서 정한 사항을 제외하고는 상법상 주식회사의 유한책임회사로의 조직변경에 관한 규정을 준용한다”는 준용규정을 다시 살려내어 제60조의4로 신설하는 것이 바람직하다고 본다. 다만, 이 경우에도 전술한 바와 같은 논리로 굳이 본 개정안의 내용 중 유한책임회사를 유한회사로 대체하는 것이 바람직하다고 본다. 셋째, 전술한 내용과 보조를 맞추기 위하여 상법 준용 규정인 협동조합기본법 현행 제14조의 내용 중 유한책임회사를 유한회사로 개정하는 것이 바람직하다고 본다.
더보기Recognizing co-ops` development potentials, significance as a source of new economic growth, and the ability to reinforce the weaknesses inherent to capitalist economy, the UN General Council adopted a resolution designating the year 2012 as “the Year of World Cooperatives.” Accordingly the council recommended UN member nations to assess and enhance their laws and systems for co-ops` growth. In response, Korea passed a new Cooperatives Act on January 26, 2012, and the law took effect on December 1 of that year. Although the new popularity of cooperatives and their perception as an alternative business model have led to a proliferation of new cooperatives on a nearly daily basis, many of them fail to take roots and remain in a state of dormancy. Government follow-up policies to the new law have been slow in coming, and entrepreneurs` lack of understanding into cooperative management has also aggravated the problem. In some quarters there are concerns that the cooperatives boom will lead to a repeat of the previous “venture business crisis,” in which a period of overeager business creations proved to be a great socioeconomic burden when the bubble finally burst. To avoid such a scenario, Ministry of Strategy and Finance, the top supervisory body of cooperatives, is working on a revision that will complement the weaknesses of the 2012 Cooperatives Act. Since the rapid creation of cooperatives-both entrepreneurial and socially oriented-has exploded following the 2012 law, revealing a need to revise the law in the process, the ministry proposes that the act be partially amended to add necessary regulations and clarify parts that have been deemed ambiguous. The ministry says the 2012 act will be revised in such a way as to allow maximum liberty in the creation of new cooperatives by members and simultaneously enable efficient supervision by central and municipal governments. To be more specific, it is the ministry`s purported goal to guarantee cooperatives` independence but still strengthen responsible supervision via such measures as: permitting corporations to convert to cooperatives, bestowing on municipal governments the authority to supervise cooperatives, requiring cooperatives to make their management public, and requiring political neutrality from cooperatives. In particular, on the matter of transformation, since the current basic cooperatives law contains no provisions regarding structural conversion requirements, the revised law will include specific regulations that will allow corporate bodies to convert to a cooperative format and specify the registration of the new structure (Article 60, Clauses 2 and 3). It will also contain specific regulations that will allow a corporation to convert to a social cooperative and likewise specify the transformation and the application of commercial law (Article 105, Clauses 2 to 4)This article analyzes the suitability of the proposed revision of the Cooperatives Act and explores possible improvements on it. Since a cooperative is also a form of enterprise, it inevitably involves risks. When the members are numerous, the human factor will complicate management as well. This requires that those who are preparing to launch a cooperative first have a clear blueprint of its viability and proposed projects. On that note, this author considers it timely and wise that the proposed revision will allow established corporations to transform to cooperatives. Such a revision will enable the utilization of preexisting organizations, whose members have already worked together and built a foundation of trust; at a time when specific efforts are needed to make sure that the noble purpose of cooperatives does not degrade to a socioeconomic burden, such a transitional alternative is a sound idea. However, in terms of specifics, it may be desirable to alter or supplement the revision proposal as follows. First, It will be better to remove limited liability companies from companies that may convert to cooperatives, and offer that option only to corporations and private companies, which are both realgesellschaft. Second, this author recommends the revival of a clause which was suggested during the discussion phase of the current revision. The discarded clause states: “Concerning transformation to a cooperative, apart from the provisions of this law and those of presidential executive orders, the same regulations that apply to the transformation of a corporation to a limited liability company shall apply.” It will be better to revive this part as Clause 4 of Article 60. But again in this case, for the same logic as in the previous paragraph, limited liability companies should be replaced with private companies. Third, to maintain consistency with the above, mentions of limited liability companies in the current Article 14 of the Cooperatives Act should be revised as private companies.
