입찰담합 관련 손해배상 사건의 실무상 쟁점과 제도적 개선 방안 - 공정거래법의 사적 집행 관점에서 = Practical Issues and Measures for Institutional Improvement in Claims for Damages Related to Bidding Collusion - From the Perspective of Private Enforcement of the Fair Trade Act

1. 공공기관이 입찰담합 사업자를 상대로 적극적으로 손해배상청구의 소를 제기함에 따라 입찰담합 관련 손해배상청구 사건은 계속 증가하고 있다. 입찰담합 관련 손해배상청구 사건은 손해의 공평·타당한 분배라는 관점에서만 접근해서는 안 되고, 독점규제 및 공정거래에 관한 법률(이하 ‘공정거래법’이라고 한다) 위반행위의 억제라는 공정거래법의 사적 집행이라는 관점 역시 중시할 필요가 있다. 공공기관이 입찰담합 사업자에 비해 우월적 지위에 있는 경우에는 단순히 담합의 근절 내지 억제 외에 공공기관의 우월적 지위 남용 방지의 측면 역시 고려하여야 한다.
2. 가. 공공기관이 공정거래법 제109조를 근거로 입찰담합 사업자를 상대로 제기한 손해배상청구에 관한 최근 사실심판결을 분석하여 보면, 법원은 다양한 사유를 들며 입찰담합 사업자의 손해배상책임을 제한하고 있음을 알 수 있다. 손해배상책임을 손쉽게 제한하는 것은 입찰담합 피해자인 공공기관이 충분한 권리구제를 받지 못하게 하고, 입찰담합 사업자의 기대비용을 낮춘다는 점에서 바람직하지 않다. 특히 입찰담합으로 인한 손해액 산정의 내재적 한계를 쉽게 손해배상책임의 제한 사유로 보는 실무는 손해액 산정의 불확실성 위험을 피해자에게 전가하는 것으로 부당하다.
나. 다음으로, 입찰담합 사업자들의 내부적 부담 부분에 관한 판결을 분석하여 보면, 법원은 입찰담합을 통해 얻은 이익을 기준으로 내부적 부담 부분을 정하는 경향이 있음을 알 수 있다. 특히 입찰담합을 통해 이익을 얻지 않은 들러리 사업자의 내부적 부담 부분을 0으로 본 판결이 다수 있으나, 이는 담합의 예방 및 억지의 관점에서 타당하지 않다. 공정거래법 위반행위의 억제라는 측면에서 내부적 부담 부분은 입찰담합으로 얻은 이익뿐만 아니라 입찰담합에 이르게 된 경위 등까지 중시하여 정할 필요가 있다.
3. 2016년 이후 공공기관 입찰에 대부분 적용되고 있는 손해배상예정액 제도는 입찰담합 사업자들이 동일한 손해배상책임을 부담한다는 내용의 A 유형과 계약상대자와 들러리 사업자의 손해배상책임을 달리 정하는 B 유형으로 구분할 수 있다.
가. 현재 실무는 A 유형의 경우 입찰담합 사업자들이 공공기관에 대해 동일한 손해배상금을 공동하여 지급하여야 한다는 내용으로 해석하고 있고, 이와 같은 해석은 타당하다. 나아가 손해배상예정액의 감액을 인정하지 않고 있는데, 역시 타당하다.
나. 반면 현재 실무는 B 유형을 계약상대자와 들러리 사업자가 개별적으로 공공기관에 대해 손해배상채무를 부담하는 내용으로 해석하고 있으나, B 유형 역시 A 유형과 같이 계약상대자와 들러리 사업자가 공동하여 서로 다른 금액의 손해배상채무를 부담하는 것으로 해석해야 한다. 현재 실무와 같이 해석한다면 B 유형의 손해배상예정액 제도는 공공기관이 우월적 지위를 이용한 부당특약으로 무효라고 볼 여지가 크다.
4. 입찰담합 관련 손해배상청구 사건에 관한 실무의 경향을 분석하여 보면, 입찰담합과 관련하여 다음과 같은 제도 개선이 필요함을 알 수 있다.
가. 먼저 손해배상예정액 제도와 관련하여, 현재 다수의 공공입찰에서 사용되고 있는 B 유형의 손해배상예정액 조항은 문언상 현재 실무와 같이 계약상대자와 들러리 사업자가 개별적으로 손해배상채무를 부담한다고 해석될 여지가 있다. B 유형의 손해배상...
1. As public institutions actively file claims for damages against bid-rigging business entities, the number of cases of claims for damages related to bid-rigging continues to increase. The case of claims for damages related to bid-rigging should not be approached only from the perspective of fair and reasonable distribution of damages, and the perspective of private enforcement of the Fair Trade Act, suppressing violations of the Fair Trade Act, also needs to be emphasized in relation thereto. If a public institution is in a superior position to a bid-rigging business entity, in addition to simply eradicating or suppressing collusion, the aspect of preventing public institutions from abusing such superior position should be also considered.
2. A. An analysis of the recent lower court judgment on a claim for damages filed by a public institution against bid-rigging business entities based on Article 109 of the Fair Trade Act reveals that the court limits the liability of the bid-rigging business entities for damages for various reasons. Easily limiting the liability for damages is undesirable in that it prevents public institutions that are victims of bid rigging from receiving sufficient rights relief and lowers the expected cost of bid-rigging business entities. In particular, easily seeing the inherent limitation in calculating the amount of damage caused by bid rigging as a reason for limiting the liability for damages is unfair.
B. An analysis of the judgment on the internal burden of bid-rigging business entities reveals that the court tends to determine the internal burden based on the profits obtained through bid-rigging. In particular, there are a number of rulings that view the internal burden of such persons, only playing the second fiddle to bid-rigging business entities without benefiting from bid-rigging, as 0, but this is unreasonable in terms of prevention and deterrence of collusion. In terms of the suppression of violations of the Fair Trade Act, the internal burden needs to be determined by putting stress on the background leading up to bid-rigging as well as the profits obtained from bid-rigging.
3. The liquidated damages system, which has been mostly applied to public institution bids since 2016, can be divided into Type A, which states that bid-rigging business entities should bear the same liability for damages, and Type B, which sets different liability for damages between the other parties to contracts and the persons, only playing the second fiddle to bid-rigging business entities.
A. Current practice interprets that in the case of Type A, bid-rigging business entities should jointly pay the same damages to public institutions, and such interpretation is valid. Furthermore, it does not recognize the reduction of the liquidated damages, which is also valid.
B. On the other hand, current practice interprets that in the case of Type B, the other parties to contracts and the persons, only playing the second fiddle to bid-rigging business entities, should individually bear damages to public institutions; however, Type B should also be interpreted as Type A that the other parties to contracts and the persons, only playing the second fiddle to bid-rigging business entities, should jointly bear different amounts of damages. If interpreted in the same way as in current practice, the liquidated damages system corresponding to Type B is an unfair special agreement using superior position of public institutions and thus has room to be viewed as invalid.
4. An analysis of the trend of practice concerning the cases seeking compensation for damages arising from bid-rigging shows that the system is in need of improvement as follows in relation to bid-rigging.
