상법상 ‘특수관계인’ 개념의 문제점 = A Study On the Concepts of ‘Specially Related Persons’ Under the Korean Commercial Code

The term ‘specially related persons’ is used in various Acts in Korea, in more than a total of 50 Acts, in particular in the Monopoly Regulation and Fair Trade Act and the Korean Commercial Code. This terminology is adopted in thee Acts in order to limit economic activities between corporations and ‘Specially Related Persons’. Terms with a similar meaning are ‘Largest Shareholder’ and ‘Major Shareholder’ which also appear in many provisions that limit insider trading between a director and his corporation, and the dealing among interested parties - especially between a corporation and its shareholders. The prohibition of insider trading aims at removing the conflict of economic interests that may arise between a director and his corporation. However, the Korean Commercial Code further prohibits ‘Specially Related Persons’ from becoming outside directors of the corporation whose very shares are owned by the person in question. Such persons are banned from engaging in commercial transaction with the corporation.
It is evident that the purpose of such regulation is to prevent the concentration of wealth of a corporation in the hands of a handful of ‘Specially Related Persons’. The scope and extent of such terms are provided in the enforcement ordinances of the Government. The problem is that enforcement ordinances include a number of ambiguous concepts that fail to clearly define the terminology, ‘Specially Related Persons’, and as such, the definition varies greatly across different Acts. Moreover, the scope of ‘Specially Related Persons’ is too broad to define or identify, because it is provided not by the economic relationship of the economic topics covered, but by the traditional blood relationships of each person. The degree of kinship that fall under this definition can go as far as six degrees from each paternal line and maternal line. As a result, it is extremely difficult to grasp correctly in contemporary society with modern family structures all possible ‘Specially Related Persons’, hence making it impossible to enforce these provisions.
This paper suggests a drastic reduction in the scope of the definition of ‘Specially Related Persons’, so as to define the term not based on blood relationships, but on whether the parties involved form a common household in financial terms. Furthermore, shareholders should be excluded from the list of those culpable of insider trading should they hold shares of their corporation, because shareholders are not in a position to determine a transaction with the corporation. Unlike directors of a corporation, shareholders are not involved in managing the day to day business operations of corporations.
한국에서는 ‘특수관계인’이라는 용어가 공정거래법과 상법전 등 다양한 법률에서 사용되고 있다. 상법전상 이 용어는 회사와 주로 ‘특수관계인’ 간의 경제활동을 제한할 목적으로 도입되었다. 유사한 용어로서 ‘최대주주’ 및 ‘주요주주’라는 개념이 이사와 회사 간의 자기거래 및 이해관계자 사이 - 특히 회사와 주주 간의 거래를 제한하는 조문에 나타나고 있다. 자기거래의 금지는 이사와 회사 간의 이해의 충돌을 제거하기 위한 것이다. 그러나 한국 상법전은 한걸음 더 나아가 ‘특수관계인’, ‘주요주주’ 및 ‘최대주주’가 자기가 주식을 소유하는 회사의 사외이사가 되거나 그 회사와 거래를 하는 것을 금지한다.
‘특수관계인’을 규율하는 이유는 부의 이전을 위한 tunneling을 차단하는 것임이 명백하다. 이 용어의 적용범위는 정부의 시행령에 규정되어 있다. 문제는 시행령이 이 용어를 정의하면서 많은 불분명한 개념을 포함하고 있고, ‘특수관계인’의 범위가 법률마다 다르게 규정되어 있다는 것이다. 더구나 ‘특수관계인’의 범위가 각 경제주체의 경제적 관계가 아닌, 각자의 전통적 혈연관계에 의하여 규정되고 있기 때문에 그 범위가 너무 넓어서 확인이 어렵다. 혈연관계는 부계혈족과 모계혈족 각각 6촌까지로 규정하고 있으므로 현대 가족사회에서 누구도 정확하게 모든 ‘특수관계인’을 파악할 수 없으며, 따라서 이들 규정을 거의 집행할 수도 없다.
이 글에서 저자는 ‘특수관계인’의 범위를 혈연관계가 아닌 경제적 공동생활관계에 따라 대폭 줄일 것을 제안한다. 나아가 주주는 회사와의 자기거래의 주체에서 제외되어야 한다. 왜냐하면 주주는 이사와는 달리 회사의 업무를 집행하지 않으므로 회사와 거래를 결정할 수 있는 지위에 있지 않기 때문이다.
