상법 제398조는 이사 또는 주요주주 등과 회사 간의 불공정한 거래를 규제하고 있으며, 판례는 겸임대표이사를 두고 있는 회사 간의 거래는 일방회사에게 불이익을 줄 우려가 있는 자기거래에 해당한다고 판시하고 있다. 그리고 개정상법은 거래와 이해관계에 있는 이사는 해당거래에 관한 중요사실을 밝혀야 하고, 거래의 내용과 절차는 공정하여야 할 것을 요구한다. 상법 제398조는 미국의 판례법 및 제정법과 같이 이사 등과 회사 간의 거래에 있어서 절차적 또는 실질적 공정성 모두를 요구하는 공정거래원칙(fair-dealing rule)에 입각하고 있다. 이사 등과 회사 간의 거래 또는 겸임이사가 있는 회사 간의 거래가 직접거래 또는 간접거래에 해당하든 간에 그 거래가 회사에 대하여 불공정한 경우 그 거래의 효력 또는 이사의 책임이 문제될 수 있다. 상법 제398조의 규정으로는 거래의 공정성이 거래의 유효요건인지 아니면 이사의 책임요건인지가 불분명하고, 거래의 공정성에 대한 입증책임을 누가 부담하는지 또한 명화하지 않다는 문제가 있다. 미국의 판례법은 거래가 불공정한 경우에는 이사의 승인이 있더라도 취소할 수 있으며 공정성에 대한 입증은 거래를 유지하고자 하는 이사 또는 겸임이사가 부담한다고 판시하고 있다. ALI, PCG는 겸임이사를 두고 있는 거래에 관한 규제를 별도로 두는 입법을 하고 있으며, 거래와 이해관계를 가지고 있는 이사는 거래와 관련하여 자기의 이해관계 및 거래에 관한 중요사실을 이사 또는 주주에게 충분하게 개시하고 거래의 공정성에 대한 입증을 요구하면서 이사가 개시의무를 해태한 경우에는 거래를 취소할 수 있다고 규정하고 있다. 그리하여 미국의 판례법 및 제정법은 거래의 공정성은 거래의 유효요건임을 분명히 하고, 거래의 공정성에 대한 입증은 이해관계에 있는 이사 또는 겸임이사의 책임으로 규정하고 있다. 우리 기업현실은 다수의 계열회사로 구성된 기업집단을 형성하고, 경영자총회 내지 지배주주의 경영방침에 따른 계열회사 간의 거래가 사회적 문제(일감몰아주기)로 제기되고 있는 점을 고려하면, 미국의 ALI, PCG §5.07.과 같이 상법 제398조에 겸임이사를 두고 있는 회사 간의 거래에 대한 규정을 신설하는 입법이 필요하다고 본다. 이러한 규정을 신설하면 계열회사의 이사들이 경영자총회 내지 지배주주의 부당한 경영방침을 거절할 수 있는 법적 근거를 제공하고, 또한 이를 거절하지 못한 계열회사의 이사들의 책임추궁의 근거를 명확히 하는 효과가 있을 것으로 전망한다.
더보기At the Late 1880s, a number of courts took a very simple minded approach : any contract in which one or more directors had a conflict-of-interested was voidable if any shareholder objected in the U. S. By 20th Century, this sort of absolute prohibition faded away. This occurred in two stages. In the first, numerous courts began to uphold conflict-of-interest transactions so long as the transaction met both of two requirements: (1) directors, who had no personal financial stake in the deal disinterested directors approved the contract, and (2) the contract was fair to the corporation. The conjunctive requirement of approval by disinterested directors and a finding of fairness turned out be only a way station before another approach. Most state legislature have enacted, as part of their corporations statutes, special provisions dealing with conflict-of-interest transactions. California, in 1931, was the first state adopt such a special provision. The idea spread to other corporations statutes, including Delaware`s and Model Act. These conflict-of-interest statutes vary in a number of particulars. Nevertheless, their overall approach follows the pattern set by original California provision. Essentially, these statutes state that conflict-of-interest transactions-which, the statutes define in greater and lesser detail-will not be void or voidable because of conflict, so long as the transaction meets one of three condition. These three options to save the transaction are : ① Approval by disinterested directors, ② Approval by the shareholders, ③ Proof that the transaction is fair. The third option fairness, is the approach which judicial doctrine had evolved into using to deal with conflict-of-interest transactions. Court had also looked to approval by disinterested directors at one point in the evolution of judicial doctrine. There is a critical difference, however, between the language of these statutes and this earlier judicial approach. The statutes refer to disinterested director approval as an alternative to fairness; whereas the earlier judicial approach had required both director approval and fairness to save the transaction. The statues also incorporate the alternative of shareholder approval. Prior judicial doctrine had been hazy on the impact of shareholder approval of a conflict-of-interest transaction. While the three options in these statutes have judicial antecedents, there is a broader logic to the statutory approach. Keep in mind that the fundamental problem with conflict-of-interest transactions is that we do not trust individuals with a personal financial stake at odd with the corporation`s interest ahead of their own. If a problem is a lack of trust, one solution is to find someone we can trust to review the transaction. We can view each of the three options listed by the conflict-of-interest statutes as pointing to a different party who can fill this role. This party can be the disinterested directors, the shareholders or, under the fairness test, the court. American Law Institute in according to statutes and common law, proposed that regulation of transactions between corporations with common directors in §5.07. Under §5.07, if a common director participates personally and substantially in negotiating a transaction on behalf of one corporation, the transaction will be treated as a transaction subject to §5.02, and the corporation on whose behalf he negotiates will be treated in the same manner as if it were the director. Under such circumstances, as provided in §5.02. by disinterested directors or authorized in advance by a superior, or authorized in advance or ratified by disinterested shareholders, of the other corporation, following disclosure of the conflict of interest, the burden will be on the corporation for whom he negotiated to prove that the transaction was fair to the other corporation. In this article, propose that statutes provision on corporation act in Korea same as ALI, PCG § 5.07. transactions between corporations common directors.
