이사의 신의성실 의무를 위한 항변(抗辯) - 영연방국 사법선례의 비교법적 고찰을 중심으로 - = Justification for the Director’s Duty of Good Faith - Focusing on the Comparative Legal Analysis of Judicial Precedents in the Commonwealth Jurisdictions -

대한민국은 IMF 금융위기를 전후하여 서구 선진국에 버금가는 기업 지배구조 달성과 금융시장 선진화를 목표로 수많은 상사법 개정을 단행했다. 그리고 이것이 대륙법계 토양(土壤)을 가진 대한민국 상사법에 영미법의 씨앗이 파종(播種)되는 계기가 되었다. 그럼에도 불구, 대한민국의 입법자들은 유독 이사의 신의성실 의무에 대해서는 일본 상법 제254조의 3을 입법적 모범으로 삼아, 이를 상법 제382조의 3에 판에 박은 듯 계수하게 되었는데, 그 이유는 대한민국과 동일한 대륙법계 전통을 가진 일본이 우리보다 먼저 해당 의무를 영연방국의 판례법으로부터 계수했기 때문이었다. 그러나, 일본의 법제는 영연방국의 판례법을 통해 두 세기가 넘는 오랜 시간 동안 축적‧진화해 온 이사의 신의성실 의무와는 체계(體系)‧자구(字句)의 측면에서 본질적인 차이가 있었다. 그럼에도 불구, 우리 입법자들은 일본의 그것을 무비판적으로 받아들인바, 대한민국은 충실의무와 선관의무 간 동질설‧이질설의 대립과 같이, 불필요한 혼란조차 일본의 그것을 답습(踏襲)해야만 했다.
사정이 이와 같았다면, 우리는 일본 상법 제254조의 3, 이것의 입법적 뿌리였던 영연방국의 판례법을 차근히 숙고(熟考)할 기회를 가졌어야 했다. 그러나 Henry G. Manne을 비롯한 1960년대 미국의 법경제학자들에 의해 확립된 주주이익 극대화론(shareholder profit maximization)이 전 세계 학문시장을 강타하면서, 미국 내에서도 신의성실 의무에 대한 논의가 30년 넘게 미뤄지게 되었고, 이것에 영향을 받은 우리나라의 선행연구 또한 이것을 연구하고 이론적으로 비판하는 데 너무나 많은 시간을 소비하게 되었다. 이렇게 숙고의 시간이 미뤄지다 보니, 대한민국의 선행연구는 이사의 신의성실 의무와 주주이익 극대화론을 혼동(混同)하게 되었고, 이로 인해 주주이익 극대화론이 마땅히 받아야 할 이론적 비판의 화살이 이사의 신의성실 의무에 돌아가는가 하면, 해당 의무를 폐기하는 입법적 변화가 필요하다는 인식마저 보편화되기에 이르렀다. 다시 말해, 대한민국 상법 제382조의 3에 새겨진 이사의 신의성실 의무는, 그 규범적 진면목(眞面目)이 드러나기도 전에, 사라져야 할 공공의 적이 되어버린 것이다.
그러나 이사의 신의성실 의무는 선행연구가 상상하는 것처럼 극단적(極端的)이고 비합리적(非合理的)인 규범 원리가 아니다. 외려, 해당 의무는 ‘주식회사의 업무를 집행하는 경영자가(‘회사‧이사 간의 신탁적 관계’), 주주의 유익이라는 기준을 사용하여 회사에 최선이라(‘회사의 유익’) 믿는 의사결정을 신의성실하게 도출하는(‘이사의 신의성실’) 한편, 이러한 의사결정이 회사법과 정관에 합치하도록 요구하는(‘적정한 목적’)’ 이성적(理性的)이고 합리적(合理的)인 규범 원리이며, 이는 영연방국의 사법부가 오랜 고뇌 끝에 구체화‧체계화한 판례법의 과실(果實)이다. 그러한 측면에서, 본 고는 이사의 신의성실 의무를 판례법으로 발전시켜온 영연방국, 그중에서도 영국‧호주‧캐나다의 대표적 사법선례를 ‘빠짐없이’ 평석함으로써, 해당 의무를 ‘오로지 주주이익의 극대화에 봉사하기 위해 수단과 방법을 가리지 않는 편향된 기업지배구조 원리’로 여겨왔던 선행연구의 오해가 사라져야 한다고 지적한다. 아울러 본 고는 이제부터라도 주주이익 극대화론이 안겨줬던 이론적 트라우마(trauma)에서 벗어나, 우리의 ...
Both before and after the IMF financial crisis, the Republic of Korea modified its commercial law extensively to catch up with established Western countries in corporate governance and financial markets. These revisions presented opportunities to adopt the Anglo-American common law paradigm into the civil law-based Korean commercial law system. Regarding the director's duty of good faith, however, Korean legislators selected Article 254-3 of Japanese commercial law as their model. They believed that Japan, which shares a civil law tradition with Korea, had assiduously accepted this duty from Commonwealth countries. In contrast to the directors' duty of good faith, which has been created and evolved over more than two centuries by the common law of commonwealth jurisdictions, Japanese law was fundamentally different in form and substance. Regrettably, Korean legislators embraced Japanese legislative policy without evaluating it critically. This deficiency in the legislative process led to unnecessary confusion in Korea over the relationship between the director's duty of loyalty and care, a confusion that originated in Japan.
In these circumstances, Korea should have been given the opportunity to examine in depth the judicial precedents made by the court of Commonwealth countries. However, the concept of shareholder profit maximization, which was created by American law and economics scholars in the 1960s and widely spread in the academic community, delayed discussion on the duty of good faith in the United States for more than three decades. And previous studies in Korea, which the United States heavily influenced, spent an excessive amount of time studying and intellectually critiquing the concept of shareholder profit maximization. For this reason, previous studies in Korea have equated the duty of good faith with shareholder profit maximization and have attacked the director's duty of good faith using the rationale for critiquing shareholder profit maximization. These studies also suggest that the duty of good faith should be removed from Korean commercial law. In other words, the director's duty of good faith, which is enshrined in Article 382-3 of Korean commercial law, has become a common enemy that should be removed before its true normative nature can be proved.
However, the director's duty of good faith is not a radical and irrational normative concept as previous studies have indicated. Rather, this duty is a fair and reasonable normative principle that obliges directors to make business decisions that they believe are in the corporation's best interests, taking into consideration the interests of the shareholders. This duty is particularly the result of a lengthy, painful endeavour by the judiciaries of Commonwealth countries to systematize case law. In this context, this paper comprehensively investigates significant judicial precedents from Commonwealth countries, particularly those from the United Kingdom, Australia, and Canada, which have created and developed the duty of good faith. Through this scholarly work, this paper highlights the necessity to correct the misunderstanding of previous research, which just regarded the duty of good faith as the maximization of shareholder value by whatever means. This paper will also move beyond the theoretical trauma caused by the maximization of shareholder profits and suggest that future-focused academic initiatives and cooperation will stimulate the normative development of Article 382-3 of Korean commercial law.
Lastly, considering that Korean academia has viewed Article 382-3 of commercial law as a de facto normative blank, it is hoped that the comparative legal research presented in this paper will serve as an invaluable resource for the interpretation and revision of this article by the Korean judiciary and legislature.
