한국채택국제회계기준(K-IFRS)에서는 사업결합으로 인해 발생한 영업권 상각을 중지하는 대신 영업권을 매회계기간에 손상검사를 수행하거나 자산 손상의 징후가 있을 때마다 영업권과 관련된 회수가능액을 추정하여영업권의 감액을 인식하도록 하고 있다. 영업권의 경우 거래시장이 없다는 점에서 기업이 영업권의 평가와 관련하여미래 현금흐름을 추정하여야 한다. 또한 경영자가 영업권 평가를 적정하게 하였는지 사후적으로 검증이 어렵기때문에 다른 자산의 평가에 비해 상대적으로 경영자의 재량적 유인이 반영될 확률이 높다. 영업권의 회수가능가액을결정하기 위해서는 경영자는 경영환경, 조직구조, 문화, 다른 기업과의 경쟁방식 등 기업 운영 전반에 영향을 미치는특성을 고려하여 미래 현금흐름을 추정하여야 하므로 경영전략에 따른 특성 또한 재무보고에서 경영자의 재량적인회계선택에도 영향을 미친다. 혁신을 추구하는 기업일수록 연구 및 개발활동 및 소비자의 선택이 계속적으로변화하기 때문에 미래 불확실성과 위험에 노출되어 있으며 상당한 정도의 안정된 사업영역을 운영하는 경영방식에비하여 상대적으로 경영자의 주관성이 더 크게 내재되어 있다. 이에 본 연구는 기업이 구사하는 경영전략에 따라영업권 손상차손 인식 및 손상차손과 관련된 이익조정 유인이 영향을 받을 것으로 예상하였다.
분석을 위해 2012년부터 2021년 사이에 영업권을 보고한 상장된 기업-연도 표본을 대상으로 회귀분석을수행하였으며 실증분석 결과를 요약하면 다음과 같다. 첫째, 혁신에 중점을 두는 선도형 경영전략을 구사하는기업에서 더 많은 손상차손 금액을 인식하는 것으로 나타났다. 둘째, 선도형 경영전략에 가까울수록 영업권 손상차손인식시기를 지연하는 증거를 확인하였다. 셋째, 빅 배스(big bath)의 유인과 이익유연화의 유인이 있다고 추정되는표본에서도 선도형 경영전략에 가까운 기업이 더 많은 손상차손 금액을 인식하여 손상인식에 대한 재량이 행사될소지가 많은 것으로 보고하였다. 본 연구는 실증분석을 통해 영업권 손상차손 인식과 관련한 경영자의 재량적회계선택이 경영전략에 따라 달라진다는 증거를 제시하였다.
This study examines the use of managers’ discretion in determining goodwill impairment losses depending on business strategy. International Financial Reporting Standard (IFRS) eliminates the practice of systematic amortization of goodwill in business combinations; instead, the standard requires firms to assess goodwill for impairment to recognize a loss annually. To determine goodwill impairment, management must estimate future cash flows by considering characteristics that affect the firms’ overall operation, such as the business environment, organizational structure, culture, and competition from other firms. In addition, it is unverifiable to value the current goodwill because it depends in part on management’s future actions, so it is more likely to reflect management’s discretionary accounting choice than the valuation of other assets.
The characteristics of the business strategy also affect management’s discretionary accounting choices in financial reporting. Firms pursuing an innovation-oriented prospector strategy(Prospector) that pursues innovation are exposed to future uncertainties and risks as research and development activities and consumer choices continue to change. Prospectors are subject to greater managerial discretion in management’s projections of future cash flows compared to firms pursuing an efficiency-oriented defender strategy(Depender) that operate a fairly stable business area. Therefore, we expected that the incentive to adjust earnings to recognize goodwill impairment losses would be affected by a company’s business strategy.
This study extends the prior literature to analyze whether managers’ use of discretionary goodwill valuation varies depending on the business. For this analysis, I classify a firm’s strategy based on Miles and Snow(1978, 2003) which relies on a collective of firm characteristics: research intensity, marketing and advertising efforts, historical growth, operational efficiency, capital intensity, and organizational stability.
Using 3,912 firm-year observations from 2012 to 2021, I conduct regression analysis and summarize the empirical results as follows.
I report that managers use their discretion to determine goodwill impairment losses on average, which is similar to the results of previous literature. The main findings are summarized as follows. I document that firms close to the innovation-oriented prospector(Prospectors) type indicate a higher level of goodwill impairment loss recognition than those close to the analyzer type or defender type. Second, I find that impairment decision is driven by business strategy. I report that Prospectors tend to delay the timing of recognizing goodwill impairment losses. Third, the results suggest that Prospectors are more likely to exercise discretion in recognizing impairment loss of goodwill for big baths and income smoothing. Through our empirical analysis, we provide evidence that managers’ discretionary accounting choices regarding the recognition of goodwill impairment losses depend on management strategy.
