최고경영진의 심리적 단어 사용의 성과예측성에 관한 연구: 미국제조기업 10-K 보고서 텍스트 분석을 기반으로 = Top Management Team’s Language and Firm Performance: Text Analysis on U.S. 10-K Annual Report

Upper echelons theory asserts that the top management team(TMT)’s values and cognitive base have significant influence over the decision-making process, which in turn change the outcomes such as firm policies or performance. As a fundamental challenge for testing such relationship is that it is hard to observe TMT’s traits, prior studies were carried out under the assumption that demographic characteristics serve as surrogates for the beliefs, values and cognitions of managers.
For example, age, tenure, or experiential knowledge were used to analyze the relationship between TMT's traits and performance (Hambrick, 2007). Despite the advantages of objectivity and data availability of such information, it has been criticized for assumption provide in linking the proxy variables and the TMT's values.
With the intention of enhancing our understanding of TMT's values and the performance, our study highlights the idea provided by linguistic and psychology research that a person’s cognitions, values, and attitudes are naturally reflected on the person’s language, e.g, use of words. As language is a cue for TMT's cognitions and values, analyzing the language may help understand the firm's direction and performance (Pfeffer, 1981). By utilizing the U.S. manufacturing firms’ 10-K annual reports during 1994~ 2015 and well-known text-based personality analyzing tool, Linguistic Inquiry and Word Count (LIWC), we are able to count the number of words used to understand the TMT’s attitude and psychological traits. Specifically, we extract the Management's Discussion and Analysis of Financial Position and Results of Operations (MD&A) section from the 10-K report, a mandatory section imposed by U.S. SEC to provide a narrative explanation of a company's financial statements that enables investors to see the company through the eyes of management.
We suggest three TMT’s attitudes derived from the words used in 10-K reports and provide empirical results. First, a higher rate of future orientation related word usage is likely to predict lower short-term performance. TMT that has a higher focus on future is expected to think primarily about what the future holds and with envisioning of future events, hence focus on the longer-term strategy and change currently stable system and invest aggressively to seize future opportunities. Since they utilize current opportunity less, short-term performance will be affected. Secondly, we expect that higher usage of word related to risk will predict lower short-term performance. TMT is likely to less considerate for current resources or environment in pursuing new opportunities, and risks taking in strategic activities will often occur. Furthermore, we argue that in describing a certain situation and strategy, TMT's perception may be reflected. If outcomes are uncertain in the view of TMT, it is likely that they use tentativeness related words. As TMT knows the firm’s current status than anyone else, the higher tentativeness of their text may imply underperformance in the near future.
Hence, we hypothesize that higher usage of word related to tentativeness will predict lower short-term performance. All of our expectations are supported by the empirical analysis.
The major contributions of the study are threefold. First, we attempt to identify TMT's orientations that have influences on the firm outcome by analyzing the TMT's use of words. Our findings suggest the value of TMT's language used in annual reports in understanding TMT's mind and attitude. Second, we show that TMT's future focus and risk preference level are relevant for predicting financial performance. 최고경영층 이론(Upper Echelons Theory)에 따르면 기업의 주요 의사결정자인 최고경영진의 심리적 특성, 태도 및 가치관 등을 이해하는 것은 그들이 환경 불확실성 하에서 어떤 전략적 의사 결정을 하는지 예측할수 있다. 하지만 최고경영진의 가치관 및 심리적 특성 등을 직접적으로 파악하는 것은 어렵기 때문에 대부분객관적 지표인 최고경영진의 나이, 임기나 교육 수준과 같은 인구통계학적 대리 변수 등을 활용한다. 본 연구는언어가 인간의 인지구조 및 가치관을 나타내는 하나의 지표라는 기존의 언어학 및 심리적 연구를 바탕으로최고경영진의 무의식이 반영된 사업보고서 내 텍스트 분석을 통해 텍스트를 기반으로 한 최고경영진 언어가그들의 가치관 및 심리적 특성을 반영하는 새로운 지표로써의 역할을 할 수 있다고 제시한다. 특히, 자원배분과관련한 최고경영진 성향을 측정하기 위하여 미래지향성 관련 언어, 위험감수성 관련 단어와, 부정적인 소식을감추고자 성향이 있음을 제시한 기존 연구에 따라 모호성 관련 단어 사용의 빈도수를 측정하고 기업의 단기성과간의 관계를 실증분석 하였다.
연구 방법으로는 총 9,704 개의 미국 제조기업을 대상으로 10-K 보고서 내 MD&A를 활용하여 LIWC라는텍스트 분석도구를 토대로 특정 단어 사용량과 단기 성과와의 영향관계를 살펴보았다. 분석 결과, 미래지향성관련 언어, 위험감수성 관련 언어, 그리고 모호성 관련 언어 모두 기업의 단기적 성과에는 부의 관계를 가지는것으로 나타났다. 즉, 미래지향성과 위험감수성 관련 단어 사용이 많은 최고경영진의 경우 기업의 미래 상황에좀 더 관심을 둬서 장기성과에 도움이 되는 전략 등을 적극적으로 실행할 가능성이 높고, 현상유지보다는위험을 무릅쓰고 새로운 기회를 포착하려는 성향이 강하기 때문에 단기 성과에는 부정적이다. 마지막 모호성관련 단어의 높은 빈도수는 기업의 현재 상태에 대해 가장 잘 알고 있는 최고경영진이 기업보고서에 모호한단어를 많이 사용한다는 것은 기업의 가까운 미래 실적이 좋지 않음을 암시하기 때문에, 단기성과에 부정적이다. 이를 토대로 최고경영진 의견서가 경영자의 가치관 및 태도를 나타낼 수 있는 새로운 대리변수의 역할을한다는 것을 시사하고, 더 나아가 기업의 단기성과 예측요인으로써의 활용가능성을 제시하였다.
