상장회사특례규정상의 주요주주등 이해관계자와의 거래에 관한 규제 재검토 = A Regulatory Review on Regulation of Related Party Transactions in Korea

현행 상법 제542조의9에 마련된 주요주주등 이해관계자와의 거래금지등의 규정은 舊증권거래법 제191조의19를 수정하면서 승계한 것으로 종래 이사의 자기거래규제가 매우 제한적이고 주요주주등과의 거래에 대해 상법에 규정이 없음을 고려하여 구증권거래법에서 자기거래에 대한 특칙으로서 마련된 것이었다. 그런데 2011년 상법개정으로 자기거래규제가 대폭 강화되면서 상장회사특례규정상의 주요주주등 이해관계자와의 거래관련 규제와의 관계 및 재검토가 요구되고 있다. 이들 이슈들을 정리하면 다음과 같다.
첫째, 상법 제398조의 자기거래규제가 강화되면서 상장회사들은 주요주주등 이해관계자거래 금지등의 규정과 중첩적용되는지에 대해 의문을 제기하고 있다. 이에 대해서는 다음과 같은 이유에서 중첩적 적용대상으로 보아야 할 것이다. 즉 상법 제542조의9를 제398조와의 관계에서 배타적 적용설을 취할 경우 비상장회사보다 상장회사의 자기거래에 대해 규제를 대폭 완화하는 결과를 낳기 때문이다.
둘째, 상법 제542조의9 제1항의 신용공여등의 원칙적 금지는 제398조의 예외로 볼 수 있다. 이 규정은 주요주주와 임원등의 과다 회사자금 차입에 따른 이해상충과 이를 은닉하기 위한 분식회계의 위험성을 저감시키기 위해 2003년 도입된 것으로 개인주주에 대한 금전대여는 상법상 금지된 자본환급의 우회적 수단 내지 은닉된 배당으로 사용될 가능성이 있고, 최근 지배주주가 회사재산을 도관으로 사용할 가능성에 대해 우려가 커지는 현실에서 여전히 의미가 있다. 다만, 특수관계인의 범위가 넓은 점에서 개선의 여지가 있는데, 적어도 경제적으로 동일체를 형성하고 있다는 전제에서 규율되는 것이므로 혈족은 4촌 혹은 3촌의 범위로 축소할 필요가 있다.
셋째, 예외적인 신용공여 허용사유중 (i)복리후생을 위한 이사 또는 감사에 대한 금전대여 등에 관해 최근 상법시행령 전부개정령안에서는 1억에서 3억으로 증액하였는데, 상장회사 일률적으로 높이는 것이 타당한지는 의문이다. 또한 (ii)예외적으로 신용공여가 허용되는 사유로 상장회사의 경영건전성을 해칠 우려가 없는 금전대여등으로서 회사의 경영상 목적을 달성하기 위하여 필요한 경우로서 “법인인 주요주주(그의 특수관계인을 포함한다)를 상대로 하거나 그를 위하여 적법한 절차에 따라 행하는 신용공여“와 관련하여, 무엇보다 “경영상 목적을 달성하기 위한 경우”가 어떠한 경우인지 명확하지 않다. 이와 관련하여 공정한 거래를 담보하도록 “독립당사자간거래(arm‘s length transaction)”와 같은 기준을 고려해 볼 필요가 있다. 아울러 예외적으로 신용공여등이 허용되는 대상도 법인으로 엄격히 제한할 필요가 있다.
넷째, 최근 사업년도말 현재 자산총액이 2조원 이상인 상장회사는 최대주주, 그의 특수관계인 및 그 상장회사의 특수관계인을 상대방으로 하거나 그를 위하여 일정거래를 하려는 경우 이사회의 승인을 받고 이사회승인결의 후 처음으로 소집되는 정기주주총회에 보고하여야 하는데, 자기거래에 대한 일반규제로 주요주주등과의 거래에 대해 원칙적으로 사전개시와 이사회 특별결의에 의한 승인 및 공정성요건이 도입된 현재 최대주주등과의 거래에 한해서만 이사회승인을 요하는 규정의 의의는 상실되었다. 아울러 자기거래규제와의 정합성을 고려한다면 최대주주 외에 주요주주와의 거래에 대해서도 상 ...
In 2003, Securities and Exchange Act(SEA) introduced a tighten regulations on related party transactions(sec. 542-9) and provided a general prohibition whereby companies are prohibited form granting loans and similar transactions with directors, major shareholders and their relatives as part of its efforts to promote improved corporate governance and decrease the fraudulent or unfair related party transactions to siphon off the assets of listed companies. In addition, a company's board of directors must approve related party transactions involving amounts in excess of 1% of a company's annual revenues or total asset value, and such transactions must be reported to shareholders at a general shareholders' meeting. A set of transactions showd combined total amount exceeds 5% of the annual revenue or total asset value is also subject to the regulation. The reason for regulating related party transactions is that they might not be undertaken at market prices but can be influenced by the relationship between the two sides of a transactions: there is a conflict of interest for some person in the company. For both controlling shareholders and management, related party transactions can be the mechanism for extracting private benefits of control at the cost of other shareholders.
In 2009, after the Securities and Exchange Act was abolished, Commercial Act was revised and provides related party transactions regulation mostly same as the provisions of abolished Securities and Exchange Act. On April 14 2011, the Commercial Act was again amended. The amendments include an array of provisions that aim for enhanced transparency in relation to corporate governance. Especially, in the previous Act, only directors were subject to restrictions on self-dealing transactions. Following the amendments, however, such restrictions shall apply to directors and major shareholders, relatives of such directors and major shareholders, as well as certain affiliated companies.
With the amendments of self dealing regulation in Commercial Act, some questions arised, including the relationship between sec. 398(self dealing regulation) and sec. 542-9(related party regulation) of Commercial Act.
The conclusions drawn from this study are as follows. First, the listed companies should subject to both sec. 399 regulation and sec. 542-9 to ensure effective control over the related party transactions.
Second, the ban on granting of loan, quasi-loans and the debt guarantee etc. by companies to, or in respect of, their directors and major shareholder, relatives of such directors and major shareholders, as well as certain affiliated companies is still meaningful in these days. Some person can be connected to a director and major shareholder as a result of a number of different relationships. However, in order to minimise the administrative burden on companies, the affiliated person should be reasonably reduced.
Third, while section 542-9 provides for a general prohibition of loan granting and similar transactions, the provision also contains a number of exceptions to the general prohibition whereby certain transactions can legally be entered into provided that certain criteria are satisfied. There are three exceptions to the general prohibition. One of the exception is an arrangements between group companies with the certain conditions. The companies are not prohibited from making a loan or quasi-loan to another company if that other company is its holding company, subsidiary or sister company in circumstances where the transaction would otherwise not infringe the prudential capacity of companies.
According to the recent amendments of decree, the company is not prohibited form making a loan to or similar transactions with a individual major shareholder under the requisite conditions stipulated by decree.
