중국법상 COVID-19 사태에서의 불가항력 및 사정변경의 원칙의 적용에 대한 고찰 = A Study on the Application of Force Majeure and the Principle of Change of Circumstances in the COVID-19 Incident under Chinese Law

The global COVID-19 crisis has a great impact on society as a whole, which is no exception in the field of law. In the COVID-19 situation, the principle of contract compliance has faced a limitation situation. In the dispute over the contract caused by this incident, there is a continuing debate over how to understand and apply the law of force majeure and change of circumstances as reasons for contract violations and limit liability.
Currently, China is in the midst of discussions on whether to uniformly recognize it as force majeure in the dispute over contracts caused by the COVID-19 crisis and the government's quarantine guidelines, or apply the principle of change of circumstances by varying the standards for each case. According to the Chinese Civil Code, force majeure is an unpredictable, unavoidable, and insurmountable objective situation. If the purpose of the contract cannot be realized due to force majeure, the contract may be canceled. In addition, after signing the contract, a significant change occurred in the basic terms of the contract, not a commercial risk, and if the contract is continued, the disadvantaged party can renegotiate with the other party. If renegotiation is not established within a reasonable period, the party can request the People's Court or arbitration agency to change or cancel the contract. According to these regulations, it seems that the principle of change of circumstances as well as force majeure in legal disputes related to the COVID-19 incident can be applied. However, unlike force majeure, which is a key effect of cancellation of contracts and exemption from liability, the problem to be solved by the change of circumstances system is to maintain the contract relationship by resolving the division of responsibility between the parties if maintaining the contract causes significant unfairness. Basically, both the principle of force majeure and the principle of change of circumstances apply when a situation is impossible to predict occurs. Both are classified according to whether this situation can be avoided or overcome. Force majeure is an unavoidable and insurmountable case, but a change of circumstances can be avoided or overcome, but the maintenance of the contract is remarkably unfair. Considering the relationship between force majeure and change of circumstances, it is highly likely to be applied in both cases related to the COVID-19 incident.
Based on a theoretical review of force majeure and the principle of change of circumstances in Chinese law(II), the applicability of force majeure and the principle of change of circumstances in the dispute of contracts related to the COVID-19 incident is reviewed(III), force majeure and the principles of change of circumstances in Korean law are reviewed in comparative law(Ⅳ), and then the conclusions are summarized(Ⅴ).
세계적으로 지속되고 있는 COVID-19 사태는 사회 전반에 큰 영향을 미치고 있는데 이는 법학의 영역에서도 예외가 아니다. COVID-19 상황에서 계약준수(pacta sunt servanda)의 원칙이 한계상황을 맞이한 것이다. 이번 사태로 인한 계약의 분쟁에서 계약위반과 이에 대한 책임 제한 사유로서의 불가항력(force majeure)과 사정변경(change of circumstances) 법리를 어떻게 이해하고 적용할 것인가에 대한 논쟁이 계속되고 있다.
현재 중국은 COVID-19 사태와 정부의 방역 지침으로 인해 발생한 계약의 분쟁에서 이를 일률적으로 불가항력으로 인정할지, 아니면 각개의 사안마다 그 기준을 달리하여 사정변경의 원칙을 적용할지에 대한 논의가 한창이다. 중국민법전에 따르면, 불가항력은 예견할 수 없고 회피할 수 없으며 극복할 수 없는 객관적 상황이다. 불가항력으로 인해 계약의 목적을 실현할 수 없는 경우, 계약을 해제할 수 있다. 이밖에, 계약 체결 후, 계약의 기초 조건에 당사자가 계약 체결 시에는 예견할 수 없었던 상업리스크가 아닌 중대한 변화가 발생하였고, 계약을 계속 이행할 경우, 일방당사자에게 현저하게 불공평하다면 불이익을 입은 당사자는 상대방과 재교섭을 할 수 있는바, 합리적 기간 내에 재교섭이 성립되지 않는 경우, 당사자는 인민법원 또는 중재기관에 계약의 변경 또는 해제를 청구할 수 있다는 것이 사정변경의 원칙이다. 이와 같은 규정에 따른다면, COVID-19 사태와 관련한 법적 분쟁에서 불가항력뿐만 아니라 사정변경의 원칙도 적용할 수 있는 것으로 보인다. 다만 계약의 해제와 책임의 면제를 핵심적인 효과로 하는 불가항력과 달리, 사정변경 제도가 해결하고자 하는 문제는 계약의 유지가 현저한 불공평을 초래할 경우 당사자 간의 책임의 분담을 해결하여 계약관계를 유지하려는 것이다. 기본적으로 불가항력 법리와 사정변경의 원칙은 모두 예견이 불가능한 상황이 발생한 경우에 적용된다. 양자는 이러한 상황을 피면 또는 극복할 수 있는지에 따라 구분된다. 불가항력은 피면할 수 없고 극복할 수 없는 경우지만, 사정변경은 피면 또는 극복은 가능하나 계약의 유지가 현저하게 불공평한 경우이다. 불가항력과 사정변경의 연관성을 고려하였을 때, COVID-19 사태와 관련된 사안에서 양자택일하여 적용할 가능성이 크다.
이하 본문에서는 중국의 불가항력과 사정변경의 원칙에 대한 이론적 고찰을 토대로(Ⅱ) COVID-19 사태와 관련된 계약의 분쟁에서 불가항력과 사정변경의 원칙의 적용 가능성에 대하여 검토하고(Ⅲ), 한국법에서의 불가항력과 사정변경의 원칙을 비교법적으로 검토해보고(Ⅳ), 결론을 정리한다(Ⅴ).
