사립학교법 제14조는 사립학교의 임원으로 7인 이상의 이사와 2인의 감사를 두고 있다. 이사 중 1인은 이사장이 된다. 사립학교법 제16조는 임원의 임면을 이사회의 권한으로 규정하고 있다. 그러니까 이사는 이사회에서 선임된다. 학교법인이 이사의 결원보충을 하지 아니하여 학교법인의 정상적 운영이 어렵다고 인정되는 때, 일정 수 이상의 임원취임 승인을 취소한 때, 임시이사를 해임한 때에는 관할청이 사학분쟁조정위원회(이하 조정위원회)의 심의를 거쳐서 임시이사를 선임하여야 한다. 그런데 임시이사의 법적 지위는 법조문이 명확하지 않은 관계로 많은 논란을 낳고 있다.
대상 판결은 2007년 상지학원 사건 대법원 판결에 이어 임시이사들로 구성된 이사회의 이사 선임을 무효로 한 후에 학교법인의 전 이사가 관할청의 이사 선임에 대하여 다툰 사건이다. 이 일련의 소송을 통하여 원고는 선행 판결로 2004년 정식이사를 선임한 이사회의 결의가 무효라는 것을 확인한 이외에 별다른 소득을 얻지 못하였다. 원고 등은 임시이사의 선임처분, 임시이사에 의한 정식이사의 선임처분, 조정위원회의 심의에 의한 이사의 선임처분 등을 행정소송 혹은 민사소송을 통하여 계속 다투었다. 우리사회에 소송이 많은 단면을 보여 주는 사건이며 또한 그런 소송들이 별로 생산적이지 못함을 보여주는 사건이다.
대상 판결에서 나타나듯이 학교법인의 정상화 권한은 사학분쟁조정위원회로 넘어가 있다. 법규정에 의하여 막강한 권한을 부여받은 조정위원회는 자신의 결정을 어떻게 정당화할 수 있을지 지켜보아야 하는 대목이다. 이미 지난 이야기이지만 관할청이 선임한 임시이사로 구성된 이사회에서 학원 정상화에 관한 일체의 결정을 할 수 있도록 권한을 부여하는 것이 “사립학교의 특수성에 비추어 그 자주성을 확보하고 공공성을 앙양함으로써 사립학교의 건전한 발달을 도모함을 목적으로” 하는 사립학교법의 제정 취지에 더 부합되는 일이 아닌가 한다.
현재는 그 동안의 법개정으로 2007년의 대법원의 판결은 더 이상 논란 대상이 아니다. 그러나 임시이사의 선임과 그 권한 범위에 관한 법제도는 여전히 명확하지 못하다. 사립학교법이 정하고 있는 이사회의 결의가 필요한 사무 가운데 학교법인의 존립과 관련된 중요한 사무로는 임원의 선임(제20조) 이외에도 법인재산의 관리 및 보호(제28조), 정관변경(제45호), 학교의 장의 임면(제53조) 등이 있다. 2007년 대법원 다수의견의 논지에 의하면 이 행위는 “일반적인 학교법인의 운영에 관한 행위가 아니므로” 임시이사의 권한 밖의 행위가 될 것이다. 만일 이렇게 해석하면 임시이사가 선임된 법인에서는 제대로 된 업무가 이루어지지 못한다는 결론에 이르게 된다. 따라서 법이 정하고 있는 임시이사의 선임 방법, 임기, 임원취임 제한 등 명시적인 사항 이외에 임시이사를 이사와 구별할 필요는 없을 것이다. 임시이사가 법에 정해진 권한을 행사하는 경우에 “임시이사”로서 하는 것이 아니라 이사회의 구성원으로서 행위하기 때문이다. 이는 사립학교법에서는 이사회와 구별되는 “임시이사회”를 따로 정하고 있지 아니한 점에서 분명히 나타난다.
Article 14 of Private School Act (hereinafter referred to as “the Act”) stipulates that every school juristic person shall have its officers, seven or more directors and two or more auditors; and one of the directors shall become the chief director according to the articles of association. Article 16 of the Act dictates that the board of directors (hereinafter referred to as “BOD”) shall deliberate upon and make decisions on the matters concerning appointment and dismissal of officers. In other words, directors are appointed by BOD. The competent agency shall promptly select and appoint temporary directors through the deliberation process of the private school readjustment and examination committee (hereinafter referred to as “the Committee”) in the case falling under each of the following: when the normal operation of the school juristic person is judged to be difficult on the grounds that the school juristic person fails to fill the vacancies of directors; when the approval for the officers of the school juristic person to take office is revoked; and when temporary directors are dismissed. However, the Act fails to explicitly state the legal status of a temporary director, creating controversies over the status issue.
Following the Supreme Court's ruling on the Sangji School case in 2007, a series of rulings declared that appointment of directors by a board of temporary directors should not be deemed as valid, and then a former director of a school juristic person filed a lawsuit against appointment of directors by the competent authorities. The plaintiff failed to deliver meaningful outcomes from the lawsuit, except the confirmation that the BOD’s resolution on the appointment of directors in 2004 was invalid. The plaintiff continued his legal proceedings by filing, with administrative and civil courts, lawsuits to nullify appointment of temporary directors, of permanent directors who were appointed by temporary directors, and directors who were appointed through the deliberations of the Committee. These legal disputes demonstrate that not so productive or constructive lawsuits are pervasive in this society.
As the rulings suggest, the authority to normalize a school juristic person was given to the Committee of Private School Dispute Resolution. Empowered by law, the Committee must demonstrate how to justify its mighty authority. Notwithstanding the Act, it seems more reasonable that a board of temporary directors appointed by the competent authorities retain the right and authority to make decisions on the normalization of a private school; and better conforming to the purpose of the Act, “to ensure the sound development of private schools by securing their independence and promoting their public characteristics, in view of their special characteristics.”The Supreme Court ruling of 2007 is no longer at the center of controversy as the Act has been amended. However, appointment of temporary directors and their authorities have yet to be clarified. As per the Act, critical matters that shall be decided by BOD resolutions include Appointment and Term of Office of Officers (Article 20), Management and Protection of Property (Article 28), Alteration of Articles of Association (Article 45), and Appointment and Dismissal of Head of School (Article 53). According to the majority opinion of the 2007 Supreme Court ruling, this action is “not within in the scope of normal operation of a school juristic person,” thus not included in the authorities of temporary directors. If this interpretation is upheld, school juristic persons that have temporary directors will not be able to operate their business. Therefore, it is unnecessary to distinguish temporary directors from directors, except those explicit provisions of the Act regarding appointment, terms and restrictions of temporary directors.
