최근 국내 회계업계의 ‘뜨거운 감자’는 법정 외부감사대상 범위의 변경 및 감사인 지정제도 확대 등외부감사 효과를 전제로 한 논의들이다. 2013년 10월 금융위원회는 회계투명성 제고를 위한 개혁 방안을 제시하였는데, 그 안에는 회계개혁의 사각지대로 남아있는 유한회사에 대한 외부감사 의무화, 외부감사대상 자산총액 기준을 기존의 100억에서 120억으로 상향 조정한다는 내용이 포함되어 있으며 이 중 자산총액 기준은 2014년 9월 외감법 시행령 개정으로 120억으로 상향조정되었다. 또한, 자발적 외부감사 유도를 위해 회계감사비용에 대한 세액공제를 가능하도록 하는 조세특례제한법 개정안과 세무조사 대상자 선정기준에 외부회계감사 여부도 포함하는 국세기본법 개정안이 발의되어 현재 국회에 계류 중이다. 이와 같은 움직임은 회계투명성 제고를 위해 외부감사의 필요성에 동의는 하지만 중소기업의 어려운 경영 사정 등에 대해 고민하는 정책 당국의 고민과 배려를 엿볼 수있다. 이들 이슈에 대해 각계는 정책 방향에 대해 나름의 논리로써 찬반의견을 제시하고 있으나 그 이면에는 각자가 처한 어려운 경제 여건 속에서 외부감사에 대한 상대적 가치평가 및 이해관계가 고스란히 반영되어 있다. 이에 본 연구에서는 주식회사의 외부감사에 관한 법률의 개정으로 소규모 비상장 중소기업이 법정외부감사에서 배제되는 경우 회계투명성이 저하되는가를 이익조정의 측정치인 재량적발생액을 이용하여 확인하였다. 또한, 현재의 외부감사대상기준(자산총액기준, 부채기준, 종업원 기준)이외에 매출액 기준도 추가하여야 한다는 회계업계 주장의 타당성을 입증하기 위하여 매출액 수준과 부채비율수준을 분석에 반영하여 이로 인한 이익조정 측정치의 변화를 살펴보았다. 분석 결과 법정감사에서 배제된 소규모 비상장기업의 경우 재량적발생액이 법정감사를 받은 기업에 비해 유의하게 큰 것으로 나타났으며, 매출액 및 부채비율이 큰 경우에는 이러한 효과가 가중되는것으로 나타났다. 또한, 법정감사 기업과 감사를 받지 않은 기업을 구분하여 분석한 결과에서도 위와동일한 결과가 나타났다. 추가분석에서는 법정감사 받은 기업과 자발적으로 감사를 받은 기업을 비교하였는데, 법정감사 효과가 이익조정 억제 측면에서 더 효과적인 것으로 나타났다. 결론적으로 법정감사 대상의 배제는 소규모 기업의 회계투명성에 부정적인 영향을 줄 수 있음을 시사한다. 또한 소규모 기업에 대한 대형회계법인의 영향을 살펴보았는데, 임의감사의 경우에는 대형 회계법인의 이익조정이 오히려 증가하는 결과가 나타났다. 이는 간접적으로 소규모 기업의 경우 감사반 등 소규모 감사인의 감사가 더욱 효과적일 수 있음을 시사한다. 이상에서 확인된 본 연구의 실증 결과와 외부감사를 받지 않는 소규모 기업의 소득 탈루 율이 평균보다 높다는 점 등을 고려한다면 외부감사에 대한 사회적 효익과 비용을 논의함에 있어 많은 도움을 줄 것으로 기대한다. 또한 비상장 중소기업이 외부감사를 받지 않게 되면 회계투명성이 저하되므로 현 시점에서 소규모 중소기업의 외부감사를 축소하는 것은 바람직하지 않으며 또한 향후 법률 개정에 있어서 외부감사 대상기준에 매출액 기준이 추가되어야 한다는 정책적 시사점을 제시하였다.
더보기The ‘hot potato’ of the Korean accounting circle in 2014 is about expanding the criteria for mandatory legal external audits and the external audit effects such as harnessing auditor designation rules. Under the expanded criteria, limited liability corporations are required to receive legal external audit and firm revenue has become a new standard for determining legal external audit. In October 2013, Finance Service Commissions revealed a policy reform to enhance accounting transparency. Two major thrusts of this reform are 1) a mandatory external audit for unlisted stock companies including firms such as limited liability companies that are still in the blind spot of accounting reform, and 2) an increase of the lower bound of total asset of companies subject to external audit from 10 billion to 12 billion won. In September 2014, the amendment on enforcement decree of External Audit of the Corporations Law increased the minimum total asset of the firms to 12 billion won. On the contrary, efforts to encourage voluntary audit are in motion. Two amendments are pending in the National Assembly: amendments for Special Tax Treatment Control Act allowing tax shield for audit costs and Basic Act for National Taxes including whether a company has taken external audit into the criteria for determining targets for tax audit. All this reflects the regulatory authorities` sympathy towards small and medium size companies and faith in reform for accounting transparency. The heated debate on external audit effects is triggered by 1) an increase in total asset size of firms subject to external audit to 12 billion won and 2) an expansion of auditor designation system. Various stockholders have attempted to defend their positions with their own logics of the ‘appropriate’ direction of policy on external audit. However, it simply shows the gravity of this issue that reflects subjective evaluation of value and vested interest they represent. Our study, using discretionary accruals, investigates whether excluding small unlisted stock companies from mandatory audit will lower the accounting transparency of excluded companies. Additionally, we include revenue and debt ratio in the analyses and verify the validity of accounting circle`s argument about adding revenue to the existing criteria for external audit (size of total asset and liability, and number of employees). Results show that discretionary accruals of small unlisted stock companies excluded from external audit are significantly bigger than those of companies that took external audit and this effect is amplified with bigger revenue and debt ratio. Results also remain consistent with separate samples of companies that received the audit or that did not. Supplementary analyses comparing companies that took legal external audit and those that received voluntary external audit reveal that legal external audit is more effective than voluntary audit in thwarting discretionary accruals. This implies that excluding firms from the legal external audit will undermine the transparency of small unlisted stock companies. In an analysis on the influence of large accounting firms on small companies receiving voluntary audit, results show that large accounting firms tend to promote discretionary accruals more often. This indirectly suggests that auditing by smaller accounting firms or small scale auditing team may be more effective for small companies. We believe that findings of our study, when considered together with the higher than average rate of tax evasion by unlisted small and medium stock companies excluded from external audit, will contribute to the discussion about the social costs and benefits of external audit. Furthermore, we provide the following policy implications: 1) excluding firms from external audit will harm accounting transparency and therefore it is not recommended to exclude small and medium size companies from the audit, and 2) future amendment of regulation should incorporate revenue as a criterion for external audit.
