독일에서 이행불능법리의 변천 = Changes in the legal theory of impossibility of performance in Germany

2013년 민법개정위원회 민법개정안 제386조의2는 “채권자는 채무자에 대하여 채무의 이행을 청구할 수 있다”고 하여 이행청구권에 관한 규정의 신설을 제안하였다. 이는 채권의 전통적인 개념정의에 따른 것으로 그동안 당연하게 여겨지던 내용을 선언적으로 규정한 것으로 보인다. 그러나 이 규정의 신설제안과 관련하여 이행청구권의 한계를 설정하기 위한 규정이 필요하게 되었다는 주장도 있다. 즉, 불능규정의 도입을 제안하는 것이다. 불능규정의 신설에 관한 주장은 이전에도 있었다. 이러한 제안들은, 독일에서 채권법 개정과정중에 불능에 관해 행해진 논의들이 영향을 미친 것으로 보인다. 독일에서는 2002년 채권법이 개정되었는데, 개정과정에서 불능규정에 대한 논의가 활발히 진행되었다. 이러한 논의들은 독일민법전 제정과정으로까지 거슬러 올라간다. 독일민법의 제정 과정에서부터 불능규정에 문제가 있었다는 것이 지배적인 견해였기 때문이다. 독일에서는 급부장애법의 개정에 관해 1980년대부터 논의가 있었으나 본격적인 개정작업은 유럽소비재매매지침을 국내화하면서 이뤄졌다. 그리고 이 과정에서 불능에 관해 다양한 논의들이 진행되었다. 이 논문은 독일에서 불능에 관한 규정의 성립과정을 살펴보고, 이에 대한 비판과 반비판을 거쳐 2002년에 불능에 관한 규정(독일민법 제275조)이 개정된 과정을 살펴본다. 그리고 이러한 논의를 통해 우리 민법에서 불능에 관한 규정이 필요한지, 그리고 불능의 판단기준은 어떠해야 하는지에 관한 시사점을 얻고자 하였다.
필자는 불능의 정의규정이나 기준에 관한 규정을 두는 것에는 신중해야 할 것으로 생각한다. 우선 절대적 불능에 대하여는 규정을 두지 않아도 채권자의 이행청구가 부정된다는 것은 어려움 없이 인정된다. 다음으로 사실적 불능에 대하여는 아직 판례에서 충분히 다뤄지지 않았다. 사실적 불능은 그동안 판례에서 ‘거래관념상 불능’이라고 한 것에 상응한다. 그런데 ‘거래관념상의 불능’이란 개념은 그동안 판례에서 채권자의 이익에 기초한 불능판단에서 주로 사용되었으므로 채무자의 급부의무한계라는 관점에서는 제대로 논해지지 않았다. 물론 채무자의 급부비용이 급부이익에 비해 현저하게 증가하여 채무자에게 이를 부담하라고 요구할 수 없는 경우라는 기준(불균형성과 기대불가능성)을 법에 규정할 수도 있지만, 이럴 경우 사정변경원칙과의 관계 등 여러 문제가 제기될 수 있다. 이런 점에서 불능에 관한 규정은 규율의 필요성은 크지 않고, 오히려 불필요한 논란을 가져올 수 있기 때문에 입법화에는 신중해야 할 것으로 생각한다.
Article 386-2 of the 2013 Amendment Proposal to the Korean Civil Code states that “the creditor can claim the debtor for the performance of its obligations.” This proposed a new regulation on the right to claim performance. This is according to the traditional definition of the obligatory right, and declaratively stipulated the content that was taken for granted. However, some argue that in relation to the establishment of this regulation, there is a need for a regulation to set the limits of the right to claim performance. In other words, it is to propose the introduction of a rule about impossibility of performance. This claim also has been made before. This proposal appears to have been influenced by discussions about impossibility of performance during the process of revising the law of obligation in Germany. In Germany, in the course of the amendment of the law of obligation in 2002, discussions on the provision about impossibility of performance were actively conducted. These discussions go back to the process of enacting the German Civil Code(BGB). Because of that it was the prevailing view in Germany that there was a problem with the impossibility provision from the process of enacting the BGB. In Germany, there has been discussion about the amendment of the breach of contract provision since the 1980s, but the full-scale revision work was made while the European Consumer Goods Sales Guidelines were domesticated. And in this process, various discussions about the impossibility rule were held. This paper examines the process of establishing provisions on impossibility of performance in Germany, and examines the process of revising the regulation on impossibility (Article 275 of the German Civil Code) in 2002 after criticism and anti-criticism. And through these discussions, it was attempted to obtain implications on whether a regulation on impossibility is necessary and what the criteria for judging impossibility should be.
I think that it is necessary to be cautious about setting rules on the definition of impossibility of performance or its standards. First of all, it is recognized without difficulty that the creditor's claim for performance is denied even if there is no provision for absolute impossibility. Next, the factual impossibility has not yet been sufficiently dealt with in the case law. Factual impossibility corresponds to what has been referred to as ‘impossibility in terms of transactional conception’ in precedents. The concept of ‘impossibility in terms of transactional conception’ has been mainly used in judgments of impossibility based on the interest of creditors, so it has not been properly discussed from the viewpoint of the debtor’s burden limit. Of course, the law may stipulate a criterion that the debtor’s performance cost is significantly higher than the creditor’s performance profit and so it can not be expected to the debtor to bear it(disproportionality and unexpectability). But in that case, a number of issues may arise. In this respect, the necessity of setting rule is not so great in the regulations on impossibility of performance, but rather, it can bring unnecessary controversy, so I think that it is necessary to be cautious about enacting it.
