감액배당에 대한 과세 = Taxation Treatment of Distribution by Reduction of Capital Reserves

This paper examines the problem of tax treatment on distribution of reduced capital reserves, and seeks ways to improve it. To this end, this paper analyzes case of distribution of reduced capital reserves that are used as tax-saving strategies, and propose an improvement method, referring to the tax treatment of the United States and that of Japan The legal reserves, such as capital reserves and profit reserves, can be reduced and distributed to the shareholders at the resolution of the general shareholders’ meeting under the Korean commercial law. As there is no restriction on the ratio and order of reduction of legal reserves, the company generally reduces capital surplus and uses it as a dividend resource.
When a corporation with both capital surplus and retained earnings pays dividends by reduction of the capital surplus, the tax law shall recognize the resolution of the general meeting of shareholders and shall regard it as being distributed from the capital surplus. The application of this “arbitrary election method” in the determination of distribution resources differs from the US tax law and the Japanese one that enforce respectively the application of the “first out-of-E&P” and the “proportional distribution method”.
Accordingly, the shareholders that received the dividends by reduction of capital reserve do not recognize them as a taxable income. Instead, the amount of dividends received is deducted from the book value of the shares held, and if the amount of dividends received exceeds the book value of the shares held, the book value becomes zero. According to the authoritative interpretation of the administration, the amount of dividends received that exceeds the book value is not recognized as taxable gains.
It is presumed that the reason why the Korean tax law does not treat the dividend by reduction of capital surplus as a taxable income is because the distribution is considered to be the return of the shareholders’ original investments. However, the dividend by reduction of capital surplus may not be a return of investor’s original investment, unless all shareholders are the original investors at the time of the incorporation or the shareholders have the same acquisition cost per share.
From the perspective of a corporation, it may be regarded as returning the original investment to the entire shareholders as a whole. On the other hand, from the perspective of individual shareholders, distribution by reduction of capital reserve may be an opportunity to realize gains for shareholders with low issuance prices, or to realize losses for shareholders with high issuance prices. For example, a shareholder who has invested at a lower price may realize a gain by receiving a distribution greater than its original investment as a result of a reduction in the capital reserve, in which case the gains come from capital paid by shareholders who have invested in high prices.
By utilizing arbitrary election method in the determination of distribution resources, taxpayers can take out retained earning accumulated in the corporation without burden of dividend income tax. In addition, a portion of the equity can be disposed without capital gain tax by using taxation treatment that overlooks the nature of realization of gain or loss embedded in the distribution of reduced capital surplus. In this process, taxation may be deferred and the taxpayer’s income may be converted from one type to another, or in some cases, taxation may be permanently omitted.
Dividends from reducing capital surplus are similar to stock redemption which is subject to the deemed dividend provisions in Korean tax law, in the sense that the company’s properties are distributed to shareholders. 본 논문에서는 감액배당에 대한 세무회계상의 취급의 문제점을 검토하고 개선방안을 모색한다. 이를 위해 실무에서 절세전략으로 활용되는 감액배당의 사례를 분석하고, 미국 및 일본에서의 세무처리 방식과 비교해 문제의 원인과 해결방안을 고찰한다.
이익잉여금이 있는 법인이 자본잉여금을 감액하여 배당을 지급하는 경우 세법은 배당재원의 임의적 선택을 인정하여 자본잉여금에서 교부된 것으로 본다. 이에 따라 자본잉여금을 감액배당 받은 해당 법인의 주주는 수령한 배당금을 익금에 산입하거나 배당소득으로 인식하지 않는다. 교부 재원의 결정에 있어 우리 세법이 택하고 있는 이러한 “임의법”의 적용은 미국 세법과 일본 세법이 각각 “순차법”과 “안분법”의 적용을 강제하는 것과 차이가 있다.
교부 재원의 임의적 선택을 활용하면 법인에 축적된 이익잉여금을 배당소득세의 부담 없이 퍼내갈 수 있다. 또한 감액배당은 회사의 입장에서 보면 전체 주주 집단에 대해 투자원본을 반환하는 것일 수 있지만, 개별주주의 입장에서 보면 발행가격이 다른 주주 간에 또는 유통시장에서 취득가격이 다른 주주 간에 감액배당을 계기로 손익이 실현되는 성격이 내포되어 있다. 이러한 손익실현의 성격이 없으려면 모든 주주가 법인 설립시의 원시출자자로 구성되었거나 취득가액이 동일해야 한다. 이를 간과한 현행제도를 활용하면 양도소득세 부담 없이 지분의 일부를 처분하는 것도 가능하다. 이러한 과정에서 과세가 이연되거나 소득성격이 바뀌고 경우에 따라서는 과세가 영구적으로 누락된다.
감액배당은 법인의 재산이 주주에게 교부된다는 점에서 의제배당 규정이 적용되는 자본금의 감소・해산・합병・분할의 상황과 본질적으로 동일하다. 따라서 감액배당 과세의 개선방안은 유사한 성격이 있는 의제배당의 과세취급과 조화를 이룰 수 있도록 함께 검토하는 것이 필요하다. 의제배당 과세에서도 우리나라 세법은 모든 주주가 법인 설립시의 원시출자자로 구성되었거나 취득가액이 같은 세계를 상정하고 있다.
미국의 순차법과 일본의 안분법을 참고해 감액배당과 의제배당에 대한 세무 취급을 개선한다면 일본의 방식이 현행 우리 세법에 가까운 것으로 더 나은 대안일 수 있다. 일본 방식은 현행 우리 세법의 방식을 주주 간에 취득가액이 다른 경우에도 적합할 수 있도록 적용범위를 확대하는 것이 된다. 반면 미국의 방식은 원시출자자만 있거나 모든 주주의 취득가액이 동일한 경우라도 현행 우리 세법의 방식과는 차이가 있다.
