증권 불공정거래 조사 협조자에 대한 제재 감면 방안의 연구 = A Study on Measures to Introduce the Leniency System for Unfair Securities Trading

Since securities frauds occur non-face-to-face and use fraudulent means, it is difficult for investors to recognize the damage, and it is difficult to detect the frauds. Furthermore, as securities frauds are being organized and covered up, the damage to investors is also increasing. To this end, it is necessary to induce cooperation in an investigation by granting certain benefits to cooperators of securities frauds investigations. Cooperation is not a system that induces criminals to reflect and reduces sanctions because they have done so. Cooperation could not be established after the administrative agency has secured a clear clue to the frauds and can conduct an investigation. Benefiting the cooperation could be a request to actively cooperate with the administrative agency by granting the benefit of sanctions reduction or exemption for acts that provide clues to securities frauds that would not have been detected and sanctioned without the cooperation of criminals.
Suppose the financial authorities operate a whistleblowing system to diversify the recognition pathways of misconduct and relieve the level of sanctions through settlement for investigation cooperators. In that case, violators would be encouraged to cooperate with the investigation. If they cooperate, a settlement could be made on generous terms, and sanctions could be waived if cooperation is high. On the other hand, if violators do not cooperate promptly, the accomplice might cooperate, or the whistleblower could provide a clue about securities frauds.
In this study, the Securities and Exchange Commission (SEC, hereinafter referred to as the ‘SEC’) adopts a cooperation program to prevent securities frauds rather than a leniency system under the Competition Act. The SEC is efficiently investigating securities frauds with the cooperation of the suspects of those who know the whole story of the securities frauds and, in return, grants the benefit of sanctions reduction or exemption. Even if a few criminals participated in the same securities frauds, the level of sanctions might differ depending on the cooperation degree. In order to introduce the cooperation system to the securities frauds investigation, it is necessary to secure the clarity of the system operation standards. The potential suspect decides whether to cooperate with the investigation after considering how much sanctions can be reduced or exempted by cooperation. In order to introduce the cooperation system, this study would like to suggest specific standards of cooperation.
증권범죄는 비대면으로 발생하고 사기적 수단을 사용하므로 투자자가 피해를 인식하고 범죄를 적발하기 어렵다. 증권범죄는 조직화・은밀화되며 투자자 피해도 증가하고 있어서 피해를 줄이기 위한 합리적 제도 개선이 필요하다. 이를 위해서는 증권범죄의 조사 협조자에게 일정한 혜택을 부여하여 조사 협조를 유도할 필요가 있다. 협조는 범죄자의 반성을 이유로 제재를 감면하는 제도가 아니다. 행정청이 범죄에 대한 명확한 단서를 확보하여 조사를 수행할 수 있게 된 이후에는 협조가 성립할 여지가 없다. 협조는 혐의자의 협조가 없다면 적발・조사・제재하지 못했을 증권범죄에 대한 단서 제공에 대해 제재 감면이라는 혜택을 부여하는 것이다.
금융당국이 공익신고(whistleblowing) 제도를 운영하여 위법 행위의 인지 경로를 다양화하고 조사 협조자에게는 화해(settlement)를 통하여 제재 수위를 감면하면 혐의자는 협조의 유인을 얻게 된다. 협조 시 관대한 조건으로 화해를 할 수 있고 협조의 정도가 높으면 제재를 면제받을 수도 있다. 혐의자는 신속히 협조하지 않으면 공범이 협조할 수 있고, 공익신고자에 의해 증권범죄의 단서가 제공되어 중대한 처벌을 받을 수 있다는 압력을 받는다.
본 연구는 증권 불공정거래의 협조 제도 도입에 대한 구체적 방안을 제시하기 위하여 경쟁법의 리니언시(leniency) 제도와 증권사기에 대응하는 미국 증권거래위원회(The Securities and Exchange Commission; SEC, 이하 ‘SEC’라 함)의 협조(cooperation) 제도를 살펴보고, 금융당국의 증권 불공정거래 조사에 활용할 수 있는 방안을 검토한다. SEC는 증권범죄의 전말을 알고 있는 혐의자의 협조를 받아 증권범죄를 효율적으로 조사하고 있고, 협조의 대가로 제재를 감면하는 혜택을 부여하고 있다. 동일한 증권범죄에 가담하였어도 협조 정도에 따라 제재 수위는 차등화될 수 있다. 증권범죄 조사에 협조 제도를 도입하기 위해서는 제도 운영 기준의 명확성이 확보되어야 한다. 잠재적 혐의자는 협조의 정도에 따른 제재 감면의 정도를 고려한 후 조사 협조 여부를 결정하기 때문이다. 협조 제도의 도입을 위해 필요한 제재 감면의 구체적 기준을 제언하고자 한다.
