기업의 지속가능성 관련 이슈를 공동체에 보고하도록 하는 이유는 기업의 활동을 공동체의 지속가능성을 증진하는 방향으로 변화시키고자 함이고 그 수단으로써 기업의 활동으로 인하여 영향 받고 또 영향을 미치는 이해관계자들에 대하여 유용한 정보를 제공하고자 함이다. EU에서 기업지속가능성보고지침(CSRD)을 제정하고 기업지속가능성보고표준(ESRS)을 마련한 것도 이러한 정책적 목표, 즉 공동체의 지속가능한 발전에 기여하고자 함이다.
한정된 자원과 공동체의 역량이라는 제한 속에서 CSRD와 ESRS는 이중의 중대성 평가라는 개념을 도입하고 영향중대성과 재무중대성 측면에서 기업과 공동체의 관계를 평가하고 있다. 중대성 평가결과는 분야별, 이슈별로 표준적 형태로 공시하도록 하고 있다. 그 결과 법률에 따른 의무적 공시사항과 중대성 평가 절차와 무관하게 필수적으로 공시해야 할 사항 및 기업의 특수한 상황에 따라 중대한 것으로 평가되어 공시해야 할 사항이 분화되었다. 이중의 중대성 평가는 기업과 공동체의 관계를, 영향을 주고받는 양쪽 방향에서 포착할 수 있는 좋은 수단으로서 최근 주목받는 동적 중대성과 결부하여 그 방법론을 산업별, 기업별로 이해, 홍보, 교육할 필요가 있을 것이다.
중대성 평가 절차를 거쳐 기업 경영에 중대한 것으로 평가된 지속가능성 관련 이슈는 목적 적합성, 표현 충실성, 비교 가능성, 검증 가능성, 이해 가능성이라는 질적 특성을 보유하면서 공개되어야 이해관계자들에게 의미있게 사용될 수 있다. 중대성 평가를 통한 비재무적 ESG 관련 정보의 공시에 대해서도 세부적인 정보의 질적 특성에 대한 입장의 차이에서 비롯한 그린워싱을 포함한 논란과 이견이 제기될 수 있다. 제도 설계과정에서 세부적 공시 항목의 범주화 및 단계화, 공시 여부의 결정 과정, 공시 방법의 결정이라는 각각의 영역에 대한 심도깊은 논의와 사회적 합의가 필요할 것이다.
The reason why corporate sustainability matters are reported to the public is to change corporate activities in the direction of promoting the sustainability of the community, and as a means, it is intended to provide useful information to stakeholders affected who are affected by corporate activities reciprocally. EU’s Corporate Sustainability Reporting Directive (CSRD) and the European Sustainability Reporting Standards (ESRS) are also intending to contribute to this policy goal, i.e., the sustainable development of the community.
Under the limitations of limited resources and community capabilities, CSRD and ESRS introduced the concept of double materiality assessment. This materiality assessment evaluates the relationship between companies and communities in terms of impact materiality and financial materiality. Once the undertaking concludes that a sustainability matter is material as a result of its materiality assessment, it shall be reported according to a standard form as mandated by the relevant topical or sector-specific ESRS. As such, mandatory disclosure items are differentiated to (1) mandatory disclosure under the law (2) mandatory disclosure as prescribed by ESRS regardless of the materiality assessment, and (3) disclosure through the undertaking’s materiality assessment reflecting the entity-specific circumstances. The double materiality assessment is a useful tool to capture the relationship between an enterprise and the community in both directions of inside-out impact and outside-in impact surrounding the undertaking. In conjunction with the dynamic materiality that has recently been noted, it is necessary to widely understand, publicize, and train the materiality assessment methodology by industry sectors and by enterprises.
Sustainability matters, which have been evaluated as material for corporate management through the materiality assessment processes, can be used meaningfully by stakeholders only when they are disclosed while possessing the qualitative characteristics of relevancy, faithful representation, comparability, verifiability, and understandability. The disclosure of non-financial ESG-related information through materiality assessment may also raise controversy and disagreement, including greenwashing, based on different perception of above qualitative characteristics of disclosed information. In the process of designing the system, in-depth discussions and social agreements will be required for each area, such as the establishment of categories and topics for detailed disclosure items, the process for determining whether to disclose, and the determination of disclosure methodologies.
