국내 자본시장에서 기업의 환경경영(Corporate Environmental Sustainability, CES) 활동에 대한 정책적, 실무적 관심이 급격하게 확대되는 반면, 이에 대한 기대효과는 적극적으로 제기되지 못한 실정이다. 다수의 기존 연구들은 CES 활동의 편익과 비용을 파악하는데 주목하며, 주로 기업가치 관련 성에 집중한다. 하지만, 기업이 각기 다른 내부 특성과 외부 환경적 요인을 고려하여 최적화된 혹은 차 별화된 경영전략을 수립해야 한다는 관점에서, 단순히 기업가치에 국한한 분석결과만으로 CES 활동의 기대효과를 구체화하여 실무적 활용 가능성을 확대하는데 한계가 있다. 더욱이, 기업가치에는 다양한 정 보가 혼재되어 포함되므로, 세부적으로 CES 활동이 어떤 경영의사결정 혹은 그 결과물과 연관되는지를 쉽게 판단하기 힘들다. 한편, CES 활동에 대한 상충된 시각이 존재한다는 점은 이러한 기대효과를 실증 적으로 검증해 볼 필요성을 가중한다. 관련하여, CES 활동의 긍정적인 시각은 동 활동을 통해 기업이 생산비용 감소를 통한 경영효율성 개선, 잠재적 규제위험에 대한 선제적 대응, 정보비대칭성 완화를 통 한 원활한 자금조달 등의 편익을 누릴 수 있음을 주장한다. 반면, 부정적인 시각은 대리인이론 하에서 CES 활동이 경영자의 과잉투자 유인을 충족시키기 위해 악용되어 높은 투자비용에 상응하는 충분한 편 익을 누릴 수 없음을 주장한다. 정리하면, 보다 구체적인 접근을 바탕으로 CES 활동과 다양한 경영행태 간의 관계에 주목하여 편익과 비용의 발생 경로를 세분화하여 파악할 필요성이 제기된다. 본 연구는 CES 활동의 하나의 기대효과로 재무제약에 미치는 영향력을 실증적으로 확인한다. 재무제 약은 재무관리의 주요 의사결정인 투자, 자금조달, 배당 등을 효율화함에 있어 선제적으로 해소되어야 하는 특성으로, 이에 대한 효과적인 관리는 기업의 궁극적인 목표인 주주가치 극대화에 기여할 수 있다. CES 활동과 재무제약은 밀접한 연관성이 예상되는데, 이는 CES 활동이 생산공정 개선, 시설투자 등 상당한 초기 투자비용을 수반하는 점에 기초한다. 만일, CES 활동을 통해 기대되는 만큼의 충분한 편익이 실현되지 않는 경우 재무제약을 심화시킴에 따라 기업 고유의 성장기회를 실현시키지 못하는 부정적인 영향력을 가질 것이다. 반면, CES 활동을 통해 내부 현금흐름 확대, 외부 자금조달 여건의 개선 등 편익 이 실현될 경우 재무제약을 완화시킴으로써 경영활동의 지속 가능성을 확대하는데 기여할 것이다. 실증분석결과, CES 활동의 적극적인 이행은 재무제약을 심화시키는 것으로 관찰된다. 이러한 결과는 CES 활동에 수반되는 투자비용을 충당할만한 충분한 편익이 실현되지 못하고 있음을 시사한다. 한편, 이러한 효과는 지배주주 지분율이 낮거나, 외국인 투자자 지분율이 낮거나, 재량적 발생액이 높아 대리 인문제 발생 가능성이 높은 기업에서 주로 관찰된다. 이는 본 연구의 주요 결과가 기존 연구에서 제시된 CES 활동이 과잉투자 수단으로 악용될 가능성에 기초하여 해석될 수 있음을 시사한다. 추가적으로, CES 활동은 재무제약이 심화된 기업에서 기업가치 향상에 기여하지 못하는 것으로 관찰된다. 이는 본 연구가 주목하는 재무제약이 기존 연구의 CES 활동과 기업가치 간의 관계를 견인하는 경로로 인식될 수 있음을 시사한다. 본 연구의 결과는 선진 국가와 달리 국내 자본시장에서 CES 활동의 무분별한 확대가 대리인문제 발 생 가능성에 기초하여 기업 경영상의 제약요인으로 작용할 수 있음을 제시한다. 미국, 영국 등 선진적인 자본시장을 갖춘 국가들과 달리 국내는 낮은 투자자 보호 수준과 집중된 소유구조 하에서 지배주주가 막강한 경영 통제권을 가져 대리인문제 발생 가능성이 가중될 수 있다. 뿐만 아니라, CES 활동이 오랜 기간에 걸쳐 지속되어온 선진 국가와 달리 최근에서야 급격하게 대두된 국내의 경우 동 활동에 대한 투 자자는 물론, 경영진의 이해도 충분하다고 보기 힘들다. 이러한 상이한 환경적 요인으로 인해 CES 활동 이 경영자의 명성과 재량권을 확대하기 위한 과잉투자 수단으로 악용되어 막대한 투자비용을 충당할만 큼 편익이 실현되지 못하고 있음을 시사한다. 이는 실무적으로나 정책적으로 CES 활동을 적극적으로 이 행하기 이전, 대리인문제를 효과적으로 규율할 수 있는 수단의 마련이 선행되어야 함을 의미한다.
더보기While the policy and practical interest in corporate environmental sustainability (CES) activities in Korea’s capital market has sharply expanded, the expected effects have not been actively investigated. Existing literature mainly focuses on the relevance of firm value to identify the benefits and costs of CES activities. However, firms should establish the optimal management strategy corresponding to internal characteristics and environmental factors. From this point of view, there is a limit in specifying the expected effect of CES activities only with the relevance of firm value. Moreover, since the firm value contains a mixture of information, it is difficult to determine in detail which corporate decision makings or its outcomes are associated with CES activities. Meanwhile, the existence of conflicting views on CES activities adds to the need to empirically verify its expected effects. In this regard, the positive view of CES activities focuses on benefits from improved management efficiency through reduced production costs, proactive response to potential regulatory risks, and smooth financing through mitigation of information asymmetry. Negative views, on the other hand, argue that under the agency theory, CES activities can be exploited to meet managers’ incentives for overinvestment and thus not have sufficient benefits corresponding to huge investment costs. Therefore, it is necessary to pay attention to the relationship between CES activities and various management behaviors and to identify the paths of generating benefits and costs of it. This study empirically investigates the impact of CES activities on financial constraints, using Korean firms. Financial constraints should be addressed preemptively in streamlining financial decision-makings such as investment, financing, and dividends, and efficient control of it can contribute to maximizing the shareholder value. There can be a considerable relationship between CES activities and financial constraints, based on the fact that CES activities involve significant initial investment costs for improved production processes and facility investment. If the benefits of CES activities are not realized, financial constraints will be expanded. This will ultimately have a negative impact on not realizing the firm’s own growth opportunities. On the other hand, if the benefits of CES activities, such as the increase of internal cash flows and improvement of external financing conditions, are realized, it will contribute to expanding the sustainability of management activities by mitigating financial constraints. Empirically, we find that active implementation of CES activities expands financial constraints. This result means that sufficient benefits to cover the investment costs associated with CES activities are not realized. On the other hand, this effect is mainly observed in firms with low ownership of controlling families, low ownership of foreign investors, or high discretionary accruals. This suggests that the main results of our study can be interpreted on the basis of the possibility that the CES activities could be exploited as a means of overinvestment proposed in the previous studies. In addition, CES activities are not likely to contribute to the improvement of shareholder value in firms with high financial constraints. This suggests that financial constraints can be perceived as a path to drive the relationship between CES activities and firm value in existing studies. The results of this study suggest that the indiscriminate expansion of CES activities in the Korean capital market may act as a constraint on corporate management based on the possibility of the agency problem. Unlike countries with advanced capital markets, such as the United States and the United Kingdom, in Korean firms, the controlling shareholders may have overwhelming management control power due to the concentrated ownership structure and the low level of investor protection, which may increase the possibility of the agency problem. In addition, unlike in developed countries where CES activities have been active for a long time, these activities have increased rapidly in Korea recently, resulting in a lack of understanding by investors and managers. These different environmental factors suggest that CES activities could be abused as a means of overinvestment to expand the reputation and discretion of managers and that the benefits are not realized to cover the enormous investment costs. This implies that prior to the active implementation of CES activities, disciplinary means to effectively control the agency problem must be preceded. This study is also expected to contribute to the expansion of academic and practical understanding through independent evaluation of CES activities. Existing literature usually integrates ESG (Environmental, Social, and Governance) factors to attempt comprehensive analysis. However, an independent analysis is needed from the viewpoint that the incentives and expected effects of each component are different and can be understood as separate management strategies. In this regard, our approach will contribute to eliminating this academic gap.
